Source text - German § 3 Vertragsgebiet
(1) Das Vertragsgebiet ist durch die in der dem Vertrag als Anlage 1 beigefügte Gebietskarte enthaltene rote Markierung gekennzeichnet. Das Vertragsgebiet bestimmt sich nach den öffentlichen Grenzen der genannten Gemeinden zum Zeitpunkt desVertragsschlusses 7.
(2) Der Franchisegeber verpflichtet sich, während der Vertragslaufzeit innerhalb des Vertragsgebietes keinem Dritten eine Franchise einzuräumen und selbst keine Filialen zu betreiben 8.
§ 4 Vertriebsort
(1) Der Franchisenehmer hat die Waren in seinem Geschäftslokal in __________ zu vertreiben. Das Geschäftslokal wird unter der Firmenbezeichnung __________ geführt. Die Eröffnung weiterer Geschäftslokale und die Verlegung von Geschäftslokalen bedarf der vorherigen schriftlichen Zustimmung des Franchisegebers 9.
(2) Die Errichtung des Geschäftslokals erfolgt nach den Plänen und Entwürfen des Franchisegebers und auf Kosten des Franchisenehmers. Der Franchisenehmer ist verpflichtet, die erforderlichen behördlichen Genehmigungen einzuholen. Eine wesentliche Veränderung des Geschäftslokals bedarf der vorherigen Zustimmung des Franchisegebers 10.
§ 5 Vertragsdauer
Der Vertrag beginnt am __________, wobei die Aufnahme des Geschäftsbetriebs innerhalb von 6 Monaten nach Vertragsschluss erfolgen muss, und hat eine Laufzeit von zunächst 5 Jahren. Wird er danach von keiner der Vertragsparteien bis sechs Monate vor Ablauf eines Jahres gekündigt, so verlängert sich der Vertrag jeweils um ein weiteres Jahr.
§ 6 Warensortiment
(1) Damit die Einheitlichkeit der Geschäftsbetriebe im gesamten Bundesgebiet gewährleistet ist, legen die Vertragsparteien fest, dass ein Grundsortiment an Waren geführt wird und von dem Franchisegeber nach der in § 1 festgelegten Maßgabe Sortimentsanpassungen vorgenommen werden.
(2) Der Franchisenehmer verpflichtet sich, die in der Anlage beigefügte und monatlich von dem Franchisegeber aktualisierte Warenliste zu beachten und die darin aufgeführten Produkte nur bei dem Franchisegeber zu beziehen 11.
(3) Die von dem Franchisegeber gelieferten Waren stehen bis zum Ausgleich aller Forderungen, die der Franchisegeber an den Franchisenehmer hat, unter Eigentumsvorbehalt, der auch die Ansprüche auf Zahlung fälliger Franchisegebühren absichert.

(1) Il territorio d’applicazione è contrassegnato dalla marcatura rossa sulla mappa territoriale acclusa al contratto, come allegato 1. Il territorio d’applicazione si determina sulla base dei confini pubblici dei predetti comuni al momento della stipula del contratto 7.
(2) Il franchisor si impegna a non accordare a terzi alcuna franchise e a non gestire in prima persona alcuna filiale entro il territorio d’applicazione, durante la decorrenza del contratto 8.
§ 4 Luogo di distribuzione
(1) Il franchisee deve distribuire le merci nei suoi locali commerciali a __________. Il locale commerciale viene gestito sotto la denominazione aziendale di __________. L’apertura di altri locali commerciali e il trasferimento di locali commerciali richiede il preventivo consenso scritto del franchisor 9.
(2) La costruzione del locale commerciale avviene sulla base dei disegni e dei progetti del franchisor e a spese del franchisee. Il franchisee ha l’obbligo di richiedere le necessarie autorizzazioni ufficiali. Qualsiasi significativa variazione del locale commerciale richiede il previo consenso del franchisor 10.
§ 5 Durata del contratto
Il contratto ha inizio il __________, per cui l’inizio dell’attività aziendale deve avvenire entro 6 mesi dalla conclusione del contratto, ed ha in primo luogo una durata di 5 anni. Se il contratto non viene successivamente disdetto da alcuno dei contraenti sei mesi prima della scadenza, si prolunga ogni volta di un anno.
§ 6 Assortimento merci
(1) Perché venga garantita l’unitarietà delle aziende commerciali nel medesimo territorio federale, i contraenti stabiliscono che venga predisposto un assortimento basilare di merci e che vengano apportati dal franchisor degli adeguamenti nell’assortimento in conformità a quanto stabilito nel § 1.
(2) Il franchisee si impegna ad osservare la lista di merci allegata ed aggiornata mensilmente dal franchisor e ad acquistare i prodotti in essa contenuti soltanto dal franchisor 11.
(3) Le merci consegnate dal franchisor rimangono in riserva di proprietà fino al pareggio di tutti i crediti che il franchisor vanta nei confronti del franchisee, anche in funzione di garanzia dei diritti al pagamento dei canoni di franchising in scadenza.

Source text - English 1 Definitions and interpretation
When used in this Agreement the following terms shall have the following meaning:
'Agreement' means the Reseller Order Form, the Reseller Agreement, the relevant Service Description and (if applicable) the relevant Statement of Work.
'Business Days' means any day other than a Saturday, Sunday or a public or bank holiday in England.
'XXX' means XXX, the ultimate holding company of XXX, together with every subsidiary of that ultimate holding company.
'Case(s)' means any support issue communicated to XXX
by the End User.
'Commencement Date' means the date XXX notifies the Reseller that the Agreement begins.
'Confidential Information' any information identified by a party as proprietary and/or confidential and/or which a party ought reasonably to realise is of a confidential nature and includes, without limitation, the Order Form, Service Description, the SLA and any Statement of Work, the Software, any documentation relating to the Software, its source code and its object code.
'Discount' means the reduction from the Suggested Retail Price that the Reseller pays for the Services, as specified in Schedule A.
'End User' means the person or entity to whom XXX will provide Services as named on the Reseller Order Form received from the Reseller.
'End User Agreement' means the agreement between the Reseller and an End User, which sets forth the terms under which the Service will be be provided to the End User.
'End User Representative(s)' means the individual(s) nominated by the End User and specified by the Reseller on the Reseller Order Form to represent the End User in all matters relating to the use of the Services.
'Fees' means the charges for the Services set out in Schedule A.
'Initial Term' means the period for which the Agreement applies, and if no period is specified, twelve months.
'Intellectual Property Rights' means copyright, database right, patents, registered and unregistered design rights, registered and unregistered trade marks and all other industrial, commercial or intellectual property rights whether or not registered or capable of registration and whether subsisting in the United Kingdom or any other part of the world.
'Order' shall mean a purchase order for the Services from the Reseller presented to XXX on the Reseller Order Form.
'Related Entities' means any entity under the Control of the XXX ('Control' being the ability to direct the affairs of another, whether by virtue of contract, ownership of shares or otherwise).

‘Sconto’: la riduzione rispetto al Prezzo al Dettaglio Suggerito che il Rivenditore paga per i Servizi, come specificato nel prospetto A.
‘Utente Finale’: la persona o l’entità a cui XXX fornirà i Servizi descritti nel Modulo d’Ordine Rivenditore ricevuto dal Rivenditore.
‘Contratto con l’Utente Finale’: il contratto fra il Rivenditore e l’Utente Finale, che stabilisce i termini secondo i quali verrà fornito il Servizio all’Utente Finale.
‘Rappresentante(i) dell’Utente Finale’: l’(gli) individuo(i) nominato(i) dall’Utente Finale e specificato(i) dal Rivenditore sul Modulo d’Ordine Rivenditore in rappresentanza dell’Utente Finale per tutte le questioni relative all’uso dei Servizi.
