agree  Eliza Hall: This works -- it doesn't make any more sense in English than it does in French, so translating essentially literally is fine, and you need a translation that has a clear opposite (premier/arrière plan)

Explanation:

J'aurais normalement utilisé la termino que j'ai citée en discussion, mais la partie B) de votre déf. met tout par terre.

Puisque les parties A et B de la définition stipulent clairement qu'on se trouve avant et après le contrat, càd hors contrat, pourquoi... ne pas en faire un titre ? C'est une définition, il y a donc une marge en ce qui concerne la traduction et comme une définition, une fois rédigée, s'applique à l'ensemble du contrat, on évite toute ambiguïté.

Sur la base de la termino que j'ai citée plus haut (« préexistante »), mais pour tenir compte de la partie B, je propose donc « droits de propriété intellectuelle (existant) hors contrat ».
