Is 'spin-off' an adequate translation of this?

The relevant Section 69c (2) of the Commercial Code (I have it here in English, but not the latest edition) refers to 'the company being divided and its recipient companies', but I can't find anything more specific for 'odštěpením sloučením'.

This has probably come up on ProZ before, but I'm not sure that previous answers were very conclusive.
