English term or phrase: charge or mortgagee of shares
the directors shall not decline to transfer shares if this is in favour of a charge or mortgagee of any shares (including a bank or financial institution).

Charge is generally translated as "zekerheidsrecht", but this seems to be inconsistent with "mortgagee", in this sentence. Can anyone help me out with this one?
