企業買収手法のひとつ。ある企業を買収する際、買収資金を買収対象企業の資産価値や今後期待されるキャッシュフローを担保として借入金を調達、企業買収を行う。この手法は、買収時に自己資金が少なくても買収が行えるというメリットがある一方で、買収された企業のその後の業績や外部環境が悪化した場合、買収資金として調達した銀行借入等の返済計画が狂い、債務不履行に陥る可能性がある。したがって、比較的業績の見通しが立てやすい企業や、早期に処分可能な資産を多く持つ企業を対象とする買収を行う際に利用するのが一般的とされる。
