This is part of an Agreement between two companies

SP (Service Provider) agrees to provide to SR (Service Recipient) the equipment and services described in paragraph 1 hereof, and SR subscribes to such services in accordance with this Agreement.

The Services provided hereunder shall consist of a nonexclusive and no transferable right to use the service information, data, software and equipment described in the Schedule of Services annexed hereto, as the same may be amended froim time to time in accordance with this Agreement.

Each time SR uses the Services, SR shall be deemed to represent, warrant and covenant to SP and its Affiliated Companies that: (i) it has all requisite regulatory and legal authority to enter into and be bound by this Agreement; and (ii) its use of the Services complies with all applicable laws, rules and regulations.
