nelle condizioni generali di una proposta di contratto, sotto l'articolo "ritardo nei pagamenti" si trova questa frase:
"Il Cliente non potrà, comunque, far valere alcuna pretesa, reclamo o contestazione, sia in via di azione sia in via di eccezione, nei confronti di (nome della società) se prima non abbia proceduto al pagamento di tutti gli onorari scaduti..."

Non ho la più pallida idea di cosa significhi "sia in via di azione sia in via di eccezione"

Explanation:
Having Googled parts of the term, I've come across this page on Wikipedia:

It appears that "in via d'azione" and "in via d'eccezione" refer to different methods the court uses to evaluate if something respects the constitution or not. I don't really understand it properly, but I'm sure as an Italian you will be fine. In English, especially UK English, we don't have any matching term as we have no written constitution, so it may be a good idea to generalise it to "through any legal proceeding".

Asker: that's not far, although the context is completely wrong... I just realized my wife studied law so I asked her the meaning in Italian: "in via di azione" means taking action, producing claims against someone (you did this and that and this is proof of that), while "in via di eccezione" means defending oneself from such accusations (I did not do this and that, and this is proof of that)... I hope I managed to convey the meaning. The context here is the terms and conditions of a license agreement, where licensor tells licensee that he will not be able to make claims or defend himself in court if he has delayed payments (I do not even know if that is a lawful clause, anyways...).
