The undersigned hereby acknowledges that an authorized representative of the undersigned has carefully reviewed the Second Amended and Restated Operating Agreement (the “Operating Agreement”), dated as of December X, 200X of XXXXX LLC (formerly XXXXXXCompany, LCC), an XXXX limited liability company (the “Company”). The undersigned represents that it has been given ample opportunity to review the operations of the Company and acquaint itself with the risks involved in becoming a Member and in purchasing an Equity Interest. (All capitalized terms used in this Agreement which are not otherwise defined, shall have the same meanings ascribed to them in the Operating Agreement.) Effective as of the date of this Agreement, as stated below, the undersigned has purchased fifty (50) Units in the Company and has delivered the sum of XXXThousand Dollars ($XX,000) for the payment in full of such Units with the delivery of this Agreement to the Company.
The undersigned hereby assumes all of the duties, obligations and responsibilities imposed upon it as a Member under the Operating Agreement and accepts the restrictions imposed upon its Equity Interest under the Operating Agreement, the same as if it had signed the Operating Agreement and had been specifically named in the Operating Agreement as a Member. Without in any way intending to limit the generality of the foregoing, the Member acknowledges and agrees that the Operating Agreement may be amended from time to time upon the written agreement of a majority of the Members and that the Equity Interest acquired by the undersigned is subject to redemption by the Company upon the terms stated therein.
IN WITNESS WHEREOF, the undersigned has caused this Agreement to be executed by its duly authorized officer as of the ___ day of __________, 200__.
Translation - Spanish CONTRATO DE RECONOCIMIENTO Y ASUNCIÓN DE DEUDA
El suscrito por medio de la presente reconoce que uno de sus representantes autorizados revisó cuidadosamente el Segundo Contrato de Acuerdo Operativo Modificado y Actualizado (el “Contrato Operativo”) celebrado el X de diciembre del 200X por XXX LLC (anteriormente XXXXCompany, LCC), compañía de responsabilidad limitada de XXX (la “Compañía). El suscrito declara que se le dio una amplia oportunidad para revisar las operaciones de la Compañía y familiarizarse con el riesgo que involucra el convertirse en un Miembro y comprar una Participación Accionaria. (Toda la terminología que aparece en este Contrato con mayúsculas iniciales y que no se encuentre definida habrá de tener el mismo significado atribuido en el Contrato Operativo). Entra en vigor en la fecha de celebración de este Contrato, indicada en la presente; el suscrito compró cincuenta (50) participaciones de la Compañía y entregó la suma de XXX mil dólares ($XXX,000) por concepto del pago completo de dichas participaciones al momento de entregar este Contrato a la Compañía.
El suscrito por medio de la presente asume todos los deberes, obligaciones y responsabilidades que le son impuestos por ser Miembro de conformidad con el Contrato Operativo y acepta las restricciones impuestas en su Participación Accionaria de conformidad con el Contrato Operativo, de la misma manera que si hubiera firmado el mismo y se le hubiera específicamente nombrado en el Contrato Operativo como Miembro. Sin perjuicio de lo establecido, el Miembro reconoce y conviene en que se podrá modificar, ocasionalmente, el Contrato Operativo mediante acuerdo por escrito de la mayoría de los Miembros y que es susceptible a que la Compañía vuelva a comprar la Participación Accionaria que adquirió de conformidad con los términos establecidos en la presente.
En testimonio de lo anterior, el suscrito celebró este Contrato mediante su directivo debidamente autorizado, al día____ de_______, 200__.
