OF ABC LLC
THIS OPERATING AGREEMENT, dated effective as of the 24th day of April, 2009, is entered into by and between AAA, a natural person residing at ___________, BBB, a natural person residing at ___________, CCC, a natural person residing at ___________, DDD, a natural person residing at ___________, EEE, a natural person residing at ___________, and FFF LLC, a North Carolina limited liability company.
Statement of Purpose
The parties hereto desire to form a limited liability company pursuant to the Act (as hereinafter defined). The Company (as hereinafter defined) may engage in any lawful business including ownership of one or more Doctor’s Express urgent care facilities.
NOW, THEREFORE, for One Dollar ($1.00) and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, and the mutual promises contained herein, the parties hereto agree as follows:
ARTICLE I
DEFINITIONS
For purposes of this Agreement, the following terms shall have the meanings set forth below:
1.1 Act
“Act” shall mean the North Carolina Limited Liability Company Act, codified in Chapter 57C of the North Carolina General Statutes, as amended from time to time. References herein to various sections in the Act are to corresponding sections in the North Carolina General Statutes comprising the Act.
1.2 Agreed Value
“Agreed Value” shall have the meaning set forth on Exhibit B, attached hereto and incorporated herein by reference.
1.3 Agreement
“Agreement” shall mean this Operating Agreement, as amended from time to time. This Agreement shall govern the affairs of the Company, and the conduct of its business, and shall be binding upon all Members.
1.4 Articles
“Articles” means the Articles of Organization (or similar organizational document) of the Company, as filed with the Secretary of State, as the same may be amended from time to time.
1.5 Assignee
“Assignee” shall mean a Person who has acquired a beneficial interest in the Membership Interest of a Member, but who is not a Member.

СТАТЬЯ I
ОПРЕДЕЛЕНИЯ
Для целей настояшего Соглашения приведённые ниже термины имеют следующее значение:
1.1 Закон
«Закон» означает Закон штата Северная Каролина «О компаниях с ограниченной ответственностью», включенный в гл. 57C Сборника общих законов штата Северная Каролина, с учётом периодически вносимых в него изменений. Содержащиеся в настоящем Соглашении ссылки на какие-либо положения Закона относятся к соответствующим положениям Сборника общих законов штата Северная Каролина, составляющих Закон.
1.2 Согласованная стоимость
«Согласованная стоимость» должна пониматься в соответствии со значением, установленным в Приложении B к настоящему Соглашению, которое включено в текст настоящего Соглашения посредством ссылки.
1.3 Соглашение
«Соглашение» означает настоящее Соглашение участников, с учётом периодически вносимых в него изменений. Деятельность Компании, в том числе её коммерческая деятельность, регулируется настоящим Соглашением, которое имеет обязательную силу для всех Участников.
1.4 Свидетельство
«Свидетельство» означает Свидетельство о регистрации (или иной документ о регистрации) Компании, подаваемое государственному секретарю штата, с учётом вносимых в него изменений.
1.5 Правопреемник
«Правопреемник» означает лицо, имеющее бенефициарное участие в Доле участника, но само не являющееся Участником.

ООО AAA, именуемое в дальнейшем «Лицензиар», в лице Генерального директора BBB, действующего на основании Устава, с одной стороны, и
CCC, именуемое в дальнейшем «Лицензиат», в лице Генерального директора DDD, действующего на основании Устава, с другой стороны,
вместе и/или по отдельности именуемые соответственно «Стороны» или «Сторона», на основании и в соответствии с Лицензионным договором № ______ от «____» _________ 2009 г. («Договор») заключили настоящее Финансовое Соглашение («Соглашение») о нижеследующем:
1. Настоящее Финансовое соглашение заключается сроком на 1(Один) год и содержит условия использования Лицензии в соответствии с Договором в течение 1 года, начиная с момента вступления Договора в силу. На каждый последующий год использования Лицензии Стороны заключают новое Финансовое соглашение.
2. За предоставление исключительной Лицензии в соответствии с условиями Договора вознаграждение Лицензиара за один календарный год (Срок Лицензии в соответствии с Лицензионным договором) составляет 10% (___) от цены произведенного Лицензиатом тиража Продукции (Таблица 1), включая НДС.
3. В счет вознаграждения Лицензиат обязуется выплатить Лицензиару 8 000 евро в течение 3 рабочих дней с момента подписания Договора.
4. Когда сумма причитающегося Лицензиару вознаграждения превысит сумму, предусмотренную п. 3 настоящего Соглашения, что определяется Сторонами на основании отчетов Лицензиата, Лицензиат обязуется выплачивать Лицензиару вознаграждение, которое установлено в п. 2 настоящего Соглашения, то есть10% (___) от цены произведенного Лицензиатом тиража Продукции (Таблица 1), включая НДС.
5. Выплата денежных средств, указанных в п. 4 настоящего Соглашения, производится Лицензиатом одновременно с представлением отчетности в соответствии с Договором, то есть ежеквартально не позднее 10 (десятого) числа месяца, следующего за отчетным периодом. Первый платеж производится по результатам квартала, в котором имело место превышение тиража по какому-либо наименованию Продукции.
6. Настоящее Соглашение вступает в силу с момента вступления в силу Лицензионного договора № ___ от «___»___________ 2009 г. и является его неотъемлемой частью.
7. Настоящее Соглашение составлено в двух экземплярах, имеющих одинаковую юридическую силу, по одному для каждой из Сторон.

hereinafter collectively referred to as “Parties” and individually as a “Party”, on the basis and in accordance with Exclusive License Agreement No. ______ dated «____» _________ 2009 (“Exclusive License Agreement”) have agreed as follows:
1. This Financial Agreement is made for 1 (one) year and defines the terms for the use of License in accordance with Exclusive License Agreement for a period of one year, beginning with the effective date of Exclusive License Agreement. Parties shall sign a new Financial Agreement for each consecutive year of using the License.
2. Licensor’s fee for the provision of exclusive License, in accordance with the terms of Exclusive License Agreement, for one calendar year (the term of License in accordance with Exclusive License Agreement) shall be 10% (____) of the price of Product copies produced by Licensee (Table 1), inclusive of VAT.
3. As part of Licensor’s remuneration Licensee shall pay to Licensor 8,000 euros within 3 business days of signing Exclusive License Agreement.
4. When the amount of fees to be paid to Licensor exceeds the amount specified in Clause 3 hereof - which shall be determined by Parties based on Licensee’s reports - Licensee shall pay to Licensor fees as defined in Clause 2 hereof, that is, 10% (___) of the price of Product copies produced by Licensee (Table 1), inclusive of VAT.
5. Payment specified in Clause 4 hereof shall be made by Licensee together with the submission of quarterly reports in accordance with Exclusive License Agreement, not later than on the tenth day of the month following the reporting period. The first such payment shall be made after a quarter in which the number of copies was exceeded for any Product name.
6. This Financial Agreement takes effect on the effective date of Exclusive License Agreement No. ___ dated «___»___________ 2009, and forms an integral part thereof.
7. This Financial Agreement was executed in two original counterparts, one for each Party.

The Obama administration on Wednesday unveiled a sweeping plan to regulate over-the-counter derivatives in an attempt to seize greater control over an opaque market that has been blamed for exacerbating the financial crisis.
The move is intended to increase transparency and reduce risk in a market that is worth more than $680,000bn but has so far been largely unregulated because of the laisser-faire regime sanctioned by US authorities at the start of the decade.
The new government plan would force all “standardised” OTC derivatives to be cleared through central clearinghouses, to reduce the risk of investors being dangerously exposed to a single counterparty. These types of derivatives, which are estimated to make up the bulk of the market, would also have to be traded on regulated exchanges via electronic systems. Currently many trades are done over the phone, making them hard to track and record.
The new system could affect the earnings of banks, energy companies and other large corporate users of derivatives as it would force them to set aside more capital to cover potential losses.
The plan, presented by Tim Geithner, Treasury secretary, and other financial regulators, attempts to reverse the deregulation ushered in by the 2000 Commodity Futures Modernisation Act. At the time, the legislation was backed by Alan Greenspan, chairman of the Federal Reserve, and Larry Summers, the then-Treasury secretary and currently Mr Obama’s chief economic adviser.
“This is enormously important,” said Mr Geithner. “We need better broader authority, better information, and we need a better commitment of supervisory authorities to enforce those laws.”
Central clearers will be required to produce publicly available data on trading volumes under the plan, and reveal to regulators the trades of individual counterparties.
The new laws would catch a substantial chunk of the market for credit default swaps – a product that was behind the collapse and subsequent nationalisation of insurer AIG.
Mary Schapiro, head of the Securities and Exchange Commision, said there was “a widespread agreement that OTC derivatives, particularly credit default swaps, have contributed greatly to the financial mess that we are cleaning up today”.
The move to clearing and exchanges would not apply to non-standardised derivatives, but Mr Geithner said such tailor-made instruments were “not a dominant part of these markets now”. However, dealers in those markets and firms with large exposures to them would become subject to greater regulation.

В результате рынок деривативов должен стать более прозрачным и менее рисковым. Этот рынок, стоимость которого превышает 680 трлн. долларов, до сих пор очень слабо регулировался в соответствии с режимом невмешательства, введённым американскими властями в 2000г.
По новому плану расчёты по всем стандартизированным контрактам из внебиржевого сегмента должны будут проходить через центральные клиринговые палаты, в целях уменьшения риска для инвесторов. Торговля такими бумагами, которые составляют большую часть рынка деривативов, будет производиться на регулируемых биржах через электронные системы. В настоящее время многие подобные операции производятся по телефону, что затрудняет их отслеживание и контроль над ними.
Новые правила ударят по интересам банков, энергетических компаний и других крупных корпоративных участников рынка деривативов, поскольку теперь им придётся выделять более значительные средства для покрытия возможных убытков.

«Общее мнение то, что внебиржевые деривативы, особенно кредитные дефолтные свопы, во многом виноваты в той каше, которую мы сегодня расхлёбываем», - подчеркнула Мэри Шапиро, глава Комиссии по ценным бумагам и биржам США.
Объявленные меры не будут применяться по отношению к нестандартизированным деривативам. Однако, как отметил г-н Гейтнер, такие штучные инструменты не играют определяющей роли на рынке.
Вместе с тем, дилеры, работающие на таких рынках, как и зависящие от них компании, будут регулироваться строже.

Борис Березовский требует долю в «Металлоинвесте»

У одного из крупнейших горно-металлургических холдингов России — «Металлоинвеста» появился неожиданный кандидат в акционеры. На 5% компании претендует лондонский изгнанник Борис Березовский.
Березовский 18 февраля этого года подал в Высокий суд Лондона иск против Василия Анисимова, его компании Coalco, владеющей 20% акций «Металлоинвеста», и наследников своего покойного партнера Бадри Патаркацишвили — карточка дела есть у «Ведомостей». Березовский подтвердил подачу иска, его цель — подтвердить права на 5% акций «Металлоинвеста» (сейчас холдинг принадлежит Алишеру Усманову, Андрею Скочу и Анисимову).
По словам бизнесмена, они с Патаркацишвили перевели на счета компаний Анисимова около $500 млн, полученных от продажи 25% акций «Русала», для финансирования покупки 25% акций Михайловского ГОКа. Всего в 2005 г. Усманов и Анисимов приобрели у Бориса Иванишвили 97% ГОКа за $1,65 млрд. Березовский рассказывает, что акции ГОКа ему и Патаркацишвили не принадлежали, их интересы представлял Анисимов, но была договоренность, что после консолидации активов в «Металлоинвест» (это произошло в 2006 г.) он и Патаркацишвили получат по 5% акций холдинга. На вопрос, почему раньше ни он, ни Патаркацишвили не предъявляли права на акции «Металлоинвеста», Березовский ответил, что бизнесом распоряжался Патаркацишвили — это было его решение.
В 2005 г. между Березовским и Патаркацишвили появились серьезные разногласия, и они решили разделить бизнес. Патаркацишвили на протяжении нескольких лет выкупал активы, акции и доли у Березовского. Год назад Патаркацишвили скончался от сердечного приступа. Как сообщает источник, близкий к его семье, на следующий день после смерти партнера Березовский встретился с его супругой Инной Гудавадзе: «Она не понимала, что делает, он подсунул ей подписать бумаги, удостоверяющие, что половина капитала покойного принадлежит ему». Это подтверждает и другой бизнесмен, знакомый с вдовой, по его словам, она подписала бумаги, но потом решила аннулировать документ и сейчас Гудавадзе и Березовский судятся по этому поводу. 12 декабря 2008 г. Березовский подал в Высокий суд Лондона иск против семьи Патаркацишвили, чтобы подтвердить права на половину неподеленных активов.
Представитель семьи Патаркацишвили передал, что они отказываются от комментариев. Березовский также не стал комментировать договоренности с вдовой и дело о наследстве покойного.
Анисимов и Усманов отказались разговаривать об иске Березовского. А представители компаний — акционеров «Металлоинвеста» заявили, что все представленные Березовским данные не соответствуют действительности, и опровергли наличие каких-либо обязательств, связанных с покупкой акций Михайловского ГОКа и правами на акции «Металлоинвеста». Раньше Усманов рассказывал «Ведомостям», что ГОК они с Анисимовым покупали на свои деньги плюс кредит в $1 млрд от ВТБ. Бывший менеджер ВТБ, работавший на момент той сделки в банке, подтверждает: Усманов и его партнеры использовали для финансирования покупки только кредит и собственные средства.
Березовский уже подал в Высокий суд Лондона больше десятка исков — в частности, к Роману Абрамовичу, обвинив его в том, что из-за его действий он получил слишком мало за продажу акций ОРТ, «Сибнефти» и «Русала».
До кризиса «Металлоинвест» оценивали в $30 млрд, сейчас его стоимость упала на порядок, говорит аналитик «Метрополя» Вячеслав Смольянинов: «Вряд ли цель Березовского — именно получение 5% акций компании, доказательство прав на этот пакет, если они и есть, может занять годы, а вот сама по себе атака на акционеров «Металлоинвеста» не очень своевременна для них, ведь недавно они предложили правительству объединить «Металлоинвест» с «Норникелем». Впрочем, замечает аналитик, подобные иски не всегда препятствуют планам крупных компаний — например, Михаил Черной давно судится с Олегом Дерипаской за акции «Русала», но это не помешало «Русалу» объединиться с «Суалом», а потом привлечь в качестве акционера Михаила Прохорова в обмен на долю в «Норникеле».

Boris Berezovsky claims stake in Metalloinvest
Legal battle
Metalloinvest, one of Russia’s leading mining and metals companies, has a new potential shareholder: Russian billionaire Boris Berezovsky, who lives in self-imposed exile in London, is claiming a 5 percent stake in the company.
On 18 February Berezovsky filed a lawsuit with the High Court of Justice in London against Vasily Anisimov and his company Coalco, holding a 20 percent stake in Metalloinvest, as well as against the heirs of Berezovsky’s late partner Badri Patarkatsishvili. Berezovsky confirmed that he indeed filed the case, claiming his right to a 5 percent stake in Metalloinvest (currently owned by Alisher Usmanov, Andrei Skoch and Vasily Anisimov).
According to Berezovsky, he and Patarkatsishvili transferred to Anisimov’s Coalco some $500 million received from the sale of a 25 percent stake in aluminum company Rusal, to finance the acquisition of a 25 percent stake in Mikhailovsky GOK. In 2005, Usmanov and Anisimov purchased a 97 percent stake in Mikhailovsky GOK for $1.65 billion. Berezovsky said neither he nor Patarkatsishvili owned the GOK shares – their interests were represented by Anisimov – but that it was agreed that after the consolidation of the assets into Metalloinvest (which happened in 2006) he and Patarkatsishvili would each get a 5 percent stake in the company.
Asked why neither he nor Patarkatsishvili claimed their rights before, Berezovsky said that the business was run by Patarkatsishvili. In 2005, major disagreements surfaced between the two partners, and they decided to split. After that Patarkatsishvili had been buying the assets and shares from Berezovsky for several years until he died of a heart attack a year ago. According to a source close to the late businessman’s family, Berezovsky met with Patarkatsishvili’s widow Inna Gudavadze the next day after the death: “She was not in her senses, and Berezovsky gave her papers to sign stating that half of Patarkatsishvili’s capital belonged to Berezovsky.” Another businessman familiar with the widow confirmed this, saying that she had signed the papers but decided to annul the document later, and was fighting a legal battle against the unscrupulous oligarch. In his turn, Berezovsky filed a case against the Patarkatsishvili family with the High Court of Justice in London on December 12, 2008, seeking to confirm his right to half of Patarkatsishvili’s assets. The members of the family refused to comment on the matter, and Berezovsky did not elaborate, either. Anisimov and Usmanov also refused to discuss Berezovsky’s case.
The representatives of Metalloinvest’s shareholders dismissed Berezovsky’s information as untrue and denied any obligations connected with the acquisition of Mikhailovsky GOK’s shares and alleged rights to the Metalloinvest stock. Usmanov told Vedomosti earlier that he and Anisimov had paid for the GOK shares with their own cash and a $1 billion loan from VTB. This information was confirmed by a former VTB manager who worked in the bank at the time.
Berezovsky has already filed about a dozen lawsuits with the High Court of Justice, including one against his former partner Roman Abramovich whom he accused of using intimidation to force Berezovsky to sell cheaply his stakes in ORT television channel, oil company Sibneft and aluminum giant Rusal.
Before the crisis, Metalloinvest was worth some $30 billion, but its value has dropped sharply since, according to Vyacheslav Smolyaninov, an analyst with Metropol. “It is unlikely that Berezovsky’s real goal is to obtain a 5 percent stake in Metalloinvest: his right, even if supported by some evidence, could take years to prove. On the other hand, the attack against Metalloinvest’s shareholders could be ill-timed for them, coming shortly after their proposal to merge with Norilsk Nickel. Though, such suits do not necessarily stand in the way of large companies’ plans, the expert reckons. Indeed, Mikhail Chernoi has long been in a legal battle against Oleg Deripaska for Rusal’s shares, which did not prevent Rusal to merge with SUAL, later also offering a stake to Mikhail Prokhorov in exchange for his shares in Norilsk Nickel.

Intricate story
Berezovsky insists that the money transferred to Anisimov was what Berezovsky and Patarkatsishvili received from the sale of a 25 percent stake in Rusal – the company co-owned by them since it was founded in 2000. Dmitry Bosov, a former shareholder in the Krasnoyarsk Aluminum Plant, told Vedomosti that he was entitled to a portion of the proceeds from the sale of Berezovsky and Patarkatsishvili’s stake in Rusal. In late 1999, Bosov says, he offered them to buy into the Krasnoyarsk Aluminum Plant, for which the two businessmen promised to pay 25 percent of what they would get from the sale of their stake in Rusal; the agreement was later modified, replacing the amount with the fixed sum of $200 million. “They agreed but never paid me,” Bosov maintained. For his part, Berezovsky denies that he and Patarkatsishvili undertook such obligations.
