1. Financial statements provided by the company. These may be audited and in full compliance with Generally Accepted Accounting Principles (GAAP) and supplemented by special reports to the Securities and Exchange Commission for publicly held companies, or they may be unaudited or company prepared financial statements with limited disclosures.
2. Financial statements of comparable businesses from your institution’s files or composite statements from other companies in the same industry.
3. Conversation with management of the borrower and your observations of the borrower’s assets and activities.
Companies that prepare financial statements in accordance with GAAP are required to produce four basic financial statements:
1. Income statement, showing revenues and expenses for the period and indicating profits or losses.
2. Balance sheet, showing assets, liabilities, and owners’ equity at the end of the period
3. Statement of cash flows, showing operating, investing, and financing cash flows for the period
4. Reconciliation of net worth, showing beginning and ending balances of capital accounts and the additions to and deductions from the capital accounts during the period
In addition, GAAP requires that certain disclosures be made in notes to the financial statements. These notes are an integral part of the financial statements and are necessary for an understanding of the financial condition and performance of the company.
Translation - English Agreement on Contractual Credit Card Promotion Service
This Service Agreement (hereafter referred to as “the Agreement”) is entered into by and between Standard Chartered Bank (Taiwan) Limited (hereafter “Party A”) and ____________________________________ (hereafter “Party B”) on ____ (date) ______ (month) ________(year).
Whereas, Party A is a bank authorized to issue credit cards. Party A may issue Master Cards and Visa Cards and conduct all credit card related businesses in accordance with the regulatory rules.
Party B is a company incorporated under the laws of the R.O.C and may conduct business operation according to the laws.
Whereas Party A plans to commission Party B to help promoting Party A's credit cards in the R.O.C, and Party B agrees to provide such services to Party A, both parties agree to sign the Agreement and accept the following terms and conditions.
I. Definitions of Terms
"Party A Credit Card(s)" in the Agreement shall refer to all types of Master Cards and Visa Cards issued by Party A in accordance with applicable laws with the name of issuing bank on the cards, including principal cards and supplementary cards of all Party A's credit cards. The term “a month” in the Agreement refer to a period of time from the first day to the last day of a month of the calendar.
II. Services of Party B
(1) Party B is a non-exclusive marketing agency of Party A in the territory of Taiwan (including Taiwan, Penghu, Kinmen, and Matsu) for the promotion of Party A Credit Cards. Unless otherwise agreed by Party A in writing, Party B shall neither promote Party A Credit Cards nor conduct any credit card related businesses outside the territory of Taiwan (including Taiwan, Penghu, Kinmen, and Matsu).
(2) Party B agrees to make the best efforts with its human resources to solicit credit card customers for Party A within the aforementioned territory. However, other promoting endeavors and marketing activities and approaches of Party A (including but not limited to telemarketing, Take-One, direct sales, Internet promotion, advertising mails, affinity cards, co-branded card, and credit cards jointly issued with other financial institutions) shall be defined and directly managed and implemented by Party A based on its overall marketing strategy. Unless otherwise agreed in advance by Party A in writing, Party B shall not be engaged in or conduct the aforementioned endeavors, activities and approaches or promote affinity and co-branded cards .
(3) Party A shall promptly inform Party B of the related information about credit card application and the rights and obligations of card holders as well as data necessary for Party A Credit Card promotion. This requirement shall also apply to modifications or changes of the aforementioned information. When promoting Party A Credit Cards, any Party A Credit Card information provided by Party B and Party B staff shall be consistent with the information provided by Party A.
