Definitions
The following terms whenever used in this law shall have the meanings assigned to them as follows:
1-Circulation: To put the printed material within the reach of a number of persons by distributing them freely or by offering them for sale or by sticking them to walls or by displaying them on the fronts of show rooms or in light boards or streets sign boards or by other means.
2-Journalism: The Profession of editing or issuance of journals.
3-Journalist: Any person who practice editing of journals as a profession whether full or part-¬time.
4-The Journal: Any printed matter under a constant title issued periodically or occasionally on a regular or irregular date such as newspaper, magazines and bulletins.
5-Printer: The person responsible for the press whether the owner or the person acting for him.
6-Printing Press: Any establishment prepared for printing words, sounds, drawings or pictures for the purpose of circulation.
7-Printed Materials: Any means of expression suitable for circulation whether a word, drawing, picture or sound.
8-Bookshop: The place prepared for offering books, newspapers or the like for sale or renting.
9-Distributor: The intermediary - whether an individual or a company - between the author or the publisher and the distribution points and the beneficiary.
10-The Author: The person who prepares a scientific, cultural or artistic material for the purpose of circulation.
11-The Publisher: The person who issues a scientific, cultural or artistic work for the purpose of circulation.
12-The Ministry: The Ministry of Information.
13-The Minister: The Minister of Information.
Article Two
The following activities shall be governed by the provisions of this Law:
1. Printed Matters.
2. Pre-printing Preparatory Services.
3. Printeries.
4. Bookshops.
5. Drawing and Writing.
6. Photography.
7. Importation of Films and Videotapes, sale or rent thereof.
8. Tape Recording and Discs.
9. Radio, Television, Cinematographic or Theatrical Artistic works.
10. Televisions and Broadcasting studios.
11. The Offices of Foreign Information Media and their Reporters.
12. Publicity and Advertisement.
13. Public Relations.
14. Publication.
15. Distribution.
16. Journalistic Services.
17. Production, Sale or Renting of Computer Programs.
18. Information Studies and Consultations.
19. Copying and Reprography.
20. Any activity suggested to be added by the Ministry and approved by the Prime Minister.
Article Three
Call to Islam, noble manners, leading to all that is good and proper and spreading of culture and knowledge shall be among the purposes of printed matters and publication.
Article Four
1- None of the activities mentioned in Article Two shall be carried out except with a license from the Ministry and this shall not be an excuse to justify failure to obtain any license required by other laws.
2- The Implementing Regulations shall determine the period of the license for each activity in addition to the grace period for renewal of the license before its expiration after making sure that the activity was being carried out.

تعريفات :
تدل المصطلحات الآتية، حيثما وردت في هذا النظَام، على المعاني المبينة قرينها .
1- التداول :
جعل المطبوعة في متناول عدد من الأشخاص بتوزيعها مجاناً، أو عرضها للبيع، أو إلصاقها على الجدران، أو عرضها على واجهات المحلات، أو اللوحات الضوئية، أو لوحات الطرق، أو غير ذلك.
2- الصحافة :
مهنة تحرير المطبوعات الصحفية أو إصدارها.
3- الصحفي :
كل من اتخذ التحرير الصحفي مهنة له، سواءً أكانت أصلية أم إضافية.
4- الصحيفة :
كل مطبوعة ذات عنوان ثابت تصدر بصفة دورية أو في المناسبات في مواعيد منتظمة أو غير منتظمة، كالجرائد والمجلات والنشرات.
5- الطابع :
المسؤول عن المطبعة سواء أكان صاحبها أم من يقوم مقامه.
6-المطبعة :
كل منشأة أعدت لطبع الكلمات، أو الأصوات، أو الرسوم، أو الصور بهدف تداولها .
7- المطبوعة :
كل وسيلة للتعبير، مما يطبع للتداول، سواءً أكان كلمة، أم رسماً, أم صورة، أم صوتاً.
8- المكتبة :
المحل المعد لعرض الكتب، أو الصحف، أو ما في حكمها للبيع أو للتأجير .
9- الموزع :
الوسيط – فرداً أو شركة – بين المؤلف أو الناشر، ونقاط التوزيع، والمستفيد .
10- المؤلف :
من يقوم بإعداد مادة علمية أو ثقافية أو فنية بهدف تداولها .
11- الناشر :
من يتولى إصدار أي إنتاج علمي أو ثقافي أو فني بغرض التداول.
12- الوزارة :
وزارة الإعلام .
13- الوزير .
وزير الإعلام .
المادة الثانية :
تخضع لأحكام هذا النظَام النشاطات الآتية :
1- المطبوعات .
2- خدمات الإعداد لما قبل الطباعة .
3- المطابع .
4- المكتبات .
5- الرسم والخط .
6- التصوير الفوتوغرافي .
7- استيراد الأفلام وأشرطة الفيديو، أو بيعها، أو تأجيرها .
8- التسجيلات الصوتية والأسطوانات .
9- الإنتاج الفني الإذاعي أو التلفزيوني أو السينمائي أو المسرحي.
10- الاستديوهات التلفزيونية والإذاعية .
11- مكاتب وسائل الإعلام الأجنبية ومراسلوها.
12- الدعاية والإعلان.
13- العلاقات العامة .
14- النشر .
15- التوزيع.
16- الخدمات الصحفية .
17-إنتاج برامج الحاسب الآلي أو بيعها أو تأجيرها.
18- الدراسات والاستشارات الإعلامية .
19- النسخ والاستنساخ.
20- أي نشاط تقترح الوزارة إضافته، ويقره رئيس مجلس الوزراء .
المادة الثالثة :
يكون من أهداف المطبوعات والنشر الدعوة إلى الدين الحنيف ومكارم الأخلاق ، والإرشاد إلى كل ما فيه الخير والصلاح، ونشر الثقافة والمعرفة .
المادة الرابعة :
1-لا يجوز مزاولة أي نشاط مما ذكر في المادة الثانية، إلا بترخيص من الوزارة، ولا يعفي هذا من الحصول على أي ترخيص توجبه الأنظمة الأخرى.
2-تحدداللائحة التنفيذية مدة الترخيص لكل نشاط، كما تحدد المهلة المناسبة لتجديد الترخيص قبل انتهائه بعد التأكد من مزاولة المهنة.

بالموافقة على اللائحة التنفيذية لنظام المؤسسات الصحفية
إن وزير الإعلام
بناءً على المرسوم الملكي الكريم رقم (م/20) وتاريخ 8/5/1422هـ الصادر بالموافقة على نظام المؤسسات الصحفية.
وعلى المادة ( التاسعة والعشرين) منه التي تخول وزير الإعلام إصدار اللائحة التنفيذية للنظام خلال عام من تاريخ صدوره.
يقرر ما يلي
المادة الأولى:
تعتمد اللائحة التنفيذية لنظام المؤسسات الصحفية بالصيغة المرفقة بهذا القرار.
المادة الثانية:
تنشر هذه اللائحة في الجريدة الرسمية ويعمل بها من تاريخ اعتمادها.
المادة الثالثة:
تبلغ هذه اللائحة للجهات المعنية للعمل بموجبها.

نص اللائحة
المادة الأولى: تعريفات
تدل العبارات الآتية حيثما ترد في مواد اللائحة على المعاني المبين قرينها:
1- المؤسسة الصحفية:
هي منشأة خاصة يقوم على إنشائها مجموعة من المواطنين لا يقل عددهم عن ثلاثين مواطنا وتحصل على ترخيص لممارسة نشاطها في مجال إصدار ونشر المطبوعات الصحفية الدورية وغير الدورية، وتلتزم بأحكام النظام وهذه اللائحة.
2- المطبوعات الصحفية الدورية:
هي كل مطبوعة تصدر باسم واحد وبصفة دورية منتظمة في مواعيد منتظمة بقصد التداول العام وتهدف إلى الإعلام والإرشاد والتوجيه، ولها رئيس تحرير وهيئة تحرير صحفية، وتهتم بنشر الأخبار والمقالات والتعليقات والمقابلات والتحقيقات الصحفية حسب نوع الدورية وموضوع تخصصها كالدوريات السياسية أو الأدبية أو الثقافية أو الرياضية أو متعددة التخصصات، وتقدم مادتها بأسلوب صحفي ويتم إخراجها وطباعتها بألوان وتصميمات مناسبة. وتكون المطبوعات الدورية على شكل:
«جريدة: وتصدر بصفة يومية صباحية أو مسائية.
«مجلة: وتصدر بصفة أسبوعية أو نصف شهرية أو شهرية أو فصلية أو سنوية.
«نشرة: متخصصة وتصدر بصفة أسبوعية أو شهرية أو فصلية وتخصص كل عدد منها لتغطية وتحليل حدث أو قضية أو أكثر مثارة من جوانب متعددة».
«كتاب دوري: ويصدر ضمن سلسلة متخصصة بصفة نصف شهرية أو شهرية أو فصلية بهدف خدمة إحدى القضايا الاجتماعية أو الثقافية أو غيرها لزيادة الوعي الفكري والثقافي ونشره.
3: رئيس التحرير:
هو الذي يرأس هيئة التحرير ويوجه ويشرف على تنفيذ سياسة المطبوعة الصحفية والمسئول عن كل ما ينشر فيها.
4: الصحفي:
كل من يمتهن الصحافة بشكل دائم سواء كان يعمل في مؤسسة صحفية أو منشأة إعلامية.
5: اللائحة الداخلية للمؤسسات الصحفية:
مجموعة القواعد والإجراءات التي تقرها الجمعية العمومية للمؤسسة الصحفية وتحدد سير العمل فيها وهيكلها التنظيمي والإداري.
6: اللوائح المنظمة لسير العمل:
القواعد والإجراءات المعتمدة من الجمعية العمومية للمؤسسة والمتعلقة بقواعد العمل وواجبات وحقوق العاملين والاشتراطات الخاصة بالصحة والوقاية من الحوادث وقواعد الإجازات ومواعيد دفع الأجور والقواعد الخاصة بالأجور والمكافآت والجزاءات وغير ذلك.
7: عضو المؤسسة:
هو الشخص الذي يملك جزءاً من رأس مال المؤسسة.
8: الترخيص:
الخطاب الرسمي الذي يصدر عن الوزارة بالموافقة على إنشاء المؤسسة الصحفية أو فروع لها، أو بالموافقة لها على إصدارات إضافية أو إجراء أي تعديلات تستوجب موافقة الوزارة المسبقة.
9: الإنابة في الحضور:
تفويض أحد أعضاء المؤسسة لعضو آخر كتابة لينوب عنه في الحضور والتصويت في أحد اجتماعات الجمعية العمومية.
10: العاملون في المؤسسة:
كل من يرتبط بعقد عمل مع المؤسسة من صحفيين ومهنيين وفنيين وإداريين وعمال وغيرهم.
11: السياسة الإعلامية للمملكة العربية السعودية: الصادرة بموجب قرار مجلس الوزراء رقم 169 بتاريخ 20-10-1402هـ.
12: نظام المطبوعات والنشر:
الصادر بموجب المرسوم الملكي رقم م-32 بتاريخ 3-9-1421هـ.
13: اللائحة التنفيذية لنظام المطبوعات والنشر:
الصادر بالقرار الوزاري رقم م-و-2759-1 بتاريخ 16-6-1422هـ.

الباب الأول
شئون المؤسسات الصحفية
الفصل الأول
ممارسة النشاط الصحفي
المادة الثانية: أهداف المؤسسة الصحفية.
1- يجب أن تتفق أهداف وإصدارات المؤسسة الصحفية وتلتزم بما يلي:
أ- أحكام السياسة الإعلامية للمملكة العربية السعودية.
ب. أحكام نظام المطبوعات والنشر ولائحته التنفيذية.
ج. أحكام نظام المؤسسات الصحفية وهذه اللائحة.
2- أن تكون سمة إصداراتها ذات طابع صحفي وتلتزم بالمصداقية والموضوعية واحترام المتلقي من خلال ممارستها للعمل الصحفي.
3- دعم قضايا التنمية والعمل على تحقيق مبدأ التعاون بين المواطن والمؤسسات الحكومية وغير الحكومية في المملكة.
4- أن يكون التنافس الصحفي بين المؤسسات على أساس تقديم خدمة أفضل مع احترام حقوق الآخرين.
5- العمل على اكتشاف ورعاية وتشجيع المبدعين في مجال العمل الصحفي وإتاحة الفرص أمام العناصر الشابة وتذليل العقبات التي تعترض طريقهم.
المادة الثالثة : إجراءات ترخيص المؤسسة الصحفية
على كل من يرغب في تأسيس مؤسسة صحفية لإصدار مطبوعات صحفية استكمال الإجراءات التالية:
1: تقديم طلب ترخيص للوزارة موقع من عدد لا يقل عن ثلاثين مواطنا لإنشاء المؤسسة الصحفية، ويحدد المؤسسون شخصاً يمثلهم في متابعة إجراءات الطلب، على أن يرفق بالطلب ملف يشتمل على البيانات والمستندات التالية:
أ. بيان بأسماء المؤسسين ومؤهلاتهم ومهنهم وأعمارهم.
ب. بيان أهداف المؤسسة واسمها والمطبوعات الدورية التي ستقوم بإصدارها واللغات التي ستصدر بها.
ج. بيان برأس مال المؤسسة بالمقدار الكافي لتحقيق أهدافها وعدد الأسهم التي يساهم بها كل عضو وقيمة كل سهم.
د . دراسة جدوى اقتصادية وإعلامية لإنشاء المؤسسة.
هـ. تحديد المقر الرئيسي للمؤسسة واسم المطبوعة الدورية الأساسية.
و. تحديد المطبعة التي ستتعامل معها المؤسسة وعنوانها إذا كانت ستطبع إصداراتها خارج نطاق المؤسسة.
2. يجب أن تتوفر في الأعضاء المؤسسين أو الجدد الشروط المنصوص عليها في المادة السادسة من النظام.
3. للوزارة طلب أي معلومات أو بيانات لاستكمال دراسة الطلب قبل الرفع عنه لأخذ موافقة رئيس مجلس الوزراء.
4. للمؤسسة إنشاء فروع لها في مختلف مدن المملكة بعد الحصول على ترخيص لكل فرع من الوزارة.
5. تلتزم المؤسسة بفتح مكاتب صحفية لها في الخارج أو بتعيين مراسلين في العواصم المهمة والاشتراك في وكالة أنباء عالمية مصورة واحدة على الأقل.
6. يعتبر الترخيص الصادر من الوزارة أساساً لممارسة المؤسسة وفروعها لنشاطها الإعلامي، ولا يغني هذا الترخيص عن الحصول على التراخيص اللازمة من الجهات الحكومية الأخرى التي تستوجبها الأنظمة واللوائح المرعية.
المادة الرابعة : استكمال إجراءات التأسيس:
1- بعد صدور الترخيص من الوزارة للمؤسسة يجتمع المؤسسون بصفتهم لجنة تأسيسية، ويختارون لجنة لإعداد مشروع اللائحة الأساسية الداخلية للمؤسسة، تتضمن «أهدافها، العضوية، الجمعية العمومية واختصاصاتها واجتماعاتها، مجلس الإدارة وتكوينه وعدد أعضائه واختصاصاته واجتماعاته ومدة العضوية فيه، رأس مال المؤسسة، الأسهم، المدير العام للمؤسسة ورئيس التحرير واختصاصات كل منهما، المطبوعات الأساسية التي تصدر عن المؤسسة» وغير ذلك من أمور تنظم عمل المؤسسة.
2- يعرض مشروع اللائحة على الأعضاء المؤسسين لإبداء مرئياتهم وتعيد اللجنة النظر في اللائحة في ضوء ذلك.
3- يرفع مشروع اللائحة إلى الوزارة لإبداء ملاحظاتها والتأكد من عدم وجود نصوص تتعارض مع الأنظمة والتعليمات النافذة.
4- يجتمع بعدها أعضاء المؤسسة بصفتهم جمعية عمومية لدراسة وإقرار اللائحة بعد الأخذ بعين الاعتبار ملاحظات الوزارة ثم ترفع اللائحة بشكلها النهائي للوزارة لاعتمادها.
الفصل الثاني
إصدارات المؤسسات الصحفية
المادة الخامسة: الترخيص للدوريات
1. لا يحق للمؤسسة إصدار المطبوعات الدورية إلا بعد الحصول على موافقة الوزارة لكل مطبوعة وفق الإجراءات التالية :
أ. أن تكون المؤسسة قد بدأت في ممارسة نشاطها الفعلي بعد حصولها على الترخيص لها.
ب. يحق للمؤسسة طلب إصدار مطبوعات دورية إضافية إذا كانت قد قامت بإصدار المطبوعات التي سبق أن رخص لها بها.
ج. اختيار رئيس تحرير للمطبوعة الجديدة وفق النظام وهذه اللائحة.
د. في حال رغبة المؤسسة إصدار مطبوعة بديلة لأحد إصداراتها فلا بد من تقديم دراسة للوزارة عن مبررات ذلك.
هـ. لا يحق للمؤسسة التوقف عن إصدار أي من مطبوعاتها المرخصة إلا بعد تقديم المبررات والدوافع للوزارة لدراستها، مع التزام المؤسسة للوفاء بكل الالتزامات التي ترتبت عليها للآخرين.
2. للمؤسسة تسويق مطبوعاتها الصحفية من خلال تخزينها في أوعية حافظة لها مثل الميكروفيلم أو الاسطوانات المدمجة أو بتجميعها في مجلدات أو إعداد كشافات تحليلية للموضوعات التي تم نشرها في كل دورية أو غيرها من طرق النشر، دون الحاجة لترخيصها من الوزارة مع مراعاة أداء الحقوق لأصحابها.
3. للمؤسسة إصدار بعض مطبوعاتها من الفروع بعد موافقة الوزارة على ذلك، على أن يكون إصدار المطبوعة الرئيسية من مقرها الرئيسي.
4. للمؤسسة إصدار طبعات طبق الأصل لإصداراتها الدورية من الفروع بعد موافقة الوزارة.
5. يجب على المؤسسة الصحفية إصدار مطبوعاتها الدورية خلال مدة لا تزيد على سنة من تاريخ حصولها على موافقة الوزارة أو تقدم المبررات لأسباب التأخير والحصول على موافقة الوزارة على إعطاء المؤسسة مهلة إضافية.
6. إذا رغبت المؤسسة أو رئيس التحرير إجراء تعديلات على أي من البيانات المعتمدة للمطبوعة فيتم تقديم طلب بذلك للوزارة مع بيان المبررات للحصول على موافقتها.
7. يتم تحديد سعر المطبوعة الدورية وقيمة الاشتراك بها أو تعديلهما بعد موافقة الوزارة.
الباب الثاني
العضوية- الجمعية العمومية- مجلس الإدارة
الفصل الأول
العضوية
المادة السادسة : أعضاء المؤسسة
1. تتكون الجمعية العمومية للمؤسسة الصحفية من الأعضاء المؤسسين الذين صدر ترخيص لهم بقيام المؤسسة.
2. يجوز دخول أعضاء جدد إلى المؤسسة ممن تتوافر فيهم شروط العضوية وفق أحكام النظام وهذه اللائحة وبعد موافقة الوزارة وذلك من خلال بيع أو تنازل بعض الأعضاء عن بعض أسهمهم أو عن طريق الإرث أو زيادة رأس مال المؤسسة.
3. تختار الشخصية المعنوية الراغبة في الانضمام إلى أي مؤسسة صحفية من يمثلها في الجمعية العمومية.
Translation - English Resolution No. __________ relating the approval of the Executive regulation of the system of the journalistic institutions.
The Minister of Information, according to the royal decree no. (M/20) dated 8/5/1422 AH issued for the approval of the system of the journalistic institutions.
In addition to, article (29) thereof which entitle the Minister of Information to issue the executive regulation of the system within a year from the date of the issuance of the decree.
The Minister of Information hereby decide the following:
Article 1:-
The executive regulation of the system of the journalistic institutions shall be accredited in the attached form to this resolution.
Article 2:-
This regulation shall be published in the official gazette and it shall be applicable from its accreditation date.
Article 3:-
This resolution shall be informed to the concerned authorities to work under it.

Text of the Regulation
Article 1:- Definitions
The following words and phrases in the articles of the regulation shall have the assigned meaning to them:
1- Journalistic Institution: It is a private institution, which is established by a group of citizens who are not less than thirty and it shall have a license to exercise its activity in the scope of issuing and publishing the journalistic publications whether regularly or irregularly and it shall adhere to the system rules and this regulation.
2- Regular Journalistic Publications: It is every publication that is issued under one name, in a regular manner and in a scheduled times for the purpose of general circulation and aims to the information, guidance and direction. It shall have chief editor and journalistic editing authority which is responsible for publishing journalistic news, articles, commentaries, interviews and investigations according to the type of periodicity and its specialization subject as the political, literary, cultural, sportive or multi-specialization periodicities. It introduce its content in a journalistic style and it shall be printed in appropriate colors and designs. The periodic publications shall be as follows:
Newspaper: It shall be issued on a daily basis whether in the morning or evening.
Magazine: It shall be issued on a daily, weekly, semi-monthly, monthly, seasonal or annual basis.
Newsletter: It is specialized, it shall be issued on a weekly, monthly or seasonal basis and each number of them shall be specialized to cover and analyze an issue, event or more which is raised by multiple aspects.
Periodic Book: It shall be issued within a specialized series on a semi-monthly, monthly or seasonal basis for the purpose of serving one the social, cultural cases or other to increase and spread the intellectual and cultural awareness.
3- Chief Editor: He is the head of the editorial staff, supervise the implementation of policy of the press publications and who is the responsible for everything published within them.
4- Journalist: Everyone who permanently exercises the profession of journalism whether he is working in a journalistic institution or media foundation.
5- Internal regulation of the Journalistic institutions: A group of rules and procedures which is approved by the General Assembly of the Journalistic Institution and it shall determine its system of work and the administrative and regulatory structure.
6- Regulative regulations of the work: The accredited rules and procedures by the General Assembly of the Institution and which are related to the rules of work, the rights and obligations of the employees, the requirements of health and accident prevention, the rules of vacations, times of paying the wages, rewards, penalties and so on.
7- Member of Institution: The person who possesses a part of the capital of the institution.
8- Permission: The official letter which is issued by the ministry to approve the establishment of the journalistic institution or branches thereof, approving additional issues or performing any amendments which require the prior approval of the ministry.
9- Deputizing in attendance: It is deputize one the members of the institution by another member to represent him in attending and voting in one of the meetings of the general assembly.
10- Employees in the institution: Everyone who is involved in an employment contract with the institution of journalists, professionals, technician, administers, workers and others.
11- The Press Policy of the Kingdom of Saudi Arabia: That is issued under the resolution of the Council of Ministers no. 169 dated 20-10-1402 AH.
12- Press and Publication System: Issued by Royal Decree No. M -32 dated 3-9-1421 AH.
13- The executive regulation of the system of press and publication: Issued by Ministerial Resolution No. M-W -2759-1 on 16-6-1422 AH.
14- The system: The system of the Journalistic Institutions.
15- The regulation: The executive regulations of the system of the journalistic institutions.
16- The Minister: The minister of Information.
17- The ministry: The Ministry of Information.

The journalistic institutions affairs
First section
Practicing the journalistic activity
Article 2:- The aims of the Journalistic Institution.
1- The aims and issuances of the journalistic institution shall adhere to the following:
A- The rules of Press Policy of Kingdom of Saudi Arabia.
B- The rules of the system of publications and its executive regulation.
C- The rules of the system of the journalistic institutions and this regulation.
2- The character of its issuances shall be journalistic character and it shall adhere to credibility, objectivity and respecting its audience through its experience in journalism.
3- Supporting the issues of development and working on achieving the principle of cooperation between the citizen and the governmental and non-governmental authorities in the Kingdom.
4- The journalistic competition between institutions shall be based on offering the best service and respecting the rights of others.
5- Working on discovering the creative peoples in the scope of journalism, offering the chances to youth and facilitating the obstacles which interpose their way.
Article 3:- Procedures of licensing the journalistic institutions
Everyone who desires to establish a journalistic institution to issue press publications shall fulfill the following procedures:
1- Submitting a license application to the ministry, signed by not less than thirty citizen to establish the journalistic institution and the founders shall assign one of them to represent them in fulfilling the procedures of the application, provided that the file of application shall include the following information and documents:
A- A statement of the names, profession, qualifications and ages of the founders.
B- A statement of the aims of the institution, its name, the periodic publications which will be issued and the language of issuance.
C- A statement of the capital of the institution which is enough to achieve its aims, the number of shares of every member and the value of every share.
D- Economic and media feasibility study to establish the journalistic institution.
E- Determining the headquarter of the institution and the name of the main periodical publication.
F- Determining the printery with which the institution will deal and its name if it will print the publications outside the institution.
2- The new members or the founders shall meet the terms and conditions provided in article 6 of the system.
3- The ministry may require any information or data to complete the study of the application before referring it to the approval of the Prime Minster.
4- The institution may establish branches in the different cities of the kingdom after obtaining the license for every branch.
5- The institution shall open press offices abroad, appoint reporters in the important capitals and at least participating in a pictorial global news agency.
6- The issued license by the ministry shall be considered a base for the practice of the institution and its branches to the its media activity, and this license shall not exempt from obtaining the other necessary licenses by the governmental authorities which are required by the applicable rules and regulations.
Article 4: Completing the procedures of foundation:
1- After the issuance of the license by the ministry to the institution, the founders shall arrange for a meeting, as a founding committee, to choose a committee for preparing the project of the basic internal regulation of the institution, which include its aims, membership, the general assembly, its specializations and meetings, the board of directors, its composition, members, specializations, meetings and its period of membership, the capital of the institution, shares, the general manager and chief editor of the institution, the specializations of both of them and the basic publication which is issued by the institution and the other matters of regulating the work of the institution.
2- The project of the regulation shall be presented to the founder members to provide their views and the committee shall reconsider the regulation within the context of their views.
3- The project of the regulation shall be referred to the minister to give its comments and make sure that there is no texts which conflict with the provisions of the applicable regulations and instructions.
4- The members of the institution shall afterwards arrange for a meeting as a general assembly to study and determine the regulation after taking into consideration the comments of the ministry, then the regulation shall be referred in its final formation to the ministry for approval.
Section Two
The Issues of the Journalistic Institutions
Article 5:- The License for periodicities
1- The institution shall not issue periodical publications without obtaining the approval of the ministry for every publication, according to the following procedures:
A- The institution has started its real activity after obtaining its license.
B- The institution may request to issue additional periodic publications if it issued the publications which were licensed to it.
C- The choosing of the Chief Editor shall be according to the rules of this regulation.
D- In case of the founder desires to issue alternative publication to any of its issues, a study of justifications shall be submitted to the ministry for such alternate.
E- The institution shall not stop issuing any of its licensed publications without submitting the justifications and motivators to the ministry for consideration with the adherence of the institution to fulfill all the obligations arising out of such justifications and motivators to others.
2- The institution may market its press publications through storing them in preservative containers such as Microfilm, CDs, compiling them in folders or preparing analytical lists for the subjects which are published in every periodicity or other methods of publications without the need to a license by the ministry subject to fulfilling the rights to their respective owners.
3- The institution may issue some publications of the branches after the approval of the ministry provided that the publishing of the main publication shall be issued from its main headquarter.
4- The institution may issue replicas of its periodical issues from the branches after the approval of the ministry.
5- The journalistic institution shall issue its periodicals publications within a period which is not more than one year from the date of obtaining the license by the ministry or submit the justifications of delay and obtaining the approval of the ministry for additional period.
6- In case of the institution or the Chief Editor desires to perform amendment on any of the approved information for the publication, a request for such amendments shall be submitted to the ministry with the explanation of the justifications to obtain the ministry's approval.
7- The price of the periodical publication, and the value of its subscription or amendment shall be after the approval of the ministry.

Section One
Membership
Article 6:- Members of the institution
1- The General Assembly of the Journalistic Institution shall be composed of the founder members to whom the license is issued to establish the institution.
2- It is permissible for new members to join the institution who meet the terms and conditions of the membership according to the rules of system and this regulation and after the approval of the ministry through the sale or concession of some members of some of their shares, through inheritance or the increase of the capital of the institution.
3- The in-kind person which desires to join any journalistic institution shall choose its representative in the General Assembly.

Source text - Arabic دفعت المطعون ضدها الثانية أمام المحكم الذي عينه مركز دبي للتحكيم الدولي ببطلان إجراءات التحكيم لمخالفتها أحكام النظام العامة المذكورة بالبند السابق إلا أن المحكم إستمر في نظر التحكيم في غياب المدعى عليهم ولم يصدر حكمه فيه خلال مدة الأشهر الستة (6) التي حددتها أحكام... ولا خلال الستة (6) أشهر التالية التي أجازت أحكام ........... للمحكم تمديدها............ ولا خلال فترة التمديد الأخيرة لمدة (6) أشهر التي أباح قانون......... التمديد بقدرها كحد أقصى، حيث سقط التحكيم لعدم صدور الحكم خلال المدة المحددة في القانون وما أباحه القانون من تمديد لها، ولهذا السبب إستقال المحكم (السيد/رونالد زيادة) إلا أن مركز دبي للتحكيم الدولي قام بتمديد أجل التحكيم مرة أخرى و.... كما قام بتعيين السيد/اليكس مور كمحكم جديد في الدعوى وأعلن به الطاعنة الثانية التي ردت ببطلان الإستمرار في التحكيم لسقوطه لإنقضاء القيد الزمني، إلا أن المحكم رغم ذلك إستمر في نظر الدعوى وأصدر حكمه بتاريخ 20/10/2013 والذي قضى فيه بإلزام الطاعنة الثانية بأن تؤدي للمطعون ضدها تعويضاً عن فسخ عقد إدارة الفندق ومستحقات مزعومة، مبالغ بيانها كما يلي:
Translation - English The Appellee argued the invalidity of arbitration procedures before the arbitrator appointed by Dubai International Arbitration DIFC, for violating the mentioned-above provisions of the public regulations. However, the arbitrator continued hearing the arbitration in the absence of the defendants. The arbitrator has neither pronounced any Award during the period of (6) months stated by the provisions of …, nor during the period of the following (6) months allowing the arbitrator to extend according to the provisions of … , nor during the last extension period of (6) months permitted by the Law… to be extended as a maximum period for rendering the Award. Whereas the arbitration has failed for the non-insurance of the Award within the period set out in the Law and the permitted extended periods thereof, therefore, the arbitrator (Mr. Ronald Ziadah) resigned. However, Dubai International Arbitration DIFC extended the arbitration period again, …. it also appointed Mr. Alex Moor, as a new arbitrator in the Claim, and notified the second Appellant accordingly. The second Appellant responded arguing the invalidity of continuing in the arbitration because of failure due to the expiry of the time limit. However, the arbitrator continued hearing the Claim and pronounced the Award on 20/10/2013, obliging the second Appellant to pay a compensation to the Appellee for the hotel management agreement termination as well as the claimed dues, the details of which are as follow:
