Source text - English 7. Term
This Agreement will continue in effect for a period of three (3) years from the Effective Date. If either party becomes insolvent or makes an arrangement with creditors or have bankruptcy proceedings instituted by or against it (to the extent permitted by applicable laws), this Agreement will terminate immediately.
In the event either party breaches this Agreement by failing to comply with any of the terms and conditions hereof, then the other party shall give notice in writing, specifying the breach complained of, and, if the same is not remedied within thirty (30) days from the time such notice is given, this Agreement may be terminated by the non-breaching party. Notwithstanding the foregoing, in the event that Distributor breaches the Agreement by failing to comply with Section 3 of this Agreement, or breaches any of the provisions of the Compliance and Global Anti-Corruption Laws Terms and Conditions attached hereto as Exhibit 2, [A Company] may terminate this Agreement with immediate effect. Furthermore, in the event that [A Company] terminates this Agreement due to Distributor’s breach of the Agreement by failing to comply with Section 3, or any of the provisions of the Compliance and Global Anti-Corruption Laws Terms and Conditions attached hereto as Exhibit 2, [A Company] shall have right to suspend deliveries and shall have no further obligations to Distributor under this Agreement, including, but not limited to, the obligation to supply Product.

본 계약서는 계약발효일로부터 3년의 기간 동안 효력이 지속된다. 일 당사자가 지급불능 상태가 되거나 채권자와 합의하거나 당사자에 의해 또는 당사자에 대해 (준거법에 의해 허용되는 정도까지) 시작된 파산 소송이 진행 중일 경우, 본 계약서는 즉시 파기된다.
일방 당사자가 본 계약서의 임의의 조항을 준수하지 못하여 본 계약서를 위반할 경우, 타방 당사자는 서면으로 해당 위반사항을 특정하는 통지서를 전달해야 하며, 만약 그러한 통지서 접수 후 30일 이내에 해당 사항이 시정되지 않을 시, 본 계약서는 위반하지 않은 당사자에 의해 종료될 수 있다. 전술한 사항에도 불구하고, 배급사가 본 계약서의 3조를 준수하지 못하여 위반하였거나 본 계약서 참고 자료 2에 첨부된 컴플라이언스 및 글로벌 반부패법의 임의의 조항을 위반하였을 경우, [A 사]는 본 계약서를 즉각 종료할 수 있다. 또한 배급사가 3조를 준수하지 못하여 본 계약서를 위반하거나 본 계약서 참고 자료 2에 첨부된 컴플라이언스 및 글로벌 반부패법의 임의의 조항을 위반하여 [A 사]가 본 계약서를 종료하였을 경우, [A 사]는 배송을 중단할 권리를 갖고, 제품 공급에 대한 의무를 포함하되 이에 제한되지 않는 본 계약서상 배급사에 대한 의무를 더 이상 갖지 않는다.
