Universidade de Aveiro, legal person no. 501 461 108, based on the Campus Universitário de Santiago, 3810-193 Aveiro, hereafter called First Party, represented by its Rector, Professor Helena Nazaré,
and
Company Name, Rua do Papagaio 25, 4760 V.N. Famalicão, Portugal, fiscal number 321 567 220, represented by its Director Shareholder, Engineer João Names.
Considering
- that the Company Name carries out its activity in the area of founding of steel casting and high-alloy irons and produces parts for crushing machines subject to impact and wear which decrease their wear out life;
- that the Company Name wants to diminish that problem with the inclusion of ceramic particles into specific and localized areas of the parts previously mentioned;
- that it has been difficult to efficiently solve that task internally in the company;
- that the company considers that a close relationship with the Universidade de Aveiro, namely with the Department of Ceramics and Glass Engineering where there are competences in the area of characterization of the metal/ceramic interface and in the development of composite materials, might be beneficial in the sense that it could help find the desired technological solutions for the required effect;
Within the cooperation protocol agreed on this same date, it is celebrated, freely and in good faith, the present contract which is directed by the following clauses:
CLAUSE 1
(Object)
The object of the present contract is to establish:
- the implementation, by the First Party, of research work which aims the characterization of the metal/ceramic interface between metallic alloys and ceramic particles, materials which are supplied by the Second Party, and the development of a method to make metal matrix composite materials in which the spatial distribution of the ceramic particles obeys the requirements imposed by the Second Party, that is, in order that the particles are well localized and concentrated in specific areas of the parts, in volumes with well defined contours and not scattered in the metal matrix;
and
- if, from the implementation of the project mentioned in the previous paragraph, innovative products, methods or systems, liable to legal protection, are created, their development.
CLAUSE 2
(Responsibility in the implementation of the contract)
1. Within the implementation of the present contract, it is taken upon by the First Party:
- to implement the work program included in Appendix to this contract in order to comply with the proposed objectives;
- to propose to the Second Party the most promising ways to make metal/ceramic composites and accompany the development and practical implementation of those ways. The first proposal for a methodology to make metal/ceramic composites must be presented until the end of the first 3 months of the project duration;
- to make a final report containing the most relevant results proposing the best conditions, regarding the intended purposes, for the preparation of the composites.
2. It is taken upon by the Second Party:
- to attend the periodic coordination meetings;
- to supply the necessary quantities of products (ceramic particles and metallic alloys) with the appropriate shape and dimensions for a good implementation of the work program;
- to implement the ways to make the composites proposed by the First Party in close cooperation with her;
- to pay in time, the sums stipulated in Clause 5 of the present contract.
CLAUSE 3
(Coordination)
1. The coordination of the implementation of the present contract will be taken upon by José Maria da Fonte Ferreira, associate professor of the Department of Ceramics and Glass Engineering of the Universidade de Aveiro and by the Engineer João Names of the Company Name.
2. With the aim of accompanying, planning and periodically evaluating the present contract as well as making any decisions as to its improved implementation, both parties will conduct periodic meetings between their representatives to evaluate the course of the works, exchange ideas or to replenish the stock/products, object of study.
3. The meetings will take place every 2 months or whenever one of the parties requests it.
4. The meetings will take place at the Department of Ceramics and Glass Engineering of the Universidade de Aveiro or at the Company Name, according to what is agreed on a case-by-case basis. The last meetings will take place at the Company Name in order to implement the technical solutions created during the process.
CLAUSE 4
(Expenses and payment terms)
1. For the development of the studies, object of the present contract, the Second Party shall pay the First Party € 45,000.00 (forty five thousand euros) plus VAT at the current legal rate.
2. The mode of payment is as follows:
- the first installment, corresponding to 25% of the total, must be paid fully on the day of the signing of the present contract;
- the second installment, corresponding to 25% of the total, must be paid fully after 4 months of the contract duration, against the presentation of data regarding the preparation of ceramic samples and characterization of the metal/ceramic interface, wettability tests, etc.;
- the third installment, corresponding to 25% of the total, must be paid fully after 8 months of the contract duration, against the presentation of proposals and the specification of methodologies to be followed in the development of metal/ceramic composites and which will be tested and implemented by the Second Party;
- the fourth installment, corresponding to 25% of the total, must be paid fully after 12 months of the contract duration, against the presentation of a final report containing the most relevant results and the detailed specification of the most appropriate methodology for the development of metal/ceramic composites with the required specifications.
3. The expenses inherent to the practical implementation of the solutions created during the process will also be the exclusive responsibility of the Second Party.
4. Should the provisions of clause 5 apply, the Second Party shall pay royalties to the First Party, on an amount calculated and charged on a quarterly basis and which must never be less than € 5,000.00 (five thousand euros).
5. The payment mentioned in no. 4 of the present clause will cease if the Second Party stops using the products, methods or systems, object of the present contract, in terms of no. 3 of the following clause.
CLAUSE 5
(Ownership rights and confidentiality)
1. If from the implementation of the project, object of the present contract, innovative products, methods or systems, subject to the protection of the legislation on Intellectual Property Rights, are created, the parties will act upon that protection and the ownership of the respective rights equally belongs to both parties.
2. The development of the innovative products, methods or systems created within the project, the specific object of the present contract, will be exclusive to the Second Party. However, without the consent of the First Party, the Second Party is not allowed to license or transfer the technology either to third parties or to other industrial units belonging to the same company, inside or outside the country.
3. The First Party shall not use or develop the innovative products, methods or systems created within the project, object of the present contract, and can only license it to third parties regardless of the consent of the Second Party if this one does not use the products, methods or systems previously mentioned, either for production or marketing during a period of 12 months.
4. The Second Party shall pay on a quarterly basis to the First Party a royalty fee of 3% of the total turnover of the quarter in question, resulting from the innovative products, methods or systems developed within the project, object of the present contract.
5. In case of doubt about the object of the previous numbers, the First Party has the right to designate an external entity to verify the information given by the company. Whenever inaccuracies are found in the results presented by the external entity, the expenses shall be paid for by the company.
6. Both parties are bound by the duty of confidentiality regarding the products, methods or systems previously mentioned, until their legal protection and afterwards regarding the elements or information not revealed within the respective protection.
7. The duty of confidentiality mentioned in the previous number will make it impossible for one of the parties to, without clear consent of the other, obtain legal protection for the products, methods or systems and/or commercially develop them in other countries.
8. Without prejudice to the provisions of the previous numbers, there is always the safeguard of the First Party using the data or conclusions of the study previously mentioned, for strictly academic or scientific purposes in terms of the cooperation protocol.
CLAUSE 6
(Duration)
1. The present contract becomes effective on the 1st of September of 2005 and shall apply until the complete implementation of its object, due at the end of August 2006, without prejudice to the provisions of the following number.
2. If from the implementation of the project, object of the present contract, innovative products, methods or systems, subject to the protection of the legislation on Intellectual Property Rights, are created, the contract will be extended for a period of 20 years.
3. Any of the parties may, however, terminate the present contract, with the safeguard of the provisions of Clause 5, if the other party fails to comply with any of the clauses, in terms of law.
4. The contract may also be amended, in whole or in part, or terminated, by mutual agreement, without prejudice to the provisions of Clause 5.
5. The negotiations leading, by mutual agreement, to the amendment or termination of this contract must be in writing and the final decision must be laid down in a written document and signed by the representatives of both parties.
CLAUSE 7
(Conflict resolution)
1. Any litigation that may emerge from the present contract shall be decided in terms of current law on the matter, in an arbitration court consisting of three arbitrators.
2. Each of the parties shall designate an arbitrator: the arbitrators appointed by each of the parties shall designate a third, who will preside over the tribunal.
3. If there is no agreement, the third arbitrator shall be designated by the president of the Court of Appeal with a seat within the jurisdiction of the First participating Party.
There are two exemplars of the present contract and each of them shall be signed by the representatives of each party who will receive one.

Considerando
que o Nome da Empresa executa a sua atividade na área de fundição de aços vazados e ferros de alta liga e produz componentes para trituradoras sujeitas a impacto e desgaste o que diminuem o tempo de vida útil;
que o Nome da Empresa quer diminuir aquele problema com a inclusão de partículas de cerâmica em áreas específicas e localizadas das componentes mencionadas anteriormente;
que tem sido difícil resolver eficazmente aquela tarefa internamente na empresa;
que a empresa considera que uma relação próxima com a Universidade de Aveiro, nomeadamente com o Departamento de Engenharia de Materiais e de Cerâmica onde há competências na área de caracterização da interface do metal/cerâmica e no produção de materiais compósitos, pode ser benéfica no sentido em que pode ajudar a encontrar as soluções tecnológicas desejadas para o efeito requerido.
No âmbito do protocolo de colaboração outorgado nesta mesma data, é celebrado, livremente e de boa-fé, o presente contrato que se rege pelas seguintes cláusulas:
Cláusula 1
(Objeto)
O presente contrato tem por objeto estabelecer:
a implementação, pelo Primeiro Outorgante, do trabalho de investigação que visa a caracterização do interface do metal/cerâmica entre a liga metálica e as partículas de cerâmica, materiais que serão fornecidos pelo Segundo Outorgante, e o desenvolvimento do método para fazer material compósito de matriz metálica em que a distribuição espacial das partículas de cerâmica obedece às exigências impostas pelo Segundo Outorgante, isto é, para que as partículas estejam bem localizadas e concentradas em áreas específicas dos componentes, em volumes com contornos bem definidos e não espalhados na matriz metálica;
e
se, da execução do projeto mencionado no parágrafo anterior, forem criados produtos, métodos ou sistemas inovadores suscetíveis de proteção jurídica, a exploração dos mesmos.
Cláusula 2
(Responsabilidade na execução do contrato)
1. No âmbito da execução do presente contrato, incumbe ao Primeiro Outorgante:
executar o programa de trabalho incluído no Anexo deste contrato, a fim de cumprir os objetivos propostos;
propor ao Segundo Outorgante as maneiras mais promissoras para fazer compósitos de metal/cerâmica e acompanhar a produção e a execução prática das mesmas. A primeira proposta para a metodologia para fazer compósitos de metal/cerâmica tem de ser apresentada até ao fim dos primeiros três meses de vigência do projeto;
elaborar um relatório final contendo os resultados mais relevantes propondo as melhores condições, considerando as propostas desejadas, para a preparação dos compósitos.
2. Incumbe à Segundo Outorgante:
comparecer às reuniões periódicas de coordenação;
fornecer as quantidades necessárias de produtos (partículas de cerâmica e de ligas metálicas) com formatos e dimensões apropriadas para uma boa execução do programa de trabalho;
implementar as vias de solução propostas pela primeira outorgante em estreita colaboração com esta.
pagar atempadamente, os montantes estipulados na Cláusula 5 do presente contrato.
Cláusula 3
(Coordenação)
1. A coordenação da execução do presente contrato vai ser assumido por José Maria da Fonte Ferreira, professor associado com agregação do Departamento de Engenharia de Materiais e Cerâmica da Universidade de Aveiro e pelo Engenheiro João Names do Nome da Empresa.
2. Com o objetivo de acompanhar, planear e avaliar periodicamente o presente contrato, assim como, tomar qualquer decisão para melhorar a execução, ambos os outorgantes vão realizar reuniões periódicas entre os seus representantes para avaliar o curso do trabalho, trocar ideias ou para reabastecer o stock/materiais, objeto de estudo.
3. As reuniões vão ocorrer de dois em dois meses ou quando alguma das outorgantes o pedir.
4. As reuniões vão realizar-se no Departamento de Engenharia dos Materiais e Cerâmica da Universidade de Aveiro ou no Nome da Empresa, de acordo com o que é decidido caso-a-caso, devendo as últimas reuniões serem realizadas nas instalações no Nome da Empresa, de modo a implementar as soluções técnicas encontradas.
Cláusula 4
(Despesas e termos de pagamento)
1. Para o desenvolvimento dos estudos, objeto do presente contrato, o Segundo Outorgante deve pagar ao Primeiro Outorgante 45.000.00€ (quarenta e cinco mil euros) mais IVA incluído à taxa legal em vigor.
2. O modo de pagamento é o seguinte:
A primeira prestação, correspondendo a 25% do total, deve ser liquidada no dia da assinatura do presente contrato;
a segunda prestação, correspondendo a 25% do total, deve ser liquidada ao fim de 4 meses de vigência de contrato, mediante a apresentação de dados relativo à preparação de amostras de cerâmica e caracterização da interface metal/cerâmica, testes de molhabilidade, entre outros;
a terceira prestação, correspondendo a 25% do total, deve ser liquidada ao fim de 8 meses de vigência de contrato, mediante a apresentação de propostas e da especificação de metodologias a serem seguidas na produção de compósitos metal/cerâmica e serem testados e implementados pelo o Segundo Outorgante;
a quarta prestação, correspondendo a 25% do total, deve ser liquidada ao fim de 12 meses da vigência de contrato, mediante a apresentação de um relatório final contendo os resultados mais relevantes e as especificações detalhadas da metodologia mais apropriadas para a produção de compósitos metal/cerâmica com as especificações requeridas.
3. Serão da exclusiva responsabilidade da Segunda Outorgante as despesas inerentes à implementação prática das soluções criadas durante o processo.
4. Se as condições da Cláusula 5 forem aplicadas, o Segundo Outorgante deve pagar royalties ao Primeiro Outorgante, em uma quantia calculada e cobrada trimestralmente que nunca pode ser menos de 5.000.00€ (cinco mil euros).
5. O pagamento referido no número 4 da presente cláusula é interrompido, caso o Segundo Outorgante deixar de usar produtos, métodos ou sistemas, objeto do presente contrato, nos termos do número 3 da seguinte cláusula.
Cláusula 5
(Titularidade de direitos e confidencialidade)
1. Se da execução do projeto, objeto do presente contrato, resultarem produtos, métodos e sistemas inovadores suscetíveis de proteção pela legislação sob propriedade industrial e direitos de autor, as outorgantes procederão à referida proteção, sendo a titularidade dos respetivos direitos das duas outorgantes, em partes iguais.
2. A segunda outorgante terá a exclusividade da exploração dos produtos, métodos ou sistemas inovadores que vierem a ser desenvolvidos no âmbito do projeto, objeto específico do presente contrato, mas fica impedida de licenciar ou transferir a tecnologia quer a terceiros quer para outras unidades industriais pertencentes ao mesmo grupo, dentro ou fora do País, sem a anuência da primeira outorgante.
3. O Primeiro Outorgante não deve usar ou produzir produtos inovadores, métodos ou sistemas criados dentro do projeto, objeto do presente contrato, e só pode licenciá-lo a terceiros independentemente do consentimento do Segundo Outorgante se este não utilizar os produtos, métodos ou sistemas previamente mencionados, quer seja para produção ou comercialização durante um período de 12 meses.
4. O Segundo Outorgante deverá pagar numa base trimestral ao Primeiro Outorgante uma taxa de royalty de 3% do volume de negócios total do trimestre em questão, decorrente dos produtos inovadores, métodos ou sistemas produzidos no âmbito do projeto, objeto do presente contrato.
5. Em caso de dúvida sobre o objeto dos números anteriores, o Primeiro Outorgante tem o direito de designar uma entidade externa para verificar as informações prestadas pela empresa, sendo o custo da mesma, suportado pela empresa sempre que existirem incorreções nos resultados por ela apresentados.
6. Ambos outorgantes estão vinculados ao dever de confidencialidade sobre os produtos, métodos ou sistemas mencionados anteriormente, até a sua protecção legal e, posteriormente, sobre os elementos ou informações não revelados dentro da respetiva proteção.
7. O dever de confidencialidade referido no número anterior tornará impossível para uma das partes, sem o consentimento claro do outro, obter proteção legal para os produtos, métodos ou sistemas e / ou comercialmente desenvolvê-los noutros países.
8. Sem prejuízo do disposto nos números anteriores, há sempre a salvaguarda de que o Primeiro Outorgante utilizará os dados ou conclusões do estudo referido anteriormente, para fins estritamente académicos ou científicos, nos termos previstos no protocolo de cooperação.
Cláusula 6
(Vigência do contrato)
1. O presente contrato entra em vigor a 1 de setembro de 2005 e é aplicável até à implementação integral do seu objeto, prevista para finais de agosto de 2006, sem prejuízo do disposto no número seguinte.
2. Se, a partir da implementação do projeto, objeto do presente contrato resultarem produtos inovadores, métodos ou sistemas, suscetíveis de proteção pela legislação sob propriedade industrial e direitos de autor, o contrato será prorrogado por um período de 20 anos.
3. Qualquer das outorgantes poderá, no entanto, resolver o presente contrato por incumprimento de qualquer uma das cláusulas contratuais imputável à outra outorgante, nos termos gerais de direito, salvaguardando-se, porém, o disposto na cláusula seguinte.
4. O contrato também pode ser modificado, parcialmente ou na sua totalidade, ou rescindido, por mútuo acordo, sem prejuízo do disposto na Cláusula 5.
5. A negociação, para a modificação ou rescisão do contrato por mútuo acordo deve ser por escrito e devendo a posição final constar de documento escrito e assinado pelos representantes de ambas as outorgantes.
Cláusula 7
(Resolução de Conflitos)
1. Qualquer litígio que possa surgir do presente contrato será decidido, em termos de legislação vigente sobre o assunto, num tribunal arbitral composto por três árbitros.
2. Cada uma das outorgantes designará um árbitro: os árbitros nomeados por cada uma das outorgantes designará um terceiro, que presidirá ao tribunal.
3. Se não houver acordo, o terceiro árbitro será designado pelo presidente do Tribunal da Relação com uma posição dentro da jurisdição do Primeiro Outorgante
Existem dois exemplares do presente contrato, e cada um deles deve ser assinado pelos representantes de cada uma das outorgantes que receberão um.
