2) La prestación del “Centro Universitario de Idiomas” consistirá en la organización, desarrollo y dictado del curso de idiomas solicitado, dentro de los cursos que se enumeran previamente, aportando el personal docente necesario y logística adecuadas. Los cursos aludidos son los mismos que dicta habitualmente el “Centro Universitario de Idiomas”.
Las tareas que realizará el “Centro Universitario de Idiomas” mediante su unidad CORPORATE, comprenden la coordinación administrativa y docente, supervisión académica, la evaluación de nivel y las evaluaciones periódicas, el establecimiento y actualización de contenidos y programas, la renovación del material didáctico, el perfeccionamiento y actualización docente, la confección y entrega de certificados correspondientes de extensión UBA.
3) Se deberán determinar y acordar los días y horarios de cursada con al menos 10 días de anticipación al comienzo del mismo.
4) Los certificados y diplomas otorgados al alumno al finalizar el período lectivo serán expedidos en forma conjunta por la Facultad de Agronomía de la Universidad de Buenos Aires y por el Centro Universitario de Idiomas.-
5) El Sr/ra……………. reconoce al “Centro Universitario de Idiomas” un precio de $...........(pesos……….) por hora de clase, pagaderos a los 5 días de la presentación de la factura. 2) The services to be rendered by “Centro Universitario de Idiomas” shall consist of the organization, development and delivery of the language course requested out of the hereinabove mentioned courses, contributing the necessary training staff and the proper logistics. The duties to be fulfilled by “Centro Universitario de Idiomas” through its CORPORATE business unit shall comprise the administrative and teaching coordination, academic supervision, the placement tests and regular exams, the setting and updating of contents and syllabuses, the renewal of learning material, the teacher training and ongoing professional development, the preparation and presentation of the corresponding UBA extension certificates.
3) Course schedules shall be established and agreed upon at least 10 days prior to their start date.
4) The certificates and diplomas granted to the students at the end of each academic term shall be issued jointly by the Faculty of Agronomy of the University of Buenos Aires and Centro Universitario de Idiomas.-
5) Mr/Ms……………. acknowledges “Centro Universitario de Idiomas” charges a fee of $........... (………. pesos) for each hour of class, which shall be payable upon the 5th day following the presentation of the corresponding invoice. 6) The hourly training fee shall be reconsidered and possibly readjusted in the month of August, 2015, by mutual consent.
7) The cancellation of any lesson must be informed to CUI CORPORATE by means of a message via email to: [email protected]. The message shall include: -Full name of the participants – language - level – schedule of the course affected,
Any communication and/or information not received through the aforementioned channel shall be neglected.
7.1 Any course cancellation with less than 48 hour notice shall be invoiced as if it was a given lesson.

Irán, con su destino sellado
Sin importar que el presidente Ahmadinejad se encuentre llevando a cabo un esfuerzo sobrehumano para obtener un encuentro personal con Barack Obama, el destino de la República Islámica de Irán parece estar sellado. Consecuencias militares y geopolíticas de un conflicto que se presenta inevitable.
Vuelve Irán a cobrar protagonismo en los tableros de los estrategas militares y los cuadernos de notas de los analistas internacionales de ocasión. Luego de tres años, el escenario iraní se encuentra nuevamente sobre el tapete. Desnudando la ingenuidad de muchos que pronosticaban un retroceso del sistema de Pax Americana con la llegada de Obama al blanco edificio del 1600 de Avenida Pennsylvania.
Después de todo, Barack había lanzado un globo de ensayo para, sutilmente, testear la respuesta del complejo industrial-militar frente a su promesa de cerrar Guantánamo. Solo para recibir un categórico "no". El cierre de GITMO hubiera significado un motivo de celebración para un castrismo definitivamente liquidado y caído en desgracia; sin mencionar que el Norte hubiese desechado un puesto de avanzada con incuestionable valor estratégico.
En medio de la autopropaganda de tinte populista sui generis que se autoobsequiaba Obama con periodicidad -en el marco de reformas sociales que lograra aprobar en el Capitolio-, vuelve a asomar la cabeza la agenda militarista. Cuestión que, en definitiva, es lo que verdaderamente importa, pues la economía de la única superpotencia se halla sostenida (casi en su totalidad) por industrias derivadas del quehacer castrense. Las dudas acerca de la autenticidad del documento intitulado Iron Mountain -que se preguntaba si Estados Unidos podría reconvertir su economía basada en el enfoque bélico para volverse una economía "de paz"- aparecen como anecdóticas. La respuesta es contundente: la nación se encontraría con una estruendosa quiebra, si acaso se llevara a cabo aquel intento de reconversión.
Barack Obama también había prometido una rápida retirada de los pantanosos teatros de operaciones de Irak y Afganistán. Pero los anuncios fueron -aparentemente- "malinterpretados" por una chillona opinión pública. En rigor, América abandonaría su deambular por las callejuelas polvorientas de la antigua Babilonia, para concentrarse en el molesto enemigo talibán. Novedad que acabó por confirmarse hace pocas horas. Los prolegómenos derivados de la pelea por el opio afgano quedarán para las mentes insanamente inquisitivas y los teóricos de la conspiración que ven la mano negra de la CIA hasta en el caldo de pollo.
Irán es otra cuestión, mucho más compleja y medulosa, pero no por los aspectos estrictamente coloreados por la estadística y los inapelables comparativos militares, sino en función de la infinidad de variables que se entrecruzan en el nuevo escenario. La república islámica exhibe el 10% de las reservas comprobadas de petróleo y gas: rankea tercera luego de Arabia Saudita (25%) e Irak (11%). Por su parte, los Estados Unidos de América observan menos del 2.8% de las reservas mundiales de oro negro. Las reservas estratégicas americanas se estiman en menos de 20 mil millones de barriles. Desde luego, a las mentes más afiladas en cuestiones energéticas no se les escapa el detalle que refiere que el Medio Oriente y Asia Central ostentan reservas que superan a las americanas en más de treinta veces, representando más del 60% del total planetario disponible.
En vista de los fríos números, puede concluírse sin temor a error que el comportamiento de Mahmud Ahmadineyad fue -cuando menos- infantil. Siempre hay y habrá, en la historia contemporánea, personajes populistas llamados a repetir los errores más groseros de Napoleón, Saddam, Galtieri, Hitler y otros tantos. En cercanías de un Pentágono hambriento, nunca suena conveniente recurrir a una retórica nacionalista y de corte antisemita (Hecha la declaración, confirmado el justificativo). Pero este innuendo no tiene que ver con la máxima de "evitar que los israelís se enojen". El Estado de Israel no es otra cosa que un rehén de Washington, en más de un sentido. El pequeño estado judío jamás puede lanzar ataques preventivos contra sus vecinos sin consultar con su hermano mayor norteamericano. Por otro lado, la industria militar de Israel es apenas una sucursal de su similar americana: los israelitas reciben -es cierto- poco más de US$ 5 mil millones anuales de parte del Tío Sam, pero éste obliga a la pequeña nación a utilizar esa suma para adquirir material bélico Made in U.S.A. Con lo cual, los productos israelíes -de óptima calidad y performance- son dejados de lado por presión a veces diplomática y otras "no tanto". Cae, de esta manera, el mito del control que supuestamente ejercen los semitas de Wall Street, Washington, la agenda militar internacional y la banca global, con el propio peso que caracteriza a un racismo retrógrado, obsoleto y carente de sentido.
No obstante, y en lo que a Irán respecta, americanos e israelitas acusan una simbiosis que difícilmente alguno de los dos pueda arrogarse la alternativa de quebrantar. De acuerdo a reportes disponibles para consulta desde hace ya algún tiempo, la primera fase que contempla Washington para ejecución en Irán es la de los ataques aéreos en oleada recurrente, tal como ya se ha hecho en escenarios anteriores. La prerrogativa consistirá en reducir a escombros la incipiente infraestructura nuclear del régimen de Ahmadinejad, aunque el alcance de los bombardeos -se presume- abarcará también objetivos militares y civiles, sistemas de transporte y telecomunicaciones, instalaciones fabriles y edificios públicos.
La doctrina de "Guerra contra el Terrorismo" comprende no solo la utilización de armamento avanzado de índole convencional -mucho de él, inédito-, sino también teoremas aplicables al empleo de armas nucleares tácticas que persiguen el fin de destruir instalaciones subterráneas útiles para acopio de armamento y que sirvan también de centros de comando para la más alta autoridad del gobierno. La "lluvia nuclear" derivada del bombardeo de centrales y plantas de enriquecimiento no debería ser mayor problema, limitándose aquélla a radios acotados.
La preocupación inherente al escenario bélico es que los teoremas planteen desde la práctica, ataques simultáneos contra naciones de la región que Washington ha venido acusando de proteger a terroristas de Al Qaeda y a los fundamentalismos "de moda". Aspecto que podría extender el conflicto hacia el Líbano y la propia Siria. De hecho, el rol inicial de Israel -se refiere- podría involucrar ataques aéreos masivos contra los libaneses, a sabiendas de que aquellos podrían aprovechar el ataque preventivo americano sobre Irán para acometer sobre suelo israelí. De esta manera, en el menú se entrecruzan alternativas de prevención sobre la prevención misma. Para Israel, la aventura iraní solo podría significar malas noticias si la faena no se llevara a cabo en su totalidad: en las postrimerías del conflicto, una ola de ataques terroristas en su suelo podría tornarse indetenible, imposibilitando la cotidianeidad en la vida de sus ciudadanos. Deberá ser, pues, una iniciativa a todo o nada.
Para la eventualidad del teatro iraní, cobrará forma una nueva suerte de coalición. De ella tomarán partido no solo las naciones de la OTAN e Israel, sino también los países firmantes del Diálogo Mediterráneo con la Organización del Tratado de Atlántico Norte y aquellos que participan de la Iniciativa de Cooperación de Estambul. El rol de naciones árabes como Arabia Saudita y Egipto no será menor. Desde Ryad ya se ha notificado a la Fuerza Aérea de Israel que tendrá permitida la utilización de su espacio aéreo para la ejecución de misiones. Egipto -en función del control soberano que ejerce sobre parte del Canal de Suez, paso obligado de buques tanqueros- recientemente extendió los permisos de rigor para el tránsito de buques de guerra estadounidenses e israelíes. Arabia y los países aliados del Golfo harán lo propio en su zona compartida de control del Estrecho de Hormuz y el Mar de Arabia.
Y no pueden faltar, entre bambalinas, los temores de no pocos analistas y estudiosos de la geopolítica, preocupados de antemano por la respuesta que rusos y chinos pudieran interponer. Si los líderes de estas potencias comprenden correctamente el mensaje, notarán que ellos también son destinatarios indirectos de las misivas de Washington, en el sentido de que la guerra contra el terrorismo no se detendrá en cercanías de ninguna frontera. La República Popular China, mientras tanto, debe atender al hecho de que India se encuentra jugando del lado de los americanos en este entuerto. No falta quien asume, en vistas de lo extenso del cuadro, que la escalada es parte ya considerada por Estados Unidos y que se contempla una amplificación geográfica del conflicto. Sin importar muchas de las probables consecuencias.
En cualesquiera de los casos, chinos y rusos probablemente no superen la fase del matoneo verbal. A la postre, si China se propusiera entorpecer verdaderamente los planes de Norteamérica, le bastaría con trocar -de la noche a la mañana- todas las reservas del Banco Central de Pekín de dólares a euros. Con ello, podría convertir la aventura militar en un fracaso estrepitoso, dado que el derrumbe del dólar, sumado a los precios crecientes del petróleo, lograría que flota y equipos yankees quedasen sin combustible en cuestión de horas, en función de la imposibilidad de costear los traslados. Muchas veces, el alcance de las bravatas termina de corroborarse mirando los números de la economía, no necesariamente la cantidad de blindados, aviones o barcos...
El lector ya habrá notado que es nuevamente el petróleo el protagonista de la historia, aunque su rol central se observa más bien a cubierto, detrás de la discusión que gira en torno al derecho o no de Irán y Ahmadinejad a disponer de armas nucleares.
De igual manera, los que probablemente han pasado desapercibidos son los desacuerdos entre distintos elementos de la inteligencia americana frente al verdadero desarrollo del programa nuclear de los iraníes: mientras unos insisten en que Ahmadinejad ya dispone de la capacidad para construir dos artefactos con pleno poder explosivo, otros señalan que ello está muy lejos de suceder y que los persas ni siquiera se las han ingeniado aún para equipar a sus misiles balísticos con la carga atómica correspondiente. Mucho menos estarían en condiciones de asegurar el alcance de los objetivos, una vez disparados sus vectores. Ocurre que, en materia de tecnología misilística, son muchos los años de investigación necesarios para, primero, pasar del combustible líquido al sólido (lo cual permite aumentar el alcance de los dispositivos); segundo, acondicionar los sistemas de guiado para que el misil impacte efectivamente contra el blanco seleccionado (paso que requiere de electrónica de avanzada); tercero, lograr montar una cabeza nuclear en el vehículo y, cuarto, conseguir que la carga atómica estalle al presentarse el impacto. Finalmente, son apenas un puñado de países los que disponen de sistemas de alerta temprana de lanzamiento de cohetes en perjuicio de su territorio. Esto significa que una nación que disponga de una docena de vectores listos para ser disparados, probablemente ni siquiera pueda detectar el origen de un ataque, con lo cual sus operadores podrían verse tentados de presionar el botón ante cualquier sospecha o la presentación de información errónea. La explicación precedente ha estimulado las argumentaciones de muchos analistas frente al hecho de que Irán no ha tenido el tiempo mínimamente prudencial como para representar una amenaza concreta.
Por otra parte, escasean las preguntas al respecto de si acaso no sería conveniente aceptar a una Teherán ya miembro del selecto club nuclear, sometida a los controles de rigor de parte de la Agencia Internacional de Energía Atómica (AIEA), israelíes incluídos. Antes bien, pareciera que se ha optado presurosamente por reprender a la nación "rebelde" manu militari mediante, arriesgando a la muerte del paciente con el objetivo de curar la enfermedad. La decisión parece unánime: Mahmud Ahmadineyad es un individuo perturbado que debe ser barrido de un plumazo, antes que -bombas en mano- tome la decisión de desaparecer al Estado de Israel "porque sí" o contaminar por miles de años con radiación los depósitos petroleros de que dependen ciegamente los estadounidenses para engordar su American Way.
En países periféricos como la Argentina, sin protagonismo internacional alguno, un escenario de incremento brusco de los precios del crudo podría repercutir escandalosamente. Los precios de los combustibles no solo se dispararían sin piedad por el atraso que ya observa la cotización del litro para el usuario final y la inexistencia de política energética, sino que los índices se encarecerían por la sola escasez derivada del conflicto. Subirse a un vehículo bien podría convertirse en un lujo imposible de afrontar económicamente.
En forma irremediable -y sin importar los resultados del conflicto en ciernes-, surge la conclusión de que el mundo se convertirá en un sitio más peligroso para vivir, de aquí hacia el futuro. Las implicancias podrían sobrevenir de muchos modos, como ser un incremento pomposo de un terrorismo que haga explotar decenas de aviones con rigor diario solo para "protestar" por la nueva campaña militar norteamericana/israelí en Medio Oriente o por pura diversión. Porque, si acaso existe una variable jamás analizada -y ciertamente incontrolable para las potencias- es la forma en que el terrorismo a escala global decide multiplicar las acciones, como consecuencia de empresas militares que parten unilateralmente desde el Primer Mundo. Como ya se ha dicho, a toda acción le sobreviene una reacción en sentido contrario, de igual intensidad.
Lo que sí es seguro es que Washington terminaría ahora de redondear un mensaje categórico y carente de medias tintas para las naciones indómitas del globo, que pendulan alrededor de la locura y egocentrismo de sus insufribles líderes políticos (Corea del Norte, Yemén, Cuba, Venezuela, Ecuador, Bolivia): o las cosas se hacen bien, o se padecen las consecuencias.
Para alinear a algunas de ellas, bastará con remover a sus cabezas por la vía de la nutrición planificada de la oposición política al gobierno. Al resto, podría perfectamente caberle la Doctrina Schwarzkopf: "Devolverlas a la Edad de Piedra".

Iran’s fate sealed
No matter how hard President Ahmadinejad has tried to arrange a personal meeting with Barack Obama, the fate of the Islamic Republic of Iran seems to be sealed. Military and geopolitical consequences of a conflict that appears inevitable.

Iran has regained prominence on the boards of military strategists and the notebooks of occasional international analysts. After three years, the Iranian scenario is put up for discussion again, thus exposing the naiveness of many who predicted a drawback in the Pax Americana with the arrival of Obama at 1600 Pennsylvania Avenue.
After all, Barack had launched a trial balloon to subtly test the response of the military-industrial structures regarding his promise to close Guantanamo. Just to get a categorical "no" for an answer. Closing GITMO would have meant a cause for celebration for Castroism -already defeated and fallen from grace- not to mention that the U.S. would have cast away an outpost of unquestionable strategic value.
Amid the sui generis populist-tinted self-propaganda in which Obama regularly indulged himself -within the framework of social reforms successfully passed at the Capitol building- the militarist agenda pokes out once more. Which, eventually, is what really matters, for the economy of the only superpower left remains (almost entirely) supported by military-related industries. Doubts about the authenticity of the document entitled Iron Mountain - which raised the question on whether the United States could restructure their warlike approach-based economy into a “pacific” economy - appear to be anecdotal. The answer is blunt: should a reorganisation of this kind be attempted, bankruptcy would cause havoc.
Barack Obama had pledged a quick withdrawal from the swampy theatres of operations in Iraq and Afghanistan. But the announcements were, apparently, "misunderstood" by a shrilling public opinion. Actually, it has recently been confirmed that America would stop wandering around the dusty streets of ancient Babylon, to concentrate on the annoying Taliban enemy. Let’s leave the evaluation of the aftermath of the battle for the Afghan opium to those insanely inquisitive minds of conspiracy theorists who see the hidden hand of the CIA wherever they look.
Iran is a much more complex and pithy question, not as regards the aspects strictly coloured by the statistics and the unquestionable military comparisons, but regarding the myriad of variables that come together in the new scenario. The Islamic republic flaunts 10% of the proven reserves of oil and gas, ranking third behind Saudi Arabia (25%) and Iraq (11%). In contrast, the United States of America holds less than 2.8% of all world black gold reserves. American strategic reserves are estimated at less than 20 billion barrels. Naturally, the sharpest minds in the global energy field reckon that the Middle East and Central Asia hold stocks that outperform the U.S. in more than thirty times, accounting for over 60% of the global total available.
In view of these figures, we can safely conclude that Mahmoud Ahmadinejad’s behaviour was, at the least, childish. Contemporary history has always featured populist characters destined to repeat the grossest mistakes of Napoleon, Saddam, Galtieri, Hitler et al. A starving Pentagon would never tolerate the use of a nationalist, anti-Semitic rhetoric (every statement made has its confirmed justification). But the innuendo has nothing to do with the basic precept of "preventing the Israelis from getting angry." The State of Israel is, in more than one way, nothing but a hostage to Washington. The small Jewish state can never launch pre-emptive attacks against its neighbours without consulting with its elder American brother. On the other hand, Israel's military industry is just a branch of its American counterpart: it is true that the Israelites perceive just over $ 5 billion a year from Uncle Sam, on condition the small nation uses that sum to purchase Made in USA military equipment. This way, state-of-the-art Israeli products are left aside due to diplomatic, and sometimes “not so diplomatic”, pressure. Thus, the myth of the alleged control exercised by the Wall Street Semites, Washington, the international military agenda and the international banking, reveals itself as retrograde, racist, obsolete and nonsensical.
However, and as far as Iran is concerned, the symbiosis between Americans and Israelis becomes so apparent that none of them is likely to dismantle it. According to some not new available research reports, the first phase Washington considers for execution in Iran consists of systematic blitzkrieg attacks, as seen in previous scenarios. The aim will be to smash into pieces the incipient nuclear infrastructure of the Ahmadinejad regime, although, presumably, the bombing will also reach military and civilian targets, transport and telecommunications systems, factories and public buildings.
The "War on Terror” doctrine comprises not only the use of sophisticated conventional weaponry -much of it never seen before- but also theorems which apply to the use of tactical nuclear weapons seeking to destroy underground facilities that may serve as arsenals and war rooms for the top authority in government. The "nuclear rain” resulting from the bombing of power stations and enrichment plants should not be a major problem, provided it is limited to a bounded radio.
The concern attached to the war scenario lies in the fact that the above mentioned theorems could, in practice, bring up simultaneous attacks against neighbouring nations that have repeatedly been accused by Washington of shielding al-Qaeda terrorists and "trendy” fundamentalists. This panorama could cause the conflict to spread into Lebanon and Syria itself. In fact, the initial role of Israel could involve massive air strikes against the Lebanese, fully aware that the latter could benefit from the American preventive attack on Iran to swoop down on Israel. In this fashion, prevention alternatives intersect prevention itself. The Iranian adventure could only mean bad news for Israel if the task were not carried out in full: in the aftermath of the conflict, a wave of terrorist attacks on its land could become impossible to hold up, thus hampering its citizens’ everyday activities. It will then have to be an “all or nothing” enterprise.
For the Iranian theatre, a new kind of coalition will emerge, which will involve not only the nations in NATO and Israel, but also the countries which subscribed the NATO’s Mediterranean Dialogue and those participating in the Istanbul Cooperation Initiative. Arab nations like Saudi Arabia and Egypt will not play a minor role. Riyadh has already notified the Israeli Air Force that they will open up their airspace to Israel for the execution of missions. Egypt, due to the sovereign control it exercises over part of the Suez Canal, an obligatory route for tankers, has just issued the required permits for the transit of American and Israeli warships. Saudi Arabia and the Gulf allies are going to do their part in their area of shared control in the Strait of Hormuz and the Arabian Sea.
It is also worth pointing out at this stage the fears of many analysts and scholars of geopolitics behind the scenes, concerned in advance about the possible Russian and Chinese response. If the leaders of these powers construe the message properly, they will understand that they too are indirect recipients of these dispatches from Washington, in the sense that the war against terrorism will not come to a halt in the vicinity of any frontier. The People’s Republic of China, at the same time, must bear in mind the fact that, in this mess, India is playing for the Americans. There are also those who assume, when faced with the extension of the sight, that the escalation is something already considered by the United States and a geographical amplification of the conflict can be foreseen. Regardless of many of its probable consequences.
In any case, neither the Chinese nor the Russians are likely to go beyond the verbal bullying stage. Eventually, if China really intended to interfere with the American plans, it would only need to convert, overnight, all the reserves in the Central Bank of Beijing from dollars to euros. Thus, the military enterprise could turn out to be a spectacular failure, as the collapse of the dollar, in addition to the rapid rise in oil prices, would make the Yankee fleet and equipment run out of petrol in a matter of hours, due to the impossibility of affording the costs of transportation. In many cases, the extent of the bullying should be checked against the numbers on the economy, rather than against the number of tanks, planes or ships...
By now it has become evident that the main character in this story is, once again, oil, though its central role seems to be almost hidden behind the discussion around whether Iran and Ahmadinejad have the right to hold nuclear weapons.
Similarly, the disagreements between different elements of American intelligence as regards the real development of the Iranian nuclear program seem to have gone unnoticed: while some insist that Ahmadinejad has the capacity to build two full-explosive devices, others point out that this is far from happening and that the Persians have not even managed yet to equip its ballistic missiles with the corresponding atomic charge. Not to mention how far they might be from being sure of reaching their targets, once their vectors have been launched. The fact is that in terms of missile technology many years of research are necessary to, firstly, move from liquid to solid fuel (which would allow a broadening in the range of the missiles); secondly, adequate the guidance systems so the missile impacts precisely against the selected target (a step that requires advanced electronics); thirdly, manage to mount a nuclear warhead on the vehicle, and fourthly, make the atomic charge explode on impact. Finally, only a handful of countries have early warning systems that detect the rockets launched against their territory. This means that a nation which has a dozen vectors ready to be launched, will probably not be able to even detect the origin of an attack and consequently their operators may feel tempted to press the button upon any suspicion or erroneous information. The preceding explanation has stimulated the arguments by many analysts stating that Iran has not had the minimum reasonable time to represent a tangible threat.
Moreover, only a few seem to wonder whether it would not be worthwhile to accept Tehran as a member of the exclusive nuclear club and have it regularly monitored by the International Atomic Energy Agency (IAEA), Israelis included. On the contrary, it seems as if it has been hastily decided to punish the “rebel” nation manu militari, endangering the patient’s life while aiming at curing the disease. The decision seems unanimous: Mahmoud Ahmadinejad is a disturbed individual who should be done away with in a jiffy, before he makes the decision of bombing out the State of Israel “just because" or contaminating with radiation, for thousands of years, the oil deposits on which the Americans blindly depend to nurture their American Way.
In peripheral countries such as Argentina, with no international prominence, a sharp rise in oil prices could have an outrageous impact. Crude oil prices would not only rocket mercilessly due to the delay already visible in the end user oil price and the lack of a serious energy policy, but also push index up by virtue of the shortage resulting from the conflict. Riding in a vehicle could well become an extravagance impossible to afford.
Irretrievably, and regardless of the outcome of the budding conflict, we arrive at the conclusion that the world will become, in the future, a more dangerous place to live in. The implications could arise in many ways, as in a portentous escalation of a terror that blasts dozens of aircraft daily just to "protest" against the new American/Israeli military campaign in the Middle East or just for the fun of it. As, if there is a variable that the powers cannot control and has never been analysed, that is the way in which global terror multiplies its actions as a consequence of the military ventures unilaterally departing from the First World. As it has already been stated, for every action, there is an equal and opposite reaction.
What is certain is that Washington would now end up sending a categorical, blunt message to the untamed nations worldwide which swing around the madness and egos of their unbearable political leaders (North Korea, Yemen, Cuba, Venezuela , Ecuador, Bolivia): do the right thing or suffer the consequences.
All it takes to call some of them to order is to remove their leaders by means of a systematic nourishment of the political opposition to the government. The rest could well be subject to the Schwarzkopf Doctrine: "Throw them back to Stone Age."

En el ámbito federal, los juegos de azar se encuentran regulados a través de la incorporación de ciertos artículos en el capítulo relativo a los contratos aleatorios dentro del Código Civil Argentino (CC).
Estos contratos aleatorios comprenden diversas aristas de juegos en los cuales interviene el azar, como factor determinante para la adquisición de ganancias o pérdidas, dentro de los cuales se regulan los juegos de Rifa, Lotería, y los contratos de juego.
Los contratos aleatorios son aquellos en los cuales sus ventajas o pérdidas para ambas partes contratantes, o solamente para una de ellas dependen de un acontecimiento incierto.
Este concepto se encuentra plasmado en el artículo 2051 del Código Civil, el cual expresamente dispone:
“Artículo 2051: Los contratos serán aleatorios, cuando sus ventajas o pérdidas para ambas partes contratantes, o solamente para una de ellas, dependan de un acontecimiento incierto”
Es decir, que el C.C regula los contratos aleatorios o de azar en los cuales la suerte interviene como factor determinante para el perfeccionamiento del contrato.
Por su parte el C.C contiene, a través de sus artículos, la regulación de los contratos de juego, a los cuales define como aquellos que tienen lugar cuando dos o más personas entregándose al juego se obliguen a pagar a la que ganare una suma de dinero, u otro objeto determinado.
Sin embargo, el código civil realiza una remisión, en su Art. 2069 cuando dispone que las rifas y loterías, cuando se permitan, serán regidas por las respectivas ordenanzas municipales o reglamentos de policía.
Las regulaciones contenidas en el Código Civil son antiguas formulaciones para cuando no existía una banca organizada, cubrían por así decirlo los juegos que se daban individualmente entre sujetos de derechos; desde el punto de vista del derecho civil.
Sin embargo, en tanto el codificador ya conocía el fenómeno de administrativización del juego por el cual, distintos reglamentos policiales o bien ordenanzas municipales comenzaban a autorizar o prohibir distintas expresiones de juego autorizado, lo que hizo fue dejar la puerta abierta para que se desarrollara una regulación de derecho administrativo que con los años se constituyo en la única legislación aplicable.
El anteproyecto de reforma del Código Civil Argentino prevé ciertos aspectos relativos a estos contratos, sin contener reformas sustanciales en esta materia.
En primer lugar, dentro de los fundamentos que motivan la reforma se menciona que la regulación que se proyecta difiere parcialmente de las disposiciones vigentes. El juego, que en el siglo anterior fue estimado por Vélez Sarsfield como propio de los vagos o mal entretenidos ha pasado a ser utilizado como motor de consumo y a través de este actuar como impulsor de la creación de fuentes de trabajo.
En este proyecto los juegos puros de azar, si no están prohibidos por las autoridades locales, son meramente tolerados. No otorgan acción para el cobro de lo ganado, aunque si generan la excepción para evitar la repetición de lo pagado por aplicación de las normas sobre las obligaciones naturales.
Y por último se excluyen de las reglas del Código a los juegos, apuestas y sorteos reglamentados por el Estado Nacional, Provincial o las Municipalidades y la Ciudad de Buenos Aires.
Tanto el Codigo Civil en su texto original como el anteproyecto de reforma mencionado anteriormente contienen una remisión hacia los reglamentos policiales y ordenanzas para la regulación de las rifas y loterías, es decir, que reenvía a las jurisdicciones provinciales para la regulación de esta materia.
1.2 Lotería Nacional de Beneficencia y Casinos
En el plano nacional la industria del juego la regulación y explotación de los mismos quedo reglamentado bajo el control casi monopólico de la Lotería Nacional de Beneficencia y Casinos.
La Lotería Nacional de Beneficencia y Casinos fue creada mediante un decreto del Poder Ejecutivo Nacional, a través del cual se autorizaba la realización de una lotería de beneficencia cuyos fondos obtenidos serían destinados a mejorar la calidad de vida del pueblo a través del desarrollo edilicio, auxilio de la población ante catástrofes naturales y equipamiento de la Biblioteca Nacional.
En los comienzos este organismo era una lotería de billetes, y fue el único juego disponible durante 51 años, hasta que en 1944 la Lotería Nacional de Beneficencia comienza a administrar los Casinos y las Salas de Juegos así como los Hipódromos.
Este organismo administrativo era dependiente del poder ejecutivo nacional que tenía a su cargo la Lotería Nacional y que con el correr del tiempo no sólo explotaba la Lotería sino que también había comenzado a emitir normas jurídicas.
La regulación y explotación del juego en manos de este organismo sucede no obstante a que el juego ha sido considerado reiteradamente por nuestra Corte Suprema de Justicia como una atribución provincial, conforme al principio constitucional que reza:
Art. 121.-“Las provincias conservan todo el poder no delegado por esta Constitución al Gobierno federal, y el que expresamente se hayan reservado por pactos especiales al tiempo de su incorporación”.
Específicamente en torno al ejercicio de las facultades no reservadas a la Nación la Corte Suprema de Justicia de la Nación tiene dicho en la causa “Castillo, Ángel Santos c/ Cerámica Alberti S.A” que:
“Así, ya en 1869, estableció el principio fundamental de que las provincias conservan su autonomía en todo lo relativo a los poderes no delegados a la Nación (art. 104 de la Constitución Nacional, actual art. 121) para afirmar, que esas facultades reservadas "son idénticas en esencia y alcances a las mismas facultades del Gobierno central”.
La Corte tuvo oportunidad de expresarse en esta causa con motivo de una demanda emplazada por un trabajador contra su empleadora reclamando una suma de dinero en concepto de reparación por su incapacidad laboral y planteando en esa misma oportunidad la inconstitucionalidad de algunos artículos de la ley de riesgo de trabajo, a la vez que citó en garantía a la Aseguradora de Riesgos de Trabajo “La Segunda, A.R.T. S.A”.
En primer lugar la Cámara Segunda del Trabajo de la Primera Circunscripción Judicial de la Provincia de Mendoza entendió que el Art. 46 de la mencionada ley era inconstitucional invalidando el precepto.
Contra dicha resolución, la aseguradora dedujo recurso extraordinario ante la Corte Suprema de Justicia de la Provincia de Mendoza, el cual fue denegado dando origen a un recurso de queja ante la Corte Suprema de Justicia de la Nación.
Siguiendo con los lineamientos jurisprudenciales de la Corte Suprema de Justicia de la Nación en lo relativo a la consideración provincial en materia de juegos ha tenido oportunidad de asentar dicho criterio en la causa “Dándolo” en el año 1999, donde dispuso que:
“El régimen en materia de juegos azar y sus posibles infracciones no delictuales, no trata una cuestión de índole federal ni está incluido en la reserva que se estableció sobre la legislación común (art. 75 de la Constitución Nacional).
Esta contienda se suscitó en una causa en que se imputa a Esperanza Patricia Dándolo la comisión de infracciones tipificadas en el decreto-ley de Represión de los juegos de azar, DEC. Nº 6618/57, ratificado por la ley 14.167.
En la mencionada causa se generó una contienda negativa de competencia, dado que en primer lugar la magistrada nacional se inhibió para conocer en la presente causa, alegando la naturaleza contravencional, y no delictual de tales infracciones, materia que de acuerdo al Art. 80 de la Constitución de la Ciudad Autónoma de Buenos Aires, es de regulación local.
Por su parte, el juez contravencional, postula que puesto que el Poder Legislativo de la ciudad no ha legislado todavía sobre esta materia, continúa vigente la ley citada, la cual atribuye competencia al fuero correccional.
La contienda queda trabada en estos términos, y dado que entre ambos magistrados no existe un tribunal superior común a ambos la Corte Suprema de Justicia de la Nación es llamada a decidir, conforme al Art. 24, inciso 7º del decreto-ley nº 1285/58.
La Corte finalmente decidió, con los argumentos comentados anteriormente, que correspondía declarar la competencia del fuero contravencional de la ciudad de Buenos Aires.
Por su parte en el caso “Cadegua S.A. v. Municipalidad de Junín” la Corte expreso, en consonancia con lo que venimos desarrollando: “Sentado lo expuesto, en cuanto al fondo de la cuestión debatida considero que, contrariamente a lo sostenido por la apelante, el ejercicio del poder de policía en materia de los juegos de azar no es originario, natural y propio de los municipios, sino, antes bien, es una potestad reservada por la Constitución Nacional a las provincias”.
la facultad de reglamentar los juegos de azar está reservada a las jurisdicciones provinciales, en virtud del principio general que rige la distribución de competencias que surge de la Constitución Nacional, según el cual los poderes de las provincias son originarios e indefinidos (art. 121 CN.), en tanto que los delegados a la Nación son definidos y expresos (art. 75 CN.) (Fallos 304:186, entre muchos otros). Dentro de este contexto, cabe entender que las prerrogativas de los municipios derivan de las correspondientes a las provincias a las que pertenecen (conf. doct. de Fallos 321:1052) y que, por lo tanto, es atribución del poder constituyente provincial y de su legislación otorgar esta facultad a los municipios, ya sea en forma exclusiva o en concurrencia con otros territorios o servicios estatales, o bien como propias o delegadas por el Estado provincial.
Esta causa es resuelta por la Corte Suprema de Justicia de la Nación en ocasión de que la Municipalidad de Junín emitió la ordenanza 2870/1991 mediante las cuales se impedía desarrollar las actividades de juego denominado “Lotería Familiar” o “Bingo” en dicho partido.
En primer lugar la Suprema Corte de Justicia de la Provincia de Buenos Aires hizo lugar a la demanda promovida por Cadegua S.A contra la Municipalidad de Junín y declaró la nulidad de la ordenanza.
Los integrantes de la Suprema Corte afirmaron que el ejercicio del poder de policía en los juegos de azar es de carácter provincial, y expresaron que la autorización en dicho ámbito, para el funcionamiento y explotación de la Lotería o Bingo se haya regulada por la ley provincial 11.018.
Contra tal pronunciamiento la demandada (Municipalidad de Junín) dedujo recurso extraordinario ante la Corte Suprema de Justicia de la Nación el cual fue denegado motivo por el cual presenta un recurso de queja que se declara admisible por los motivos expuestos.
No obstante, merced a la organización política del Estado Argentino, el Gobierno Nacional mantuvo para si la facultad de poseer este organismo administrativo, autoridad de aplicación en materia de juegos de azar.
Instalada la Lotería Nacional como institución, a pocos años de haber comenzado el siglo XX, en debates parlamentarios se denuncia la existencia de manifestaciones paralelas a la explotación de la Lotería oficial. La más popularizada era el juego de la quiniela que consistía en apostar a determinadas cifras finales de un sorteo de Lotería. Esta práctica se popularizó dado que permitía al apostador acceder al juego desembolsando sumas pequeñas y aumentando las posibilidades de aciertos.
Desde su inicio la beneficencia fue el objetivo rector de Lotería Nacional. Prueba de ello es que la ley que autorizaba al funcionamiento del organismo destinaba “el 60% de sus beneficios líquidos al sostenimiento de los Hospitales y Asilos públicos de la Capital y el 40% restante para las capitales de provincias”.
Por otra parte, el éxito popular se vio reflejado en lo económico y la primera partida se aplicó en “la construcción de una casa de Aislamiento, construcciones reclamadas por la higiene y la salud pública, obras, mejoras y gastos extraordinarios en los hospitales y asilos existentes, y gastos ordinarios para el sostenimiento de los mismos”
A pesar de la fuerza y los objetivos con que se instaló Lotería Nacional y más allá de los beneficios concretos a los que la sociedad se hacía acreedora con lo producido por el juego algunos pensaban en que debía suprimirse su funcionamiento.
Así, en 1925, aparece en la Cámara de Diputados un proyecto que sería el único intento oficial de prohibir las actividades del organismo nacional. La iniciativa fue llevada adelante por el diputado Adolfo Dickmann quien ponía en duda el destino de los recursos del juego y hasta llegaba a considerar al juego de la lotería de billetes como “el más peligroso”.
Otro momento crucial para la institución fue el desarrollo de la 2da. Guerra Mundial, iniciada en 1939, que creó dificultades en su normal desenvolvimiento por la crisis económica que por reflejo afectaba nuestro país. La coyuntura fue tal que debieron suspenderse los sorteos durante los meses de junio, julio y agosto de 1940.
Mientras Lotería Nacional continuaba con sus objetivos y desarrollo a fines de 1944 el Gobierno Nacional estableció que el organismo se hiciera cargo de la administración y explotación de los casinos, salas y centros de esparcimiento de Mar del Plata, Necochea y Miramar. Luego también se haría cargo de los demás casinos del país (llegó a administrar un total de 18 salas en forma conjunta) convirtiéndose en garantía de seriedad y responsabilidad.
Por otra parte, en 1953, se determinó que la explotación de los hipódromos y las agencias hípicas estuviesen a cargo del Estado a través de Lotería Nacional. Esta medida se mantuvo hasta 1963 para, luego en 1974, volver a la situación anterior. Finalmente, en 1992, bajo la supervisión de la Lotería ya como Lotería Nacional Sociedad del Estado se concretó la concesión del famoso hipódromo argentino más conocido como hipódromo de Palermo a manos privadas.
La Lotería de billetes fue el primer juego y durante muchos años la tarjeta de presentación de Lotería Nacional. Pero el tiempo marcó otras necesidades y, entendiendo que era prioritaria la creación de nuevos productos para lograr una mejor comercialización, se incorporó la explotación de otros juegos.
En 1971 aparece el Prode, juego de los Concursos de Pronósticos Deportivos, como fruto de la combinación del azar y la pasión popular que provoca el fútbol. El juego, una serie de aciertos sobre 13 partidos de la Asociación del Fútbol Argentino, convocó la atención durante años de la mayoría de los argentinos.
Un año después, en 1972, respondiendo a una imposición popular apareció el juego de La Quiniela. Ante la realidad de su existencia clandestina el estado decidió tomar a su cargo la explotación dotándola de un fin social y comunitario. El tradicional juego, en un marco de seguridad y transparencia, no tardó en convertirse en uno de los productos (sino el más) importantes del organismo.
Tanto el proyecto del Prode –como “polla del fútbol”- y la Quiniela como juegos legales en manos del Estado ya había sido presentado en la Cámara de Diputados en el año 1961, dejándose constancia que lo producido de ambas explotaciones deberían tributarse al Ministerio de Educación.
Es en la década de los ’90 que comienza un proceso de crecimiento de la actividad, dado que en casi todas las provincias se habían instalado organismos provinciales reguladores de juegos de azar que comenzaban a competir, cada vez más fuerte, con la tradicional Lotería Nacional de Beneficencia y Casinos.
Por su parte, el territorio de la Ciudad de Buenos Aires no quedaba ajeno a esta cuestión y comenzaron a instalarse en su territorio loterías provinciales, es decir, que se instalaron agencias de juegos de azar que no contaban con la autorización del ente federal, la Lotería Nacional de Beneficencia, sino por el contrario, exhibían la autorización de organismos provinciales.
Con este esquema desarrollado en el cual prima la expansión del juego a lo largo de toda Argentina, el Poder Ejecutivo Nacional inspirado por la idea de modernizar el Estado, emitió un decreto mediante el cual se dispuso la conversión del mencionado instituto de lotería en una sociedad del estado, llamada Lotería Nacional S.E.
1.3 Lotería Nacional Sociedad Estado. Decreto de transformación
En el año 1990 la Lotería Nacional de Beneficencia es transformada en Lotería Nacional Sociedad Estado mediante decreto del Poder Ejecutivo Nacional, y así se inicia su modificación estructural tendiente a la modernización administrativa y operativa de su actividad.
Los decretos son los que dicta el Poder Ejecutivo en ejercicio de facultades constitucionales propias, para asegurar o facilitar la aplicación o ejecución de leyes, regulando detalles necesarios para el mejor cumplimiento de las leyes y de las finalidades que se propuso el legislador.
Los decretos presidenciales forman parte del ordenamiento jurídico, para que entren en vigencia deben ser publicados, produciendo efectos a partir de su publicación en el Boletín Oficial.
Esto surge de la interpretación armónica de los incisos 1 y 2 del Art. 99 de la Constitución Nacional.
Art. 99.- El presidente de la Nación tiene las siguientes atribuciones:
1. Es el jefe supremo de la Nación, jefe del gobierno y responsable político de la administración general del país.
2. Expide las instrucciones y reglamentos que sean necesarios para la ejecución de las leyes de la Nación, cuidando de no alterar su espíritu con excepciones reglamentarias.
A los fines del desarrollo del procedimiento de transformación de la antigua Lotería Nacional mediante decreto es necesario conocer las características de los decretos autónomos, toda vez que fue mediante un decreto de estas características que se realizó la conversión.
Los decretos autónomos son las normas generales que dicta el Poder Ejecutivo, y en general, la Administración Pública, sobre materias que pertenecen a su zona de reserva. En su dictado, el gobierno y la Administración no aplican ni reglamentan una ley, sino que directamente interpretan y aplican la constitución.
La aparición de las sociedades del Estado surge como consecuencia de un proceso mediante el cual el Estado comienza a inmiscuirse en la economía del país como actor, y no solo como mero guardián último de todos los derechos y garantías del habitante.
Así, el Estado argentino, tanto nacional como provincial y en su carácter de sujeto de derecho que es, puede participar en sociedades comerciales argentinas, quedando sujeto a las normas de derecho privado relativas al régimen de los tipos sociales, aunque con ciertas particularidades.
La Cámara Nacional de Apelaciones, sala b en la causa “Ferreiro, Oscar v. Subterráneos de Buenos Aires s/ Resolución de contrato” expreso sobre el régimen legal que regula las S.E que: “En la gestión de una sociedad del Estado, si un negocio no encuadra en la noción de los contratos administrativos, porque ni directa ni indirectamente se halla comprometido un servicio público, el Estado (nacional, provincial o municipal), para llevar a cabo una determinada actividad, se ha valido de una forma de personalidad propia del derecho privado (Sociedad del Estado) que en el marco legal que la rige prescinde de la ley de procedimientos administrativos y su consecuencia es la inaplicabilidad de los requisitos substanciales y formales de dicho ordenamiento con relación a los actos unilaterales o bilaterales que celebre. En este orden de ideas, resulta luego incoherente que se quiera trasladar ese régimen administrativo, con los principios y directivas que ello supone, a los negocios que, en forma particular, este tipo de sociedades decidan realizar, para relevarse de cumplir con las obligaciones que lícita y regularmente han contraído”.-
Como bien lo muestra Cassagne Juan Carlos “Derecho Administrativo” tomo I, Abeledo Perrot, 1998: ya casi nadie puede negar que el principio por el cual puede el Estado intervenir en el plano económico se da por el principio de la subsidiariedad, que veda al Estado hacer todo lo que los particulares pueden realizar con su propia iniciativa o industria y que consecuentemente, también obsta al Estado. La realidad demuestra que el Estado no saldrá perdiendo de este cambio, sino que se convertirá en algo más fuerte ya que es el encargado no de prestar todos los servicios por medio de las sociedades del estado, sino de garantizar que las empresas se encarguen de manera adecuada.
A raíz del proceso por el cual el Estado ha asumido la realización de tareas económicas propias de la iniciativa privada, se han comenzado a utilizar diferentes formas jurídicas societarias del Derecho Comercial, siendo común este tipo de entidades en la realidad comercial, lo que torna necesario desentrañar el régimen jurídico de la institución para no atribuirles carácter público estatal cuando son sociedades que se rigen por el derecho privado.
No es pacifica la doctrina sobre el carácter público o privado que poseen las sociedades en las que Estado participa, cierto sector propugna que el Estado al actuar a través de sus entidades, convierte a estas en personas de derecho público y a sus actos en administrativos, no obstante que se regulen por el derecho privado.
Sin embargo, aquella postura que las considera personas de derecho público se superó y ya nadie niega que cuando el Estado utiliza las formas jurídicas del derecho privado debe despejarse de las prerrogativas de poder público que no guardan correspondencia ni son necesarias para el objeto de las actividades económicas que pretende desarrollar, porque aunque las finalidades mediatas que persigan sean de interés público, las mismas pueden contribuir también la creación de entidades de derecho privado.
El Estado puede participar en la actividad mercantil a través de Sociedades del Estado las cuales se rigen por la ley 20.705, o mediante los tipos societarios previstos en la ley de sociedades comerciales, 19.550.
Las Sociedades del Estado son definidas en el artículo primero de la ley 20.705 como:
Artículo 1.- “Aquellas que, con exclusión de toda participación de capitales privados, constituyen el Estado Nacional, los Estados provinciales, los Municipios, los organismos estatales legalmente autorizados al efecto, o las sociedades que se constituyan en orden a lo establecido en la presente ley, para desarrollar actividades de carácter industrial y comercial o explotar servicios públicos”.
Conforme al artículo sexto de la ley a estas sociedades no se les aplica las leyes de contabilidad, de obras públicas, y de procedimientos administrativos.
En cuanto a las personas que prestan servicios en estas empresas la doctrina hace una distinción en lo relativo al derecho aplicable:
La relación de servicio de las empresas del Estado con personal subalterno, se rigen por el derecho privado.
Siguiendo con la evolución de la Lotería Nacional S.E es menester decir que a los tradicionales juegos que administraba Lotería Nacional S.E. se le agrega un nuevo producto: El “LOTO”, creado por Decreto del Poder Ejecutivo Nacional del año 1990. Se lanza al mercado como “LOTO TRADICIONAL”, luego se incorporan sus variantes “LOTO 5 FANTASÍA” y “LOTO 15”.
Seguidamente se lleva a cabo un Acuerdo Institucional con la Provincia de Buenos Aires, por el cual se organiza “LA QUINIELA CONJUNTA”. La misma consiste en la realización de ambos sorteos de “LA QUINIELA NACIONAL” y “BONAERENSE” en las mismas fechas y horarios, estando perfectamente reglamentados por ambos organismos los procederes ante eventuales imposibilidades técnicas que afecten las formas oportunamente pactadas (Sorteo no vinculante)
El decreto 598/90 autoriza su transformación, y le asigna todas las atribuciones, derechos y obligaciones que le competían a la antigua lotería de beneficencia.
Esta Lotería Nacional S.E tiene por objeto la organización, dirección, administración y explotación de juegos de azar y de apuestas mutuas y actividades conexas que se encuentren en territorio o jurisdicción federal.
A tales fines, este organismo puede disponer las reglas de los juegos de azar, y de apuestas mutuas, establecer los programas de premios y los requisitos de exigibilidad, establecer casinos y otros locales de juegos, hipódromos, y actividades concurrentes, como así reglar su funcionamiento y explotarlos, puede asimismo, celebrar convenios con organismos nacionales, provinciales y municipales para el mejor desarrollo de su actividades y la participación en los juegos.
Al igual que cualquier tipo societario está sociedad del Estado posee una estructura organizativa la cual está conformada por un directorio, que está a cargo de la administración y representación de la sociedad y una Asamblea que es el órgano deliberativo.
Esta sociedad está sujeta a una fiscalización obligatoria, la cual esta a cargo de tres (3) síndicos titulares nombrados por la Asamblea.
En definitiva la Loteria Nacional Sociedad del Estado comercializa en forma directa sus producto La Quiniela, La Grande Nacional, Loto, PRODE, La Solidaria, etc. y productos de otras instituciones provinciales a través de convenios, como el Quini 6, y en forma indirecta, a través de concesiones, explota el Casino de Puerto Madero y el Hipódromo Argentino de Palermo con la gran sala de maquinas anexada a él..
Una vez creada por el Poder Ejecutivo Nacional, Lotería Nacional Sociedad del Estado comienza a operar sobre un mercado de juegos de azar sustancialmente diferente al que se conocía hasta antes de su creación.
En un contexto internacional de crecimiento de la industria del juego, llega a nuestro país el proceso de privatizaciones y de reforma del Estado en general en un país que se encontraba prácticamente en quiebra luego de dos procesos hiperinflacionarios.
De tal modo, en ese contexto de apertura de la economía y de búsqueda de actividades que crearan empleo y mayor volumen económico, Lotería Nacional ganó inmediatamente la delantera con su conversión en Sociedad del Estado frente a otros organismos de aplicación de los juegos de azar provinciales, que pronto siguieron su ejemplo.
Pero a la vez, Lotería Nacional cuenta con una ventaja comparativa: a diferencia de lo que sucede con las autoridades de aplicación provinciales (tal como veremos en los capítulos correspondientes) no se encuentra regida por leyes que en forma general de toda la actividad, o en particular juego por juego, le indiquen o prescriban determinados límites a su accionar.
Por el contrario, Lotería Nacional emite sus propias normas con las que se autoregula, y solo en ocasiones, merced a las alternativas más bien políticas que jurídicas, o bien a los distintos topes de autorización presupuestaria que establece al normativa interna del Estado Argentino, ha debido actuar con el concurso del Poder Ejecutivo Nacional quien le ha encomendado la realización de licitaciones internacionales, (caso del Casino Puerto Madero) o bien ha actuado refrendando distintas actuaciones en los que Lotería Nacional ha actuado previamente autorizando nuevos emprendimientos de juego (caso del hipódromo y la creación de una sala de juegos anexa).
Este condimento de la inexistencia de una clara normativa que le indique cuales son los límites de actuación, lejos de constituir un inconveniente, tal como veremos por la comparación con aquellos distritos donde sí existe una legislación que constriñe al ente regulador del juego, constituye una fortaleza.
Esto así por cuanto merced a esa falta de un cuerpo normativo rector, si un inversor actuara conjuntamente con Lotería para instalar una sala de juegos en el ámbito regido por el Gobierno Nacional a través de ella es en donde en mejor situación se encontraría.
Ello, porque de un lado tendríamos a un inversor privado, regido únicamente por las leyes que hacen a las sociedades privadas, con su propuesta, hecha llegar al otro lado de la mesa a un organismo que si bien es estatal, tiene facultades para entablar relaciones de derecho privado, al tiempo que, por carece de normas emanadas del Congreso que le digan como debe actuar, solo debe obedecer a su superior jerárquico, en el caso que ésta deba por razones políticas o presupuestarias intervenir.
Para que quede claro, no existe una ley de bingos “nacional” una ley de “casinos regidos por el Estado Nacional” y ni siquiera existe una ley de creación de Lotería Nacional SE ya que como queda reiteradamente dicho, ésta fue creada por decreto.
De tal modo, solo actuará basado en lo que la ingeniería legal que le proponga el inversor pueda establecer como ajustado a derecho, con la mayor libertad, y los resultados conocidos que frente a la justicia explicitaremos más adelante.
Las autorizaciones que brinda Lotería Nacional SE en forma de licencias, concesiones, o autorizaciones para funcionar no tienen más trámite que el que este organismo realiza.
Si fuera necesario el concurso de otro organismo del Estado, éste sería la AABE, esto es, la Agencia de Administración de Bienes del Estado, en el caso de que se decidiera asentar la inversión de juego sobre bienes que hoy están en manos del Estado a efectos de utilizar la teoría de los bienes de utilidad nacional a la cual hechó mano en el pasado la misma Lotería Nacional a instancias de los operadores jurídicos y empresariales que le acercaron propuestas para que autorizara distintos emprendimientos en su área de actuación.
1.4 Salas explotadas por Lotería Nacional S.E
A- Casino Flotante de Puerto Madero
El casino flotante nació en 1999 merced a una resolución del gobierno de Carlos Menem y un decreto que le permitió a la empresa operadora quedarse con el 80 por ciento de las ganancias y dejar el 20% restante en manos del Estado.
La instalación se realizo mediante el llamado a licitación pública por parte del Gobierno Nacional, mediante el Decreto 902/1994 y con la autorización de la Lotería Nacional S.E.
Este Casino tiene la particularidad de ser un casino flotante instalado en un buque sobre las aguas del Rio de la Plata, el cual es sometido a la jurisdicción de la Nación, pese a que fue justamente durante el gobierno de turno de aquel tiempo en el que se comenzó un proceso de provincialización de todos los puertos situados en el territorio nacional.
Es decir, que se decidió, mediante la reforma de la ley 24.093 conocida como la Ley de Puertos la transferencia en forma gratuita del dominio y administración de todos los puertos ubicados en territorio de las provincias, los que originalmente eran sometidos a la jurisdicción del gobierno nacional.
En cuanto a los principales puertos de la Nación, dentro de los cuales se encuentra el puerto de la ciudad de Buenos Aires, se decidió que fueran transferidos a las provincias respectivas y a la Municipalidad de la Ciudad de Buenos Aires, condicionada esta transferencia a que previamente se constituyeran Sociedades de derecho privado, o Entes Públicos no estatales, que las administraran, en los cuales se garantizaran en sus organismos directivos, la participación de los operadores de servicios portuarios, productores, usuarios y demás entes vinculados con la actividad portuaria.
A pesar de este proceso de provincionalizacion que comentamos, en el año 1992, el poder ejecutivo dictó el decreto nº 769/93 de promulgación de la ley 24.093, con un veto parcial al art. 11 de la ley de puertos, artículo que establecía la transferencia del Puerto de Buenos Aires a la Municipalidad de la Ciudad de Buenos Aires.
Cuando el Poder Ejecutivo veta en todo o en parte una ley ejerce su potestad constitucional de oponerse a que ese proyecto se transforme en ley.
Pese a que la Constitución Nacional no contiene una cláusula específica al respecto es innegable su existencia jurídica, puesto que nuestra norma fundamental refiere a esta institución en forma expresa e implícita, así por ejemplo en el art. 78 se refiere al envío de los proyectos de ley sancionados por el Congreso para su examen, el art. 80 menciona los proyectos desechados parcialmente por el Poder Ejecutivo, y el art. 83 establece: “Desechado en todo o en parte un proyecto por el Poder Ejecutivo, vuelve con sus objeciones a la cámara de origen…”
Ésta es una facultad que se le concede al Poder Ejecutivo para evitar que el Congreso invada su esfera de acción, alterando el equilibrio de los poderes de Estado, pero además es un muy adecuado instrumento para efectuar control político de constitucionalidad, ya que entre otras razones, el presidente puede válidamente esgrimir que veta un proyecto legislativo porque cree que éste último repugna la constitución.
En consecuencia, las leyes vetadas por el Congreso pueden ser vetadas total o parcialmente por el Poder Ejecutivo. En tal caso el proyecto vetado vuelve con sus objeciones para el tratamiento por las dos cámaras del Congreso, las cuales con dos tercios de sus miembros pueden insistir en su proyecto, sancionándolo en forma definitiva, y debiendo en tal caso pasar al Poder Ejecutivo para su promulgación y publicación.
La regla es que si un proyecto es vetado parcialmente por el Poder Ejecutivo, la parte restante no puede ser promulgada. Sin embargo la reforma constitucional de 1994 permite la promulgación parcial en el caso que la ley o norma tengan autonomía normativa y su aprobación parcial no altere el espíritu ni la unidad del proyecto sancionado por el Congreso.
El fundamento de este veto fue la consideración de que la Ciudad de Buenos Aires constituía un ente descentralizado que actuaba dentro de la esfera del Gobierno Nacional.
Dentro de los móviles que impulsaron al Gobierno Nacional no sólo se encuentra el afán de retener los ingresos dinerarios provenientes de los buques, derechos de puerto, puerto de cruceros, sino que también fueron motivados por la posibilidad de que la posterior instalación del Casino de Puerto Madero pertenezca a jurisdicción nacional, y dado el esquema legal imperante en ese momento el único camino para conseguirlo sería lograr el veto del artículo mencionado, ya que la licitación para adjudicar dicha licencia de juego ya estaba en marcha.
Sin embargo con la reforma constitucional de 1994, la creación del Gobierno de la Ciudad Autónoma de Buenos Aires, la desfederalización de su territorio y la sanción del Estatuto constitucional de esta nueva jurisdicción ha dejado el veto de transferencia del puerto a la Ciudad sin sustento jurídico alguno, ya que actualmente la Ciudad Autónoma ya no es una dependencia del Gobierno Nacional, generándose en este sentido reiterados reclamos del GCBA sin éxito hasta el momento.
A pesar de la falta de sustento jurídico que hoy rodea este veto, por los motivos desarrollados ut supra, hasta ahora el Estado Nacional es quien mantiene en su dominio y administración este puerto.
La Ciudad tardíamente objeto la instalación de un buque casino y el conflicto que se originó era un conflicto de jurisdicciones, dado que por un lado, el problema surge a raíz de que el artículo 50 de la Constitución porteña expresa que "quien regula, administra y explota los juegos de azar y destreza y apuestas mutuas es el gobierno local, no siendo admitida la privatización o concesión salvo en lo que se refiere a agencia de distribución y expendio". Asimismo, la ley porteña 538 prohíbe que haya "explotación de juegos de azar privados" en territorio de la Capital Federal, y por el otro lado el gobierno nacional defiende su propia jurisdicción dado el cuadro de competencias atribuidas a Lotería Nacional S.E mediante el decreto nº 598/90 y el veto mencionado anteriormente.
Estos conflictos originaron las presentaciones de reclamos judiciales que perduraron años, como por ejemplo las causas caratuladas en autos, "Casino Buenos Aires S.A. c/ Lotería Nacional S.E, Ricardo Monner Sanz y otro s/ Proceso de Conocimiento" y “Dr. Monner Sans c/ GCBA y otros s/ Amparo”, los cuales se encuentran desarrollados en el capítulo correspondiente a la Ciudad de Buenos Aires, y que arrojaron como resultado el otorgamiento de jurisdicción federal al Casino de Puerto Madero.
Otros de los conflictos originados por la instalación de esta sala de juegos fue la modificación de los porcentajes establecidos en la ley 18.226 que determinaba la distribución del beneficio líquido que arrojaban las explotaciones de los casinos, dependientes de la Lotería Nacional.
La modificación de estos porcentajes se realizo mediante el decreto 660/99, el cual redujo en un 68 % los fondos para fines sociales, en beneficio del agente privado, dado que la empresa privada que ganase la concesión del casino flotante se quedaría con un 80 % de las ganancias de la sala de juego y un 16 % se destinaría a fines sociales y al deporte.
B- Hipódromo de Palermo
El Hipódromo de Palermo fue fundado en 1876, entre el parque 3 de febrero y los alfalfares de Rosas, siendo el primer centro hípico destinado a las carreras de caballos.
En el marco del proceso de privatizaciones de la década del 90 el Gobierno Nacional emite un decreto mediante el cual se concede la titularidad de las tierras del hipódromo Argentino al gobierno Nacional.
Este decreto es el 256/90 a través del cual expresamente se dispone lo siguiente;

Apruébese un Convenio por el que se resuelve la titularidad dominial del predio denominado Parque Tres de Febrero.

Visto el Expediente Nº 9396/88 de Registro de la Municipalidad de la Ciudad de de Buenos Aires y el Nº 200.491/89 del Registro de la Secretaria de Hacienda del Ministerio de Economía y
CONSIDERANDO
Que por dichas actuaciones tramita el diferendo suscitado entre el ESTADO NACIONAL y la MUNICIPALIDAD DE BUENOS AIRES respecto de las condiciones de dominio del denominado “PARQUE TRES DE FEBRERO”, de ésta Capital.
Que ambas partes, invocando razones históricas y normas de vieja data sostienen ser titulares del dominio del referido predio.
Que dichos inmuebles, se encuentran ocupados en la actualidad parcialmente por el ESTADO NACIONAL; la MUNICIPALIDAD DE LA CIUDAD DE BUENOS AIRES y diversas entidades deportivas particulares.
Que la PROCURACION DEL TESORO DE LA NACION ha tomado intervención en estas actuaciones concluyendo que el PODER EJECUTIVO NACIONAL se encuentra facultado para resolver el diferendo antes aludido.
Que para sostener su criterio vuelca firme jurisprudencia de la CORTE SUPREMA DE JUSTICIA DE LA NACION.
Que así expone, que “con arreglo a la jurisprudencia de esta Corte los diferendos entre entidades estatales dependientes de un superior jerárquico único pueden excluirse de decisión judicial (conf. Fallos 180:58; 242:489, 248:189 entre otros)”, y si el diferendo prosiguiera luego del informe de la Comisión Especial cuya constitución se encuentra en trámite, deberá ser resuelto por el Excmo. Señor Presidente de la Nación.
Que según fallos 114:161 “cualquiera será el régimen Institucional imperante respecto del Municipio de la Capital, no es dudoso que aquél está sometido a la legislación exclusiva del Congreso y a la autoridad inmediata del Presidente de la Nación, en los términos de los artículos 64 inc. 87 y 86 inc. 3 de la Constitución Nacional.
Que finaliza el alto organismo asesor sosteniendo que “la doctrina de la Corte Suprema de justicia de la Nación que se registra en los fallos 259:432 no se opone a la sustentada por LA PROCURACION DEL TESORO NACIONAL en el sentido de que, cuando un conflicto interadministrativo no puede resolverse por vía del artículo 56 de la ley 16.432 y el artículo 1º del Decreto-ley nº 3877/73, debe ser resuelto por el Señor Presidente de la Nación en virtud de lo dispuesto por el articulo 88 inciso I de la Constitución Nacional (confr. Fallos 242:489 y 248:189)
Que por las razones y fundamentos expuestos el PODER EJECUTIVO NACIONAL se encuentra facultado para el dictado de la presente medida en virtud de las previsiones de la ley nº 19.983 y los incs. 1 y 3 del artículo 86 de la Constitución Nacional.
Por ello,
EL PRESIDENTE
DE LA NACION ARGENTINA,
DECRETA:
Articulo 1º- apruébase el convenio por el que se resuelve el diferendo existente entre el ESTADO NACIONAL ARGENTINO y la MUNICIPALIDAD DE LA CIUDAD DE BUENOS AIRES con relación a la titularidad dominial del predio ubicado en la Ciudad de Buenos Aires denominado PARQUE TRES DE FEBRERO, con la atribución de propiedad de los distintos predios que integran el referido parque según los sectores graficados y referencias del croquis anexo a dicho convenio, todo lo cual forma parte integrante del presente.
Articulo 2º- comuníquese, publíquese, dése a la Dirección Nacional del Registro Oficial y Archívese.
Posteriormente durante el año 2003, la Resolución N° 99/02 de la Lotería Nacional Sociedad del Estado autorizo la instalación de maquinas tragamonedas en el Hipódromo de Palermo. Y más tarde prorrogó la vigencia de la concesión a través de la Resolución LNSE 31/07, la que fue refrendada por el Decreto del Poder Ejecutivo Nacional 1851/07.
El Decreto 1851/07 por su parte reza en su parte pertinente:
EL PRESIDENTE DE LA NACION ARGENTINA
DECRETA:
Artículo 1º — Ratifícase lo dispuesto por la Resolución L.N.S.E. Nº 31/07 que, en copia certificada, se acompaña al presente como Anexo I.
Art. 2º — Prorrógase por el plazo de diez (10) años, con una opción de cinco (5) años más, a favor de LOTERIA NACIONAL S.E. la concesión de explotación del Hipódromo Argentino de Palermo, Concurso Público Internacional Nº 1/92, aprobado por Decreto P.E.N. Nº 292/92, a la empresa concesionaria "HIPODROMO ARGENTINO DE PALERMO S.A.".
Art. 3º — La prórroga otorgada comenzará a tener vigencia a partir del día siguiente al vencimiento del plazo que fuera originalmente concedido por el Concurso Público Internacional Nº 1/92, aprobado por el Decreto P.E.N. Nº 292/92.
Art. 4º — Comuníquese, publíquese, dése a la Dirección Nacional del Registro Oficial y archívese. — KIRCHNER. — Alberto A. FERNANDEZ. — Alicia M. KIRCHNER.
1.5 El Convenio entre la Lotería Nacional Sociedad del Estado y el Instituto de Juego y Apuestas de la Ciudad
A efectos de terminar las crecientes disputas de jurisdicción entre Nación y Ciudad (las que serán explicadas con detenimiento en el capítulo correspondiente a Ciudad;(ver Capitulo III punto 3.3) ambos organismos de aplicación de los juegos de azar llegaron a un acuerdo que fuera luego ratificado por decreto del Poder Ejecutivo Nacional 1155/ 2003 en su carácter de superior jerárquico de la Lotería Nacional, mientras que la Legislatura de la Ciudad de Buenos Aires lo hizo mediante la ley 1182.
Este órgano legislativo intervino en función de lo dispuesto por la Constitución de la Ciudad en cuanto al compromiso de fondos públicos.
Mediante dicho convenio las partes acuerdan mantener la exclusividad de la lotería nacional en la explotación, comercialización y fiscalización de los juegos de azar, destreza y apuestas mutuas que ésta viene desarrollando en el ámbito local
El objeto del referido Convenio es reglar la participación de cada una de las jurisdicciones en el producido de la comercialización de juegos de azar, destreza y apuestas mutuas en el ámbito de la Ciudad Autónoma de Buenos Aires.
Se pone así fin a un conflicto que ha llevado a la iniciación de una importante cantidad de litigios judiciales, tanto en la Justicia Federal como en la Justicia de la Ciudad Autónoma de Buenos Aires, promovidos por instituciones públicas nacionales y locales, organizaciones no gubernamentales y también particulares, en los que se han dictado distintos pronunciamientos y medidas cautelares sosteniendo, sin que exista un pronunciamiento definitivo de la Corte Suprema de Justicia de la Nación sobre el particular, criterios contradictorios.
Dicho conflicto es explicado en profundidad en el capítulo correspondiente a la Ciudad.
Ese estado de situación derivado de los conflictos judiciales generó una gran incertidumbre e inseguridad jurídica, cuya consecuencia inmediata fue un desaprovechamiento de los recursos potenciales que podrían obtenerse como fruto de una explotación adecuada y armónica de los juegos de azar, resintiéndose, de este modo, la recaudación y paralizándose virtualmente nuevas inversiones, con lo cual se impide generar nuevas fuentes de trabajo y nuevos recursos para atender a beneficencia y asistencia social.
Debieron actuar entonces el Directorio y la Asamblea de LOTERIA NACIONAL SOCIEDAD DEL ESTADO y el PODER EJECUTIVO NACIONAL.
El Directorio de LOTERIA NACIONAL SOCIEDAD DEL ESTADO, en su Reunión N° 386 del 31 de octubre de 2003, aprobó por unanimidad dicho Convenio, mientras que la Asamblea General Extraordinaria N° 31 de dicha Sociedad del Estado, celebrada el 06 de noviembre de 2003, prestó expresa conformidad a los términos del Acuerdo y ratificó el mismo.
El Poder Ejecutivo Nacional dictó el Decreto 1155/2003 firmado por el Presidente Kirchner aprobando el Convenio pero a la vez dispuso que teniendo en cuenta los términos del Convenio alcanzado entre LOTERIA NACIONAL SOCIEDAD DEL ESTADO y el INSTITUTO DE JUEGOS DE APUESTAS DE LA CIUDAD AUTONOMA DE BUENOS AIRES y, con la finalidad de brindar certeza respecto de los juegos de azar, destreza y apuestas mutuas que se desarrollen en virtud del mismo y de evitar situaciones de incertidumbre que conspiren contra una armoniosa implementación de lo allí convenido entre las dos jurisdicciones, se hacía necesaria la derogación del Decreto N° 494 del 27 de abril de 2001.
Con motivo de dicha derogación, y al incluir el citado Convenio la explotación de juegos de resolución inmediata en su modalidad de máquinas electrónicas y/o electromecánicas, se tornó necesario regular su funcionamiento y establecer la distribución de su producido del mismo modo que lo disponía la referida norma.
Por último estableció que en todo lo que no resultó derogado por el decreto 1155/2003, quedaba vigente y se mantenía la Resolución LNSE N° 99/02, y lo determinado en el Decreto N° 600 de fecha 4 de junio de 1999.
En cuanto a las particularidades del Convenio, este establece, que con el objetivo recíproco de proponer a la mayor generación de recursos destinados al cumplimiento de necesidades de bien común y desarrollo social, llegan a un acuerdo el cual tendrá una vigencia de cuatro (4) años a partir de su aprobación, y se considerará prorrogado por períodos iguales en tanto las partes no manifiesten su voluntad en contrario de modo fehaciente con ciento veinte días de anticipación al respectivo vencimiento.
Merced al juego de las distintas prórrogas, el convenio N° 1182, se encuentra vigente hasta el 1 de enero de 2016.
Por CLAUSULA TERCERA: Las partes acuerdan, durante la vigencia del presente convenio:
1. Mantener la exclusividad de LOTERIA en la explotación, comercialización y fiscalización de los juegos de azar, destreza y apuestas mutuas que ésta viene desarrollando en el ámbito local hasta la fecha. LOTERIA se compromete a suministrar al INSTITUTO cuando éste lo requiera, toda la información y las estadísticas relacionadas con el desarrollo de la actividad.
2. Establecer que sólo podrán habilitarse nuevos juegos o explotaciones con la conformidad concurrente de ambas partes. La utilidad que los eventuales nuevos juegos o explotaciones arrojen, se distribuirá entre LOTERIA y el INSTITUTO por partes iguales. Su comercialización y explotación se realizará exclusivamente a través de la red de agentes de LOTERIA.
3. Asignar a LOTERIA la competencia para autorizar la incorporación de nuevos puntos de venta o agentes oficiales a su red de comercialización en la Ciudad de Buenos Aires, previa conformidad del INSTITUTO, según lo establecido en las leyes 538 y 916, y sus normas reglamentarias.
4. Asignar al INSTITUTO competencia para verificar con auxilio de los organismos locales competentes, que los agentes y concesionarios autorizados por LOTERIA NACIONAL cumplimenten las normas locales, sin perjuicio de las competencias atribuidas a autoridades federales.
5. Desarrollar acciones y políticas destinadas a combatir el juego ilegal o clandestino en la Ciudad Autónoma de Buenos Aires.
Del mismo modo por la CLAUSULA CUARTA y con el objeto de llevar a cabo un adecuado control y explotación racional de los juegos de azar en el ámbito local, las partes acuerdan que:
1. LOTERIA no autorizará ni admitirá la instalación y/o funcionamiento de nuevas salas de bingo ni casinos, ni salas de máquinas tragamonedas distintos de las ahora existentes, en la Ciudad Autónoma de Buenos Aires ni en lugares cuya ubicación territorial implique acceso directo desde la misma, que no sean las autorizadas con anterioridad a la celebración del presente.
La ampliación de las concesiones o explotaciones existentes queda reservada a LOTERIA y en ningún caso podrá extenderse fuera de las ubicaciones actuales ni cambiar el objeto ni los usos permitidos de las mismas. Asimismo, dejará sin efecto las autorizaciones para el funcionamiento de máquinas electrónicas de resolución inmediata otorgadas a las Salas de Bingo y Agencias Hípicas.
2. EL INSTITUTO mantendrá las prohibiciones establecidas en el artículo 10 de la Ley 538. No autorizará la instalación de nuevas salas de máquinas tragamonedas ni nuevas salas de casino o bingo.
Por la CLAUSULA SEPTIMA las partes disponen crear una COMISION DE ENLACE conformada por los presidentes de las entidades firmantes, con más de un miembro titular y un suplente por cada una de las partes, que tendrá como objetivo el seguimiento de las actuaciones y procedimientos que sean menester a los efectos del cumplimiento integral del presente convenio.
Y al respecto de los Conflictos judiciales dispusieron que “Dentro del quinto día de la entrada en vigencia del presente se desistirá de la pretensión en todos los expedientes judiciales y administrativos actualmente en trámite entre ambas jurisdicciones relacionados con la constitucionalidad de normas, validez de actos administrativos o conflictos de competencias entre ambas partes con relación a la explotación del juego en el ámbito de la Ciudad de Buenos Aires. A tal efecto las partes requerirán en sus respectivas jurisdicciones el concurso de los órganos que actualmente tengan a su cargo el ejercicio de la acción judicial en los respectivos expedientes. En los escritos se dejará expresa constancia que el desistimiento de la acción no implica renuncia o reconocimiento de derechos invocados en las causas de referencia, y que las costas se asumirán en el orden causado.
El ANEXO I al Convenio traía la descripción de aquellos juegos a los que hace referencia el convenio como existentes antes de su entrada en vigor es decir:
A: JUEGOS COMERCIALIZADOS O AUTORIZADOS POR LOTERIA NACIONAL SOCIEDAD DEL ESTADO:
• Ley 18.226/69: creación de la Lotería Nacional.-
• Decreto 3.042/83 (art. 6, 10, 11): modifica el art. 10 de la ley 18.226/69 que establecía los porcentajes establecidos por el poder ejecutivo de la distribución de juegos que hacen a su presupuesto.-
• Resolución 281/99: programa de Lotería para el mes de septiembre del año 1999.-
• Decreto 600/99: modifica los porcentajes establecidos en los art. 10 y 12 de la ley 18.226/69 (Beneficio liquido del Casino).-
• Resolución 292/99: se aprueba el trámite de selección del agente operador del Casino.-
• Resolución 84/02: autoriza a Casino Bs. As. A instalar una nueva sala de Casino.-

B. JUEGOS DE OTRAS JURISDICCIONES AUTORIZADOS Y COMERCIALIZADOS EN EL AMBITO DE LA CIUDAD AUTONOMA DE BUENOS AIRES, POR LOTERIA NACIONAL SOCIEDAD DEL ESTADO:
• Convenio celebrado CAJA DE ASISTENCIA SOCIAL de la PROVINCIA DE SANTA FE.-
• Convenio celebrado con la LOTERIA DE CORDOBA SOCIEDAD DEL ESTADO.-
• Convenio celebrado con el INSTITUTO PROVINCIAL DE LOTERIA Y CASINOS DE MMISIONES SOCIEDAD DEL ESTADO.-
• Convenio celebrado con LOTERIAS DEL SUR.-
• Convenio celebrado con el INSTITUTO DE ASISTENCIA SOCIAL DE CHUBUT.-
• Convenio celebrado con la CAJA POPULAR DE AHORROS DE LA PROVINCIA DE TUCUMAN.-
• Convenio celebrado con la CAJA SOCIAL DE SANTIAGO DEL ESTERO.-
• Convenios celebrados con el INSTITUTO PROVINCIAL DE REGULACION DE APUESTAS DE TIERRA DEL FUEGO, ANTARTIDA E ISLAS DEL ATLANTICO SUR.-

En razón de este juego de disposiciones vigentes, para la instalación de un nuevo casino se debería aguardar al vencimiento del plazo y que alguna de las partes denunciara el convenio, o bien, que Lotería Nacional S.E iniciara el proceso y contara, en el momento oportuno, con el asentimiento de su contraparte, es decir, del Instituto de Juego de la Ciudad de Buenos Aires.
Sin embargo, las partes al acordar no establecieron cuál sería la sanción para el caso de que alguna de las partes violara el acuerdo con su accionar.
Es decir, ¿Que sucedería si por caso, Lotería Nacional S.E decidiera avanzar en la autorización de un Casino?
Es posible que la Ciudad planteara una acción judicial, pidiendo que Lotería Nacional se abstenga de seguir adelante, pero también resultaría probable que al carecer el Convenio de una sanción definida, un magistrado actuante se viera obligado a aplicar las reglas generales de los contratos es decir, a indicar a la Ciudad que en todo caso, incumpla su parte y reclame los daños y perjuicios, o bien, tratándose de cuestiones institucionales, inste a las partes a alcanzar un nuevo acuerdo.
Este punto deberá ser ampliado en futuros informes por cuanto no es menor. Si alcanzara con la actividad del Instituto de Juegos de Apuestas de la Ciudad no sería demasiado problemático, pero si éste remitiera la cuestión a la Legislatura de la Ciudad, una alternativa parlamentaria de dudosa solución podría incidir en la marcha de la inversión.
CAPITULO II
2. LOS ESTABLECIMIENTOS DE UTILIDAD NACIONAL
Incluimos ahora un pormenorizado análisis de las disposiciones constitucionales y jurisprudenciales en orden a la caracterización de un predio como ¨establecimiento de utilidad nacional¨. Ello es así en virtud de que para la inversión proyectada se esta pensando como hipótesis de esta parte del trabajo asentar el futuro Hotel Casino y sus instalaciones anexas en un área regida exclusivamente por el Gobierno Nacional, en particular echando mano a la teoría de los establecimientos de utilidad nacional que se desprende de la Constitución Nacional y que ha tenido un vastísimo desarrollo jurisprudencial que a continuación reseñamos.
2.1 Establecimientos de utilidad Nacional (Art. 75 inciso 30 C. N.) [1]
El dr Pablo Luis Manilli publicó un interesante trabajo sobre los establecimientos de utilidad nacional Establecimientos de Utilidad Nacional, Buenos Aires, Ed. Universidad, 2004.
A resultas del cual una posible definición de qué es un establecimiento de utilidad nacional no es una tarea sencilla.
Como ocurre con muchos otros institutos del derecho que engloban varias realidades distintas, resulta más sencillo hacer una enumeración casuística de cuáles son, que esbozar una definición genérica de qué son. Empezaremos, pues, por esto último para luego intentar definirlos.
Según el viejo art. 67 inciso 27 de la Constitución Nacional (en adelante CN) son establecimientos de utilidad nacional las fortalezas, arsenales y almacenes. Según la jurisprudencia de la Corte, se encuentran amparados por las previsiones de esa norma (hoy art. 75 inciso 30 CN), además de aquéllos: los cuarteles [2], los puertos [3], las penitenciarías nacionales[4], los asilos de inmigrantes [5], los aeropuertos internacionales [6], los aeródromos nacionales [7], las escuelas nacionales [8], las agencias federales de impuestos [9] (A.F.I.P.), las usinas eléctricas, las plantas depuradoras de agua, los aprovechamientos hidroeléctricos [10], los yacimientos hidrocarburíferos [11], los parques nacionales [12], las sedes o dependencias de los bancos nacionales [13], de las universidades nacionales [14], de los tribunales federales, de la Administración Nacional de la Seguridad Social (A.N.SE.S.), de la Policía Federal Argentina, de la Gendarmería Nacional, de la Prefectura Naval Argentina, de la Policía Aeronáutica, de la Dirección General de Aduanas, de la Dirección de Migraciones, etc.
Con esa base, el Dr Manili ha elaborado una propuesta de clasificación de los establecimientos de utilidad nacional, según la función de cada uno y correlacionados con la normativa constitucional que les da sustento:
a) Defensa nacional (Preámbulo: “proveer a la defensa común”; art. 75 incisos 25, 26, 27 y 28; art. 99 incisos 14 y 15 y art. 126): arsenales, cuarteles, campos de ejercicios militares.

Federally, the incorporation of a number of sections in the chapter relative to aleatory contracts in the Argentine Civil Code (CC) gave games of chance a legal framework.
These aleatory contracts comprise several gaming alternatives where chance is involved, as a determining factor for the acquisition of earnings or losses, including the games of Raffle, Lottery and wagering contracts.
Aleatory contracts are those in which their advantages or losses to both contracting parties, or to one of them only, depend on an uncertain event.
This concept is embodied in section 2051 of the Civil Code, which expressly states:
“Section 2051: Contracts are aleatory when the advantages or losses therefrom to both contracting parties, or to one of them only, are dependent on an uncertain event”.
Namely, the C.C. governs the aleatory or fortuitous contracts where chance intervenes as a determining factor for the execution of the contract.
Also, the C.C. bears in its sections, the regulation of wagering contracts, which are defined as those which take place when two or more people involved in a game agree to pay the winning party a specific amount of money, or any other specific object.
However, the civil code refers to Section 2069 when it states that raffles and lotteries, when permitted, shall be governed by the respective municipal ordinances or police regulations.
The regulations contained in the Civil Code consist of old fashioned formulations for a moment when there was no organized banking system. These formulations somehow attempted to protect the civil rights of those individuals involved in private games.
Nevertheless, as the codifier was already aware of the phenomenon of the administrativization of gaming, by virtue of which, several police regulations or municipal ordinances were starting to authorize or prohibit many expressions of authorized games, what he eventually did was leave an open door for the development of an administrative legislation which with time would become the only legislation applicable.
The draft for the amendment to the Argentine Civil Code foresees some relative features common to these contracts, but introduces no significant amendments to this matter.
Firstly, among the fundamentals which justify the amendment it is argued that the legislation being projected is partially different from the regulations in force. Gambling, which in the previous century was considered by codifier Dalmacio Vélez Sársfield an activity proper of tramps and vagrants, has become an engine for consumption and consequently a promoter of employment.
In this draft, if games of pure chance are not forbidden by local authorities, they are merely tolerated. They don’t entitle the winner to collect what they have won, although they do give rise to the action to prevent the return of what was delivered in accordance with the rules applicable to natural obligations.
Finally, the Code excludes from its regulation those games, wagers and raffles ruled by the National or the Provincial States or by the Municipalities or by the City of Buenos Aires.
Both the original text of the Civil Code and the above mentioned draft amendment refer to the police regulations and ordinances for the ruling of raffles and lotteries, so, the regulation on this matter is sent back to the provincial venues.
1.2 National Administration of Charitable Lottery and Casinos
On the national front, the gaming industry, together with its regulation and exploitation, fell under the almost monopolistic control of the National Administration of Charitable Lottery and Casinos.
The National Administration of Charitable Lottery and Casinos was created through an Executive decree which authorized the creation of a charitable lottery that would allocate the funds it obtained to the improvement of the quality of life of the people through the enhancement of buildings, the assistance to the populations facing natural disasters and the furnishing of the National Library.
In the beginning this entity was mainly a lottery ticket issuer and this game would be the only one available for 51 years, until in 1944 the National Administration of Charitable Lottery starts administrating the Casinos, the Gaming Halls and eventually the Hippodromes.
This administrative body was dependant on the national executive office, which was in charge of the National Lottery. With time it would not only exploit the Lottery but start issuing legal rules as well.
The regulation and exploitation of the gambling activity is therefore in the hands of this entity despite the Supreme Court has considered in several opportunities that said activity was a provincial function, pursuant to the constitutional principle that states:
Section 121.-“The provinces reserve to themselves all the powers not delegated to the Federal Government by this Constitution, as well as those powers expressly reserved to themselves by special pacts at the time of their incorporation”.
Specifically, as regards the powers that are not reserved to the Nation, the Supreme Court of Justice of the Nation has ruled in case “Castillo, Ángel Santos c/ Cerámica Alberdi S.A.” that:
Therefore, in 1869 already, it set out the basic principle that states that the provinces withhold their autonomy with respect to all the powers that are not delegated to the Nation (section 104 of the national Constitution, today section 121) to argue that these reserved attributions “are identical in essence and scope to the same attributions of the central government”.
The Court so expressed itself with reference to a complaint filed by a worker against his employer in which he claimed a determined amount of money as indemnification for a work disability and argued, at that same opportunity, the unconstitutionality of certain sections of the occupational hazards law, serving notice upon the Labor Risk Insurance Company “La Segunda, A.R.T.S.A.” as guarantor.
Initially, the Second Appellate Court in Labor Matters of the First Judicial Circumscription of the Province of Mendoza understood that Section 46 of said law was unconstitutional and therefore derogated the precept.
Against said resolution, the insurer filed for an extraordinary appeal before the Supreme Court of the Province of Mendoza, which was denied, therefore giving way to the filing of an appeal before the Supreme Court of Justice of the Nation.
Following the line of thought in the Supreme Court of Justice of the Nation’s decisions regarding the provincial status of gaming issues, this position was sustained in the 1999 “Dándolo” case, where it was ruled that:
“The games of chance regime and the possible non-criminal offences arising therefrom are in no way a federal issue or included in the reserve set out on the common legislation (section 75 of the National Constitution)”.
This disagreement arose from a case in which Esperanza Patricia Dándolo is accused of incurring in some of the wrongdoings described in decree DEC. Nº 6618/57 on the Suppression of gambling, ratified by law 14,167.
Said case raised a negative conflict of jurisdiction as, to start with, the national judge excused herself from hearing said case, alleging that the offences, though illegal, were not of a criminal nature and therefore, according to Section 80 of the Constitution of the Autonomous City of Buenos Aires, were subject to local regulation.
On the other hand, the contraventions judge argues that as the City Legislature has not yet passed any legislation on the subject, the aforementioned law is still in full force and effect and assigns jurisdiction to the correctional courts.
Given the harshness of the conflict and the absence of a higher court common to both judges, the Supreme Court of Justice of the Nation is forced to decide, in accordance with Section 24, subsection 7th of decree Nº 1285/58.
The Court eventually decided, based on the hereinabove commented grounds, that jurisdiction should be assigned to the contraventions courts of the city of Buenos Aires.
Likewise, in “Cadegua S.A. v. the Municipality of Junín” the Supreme Court ruled, in harmony with what we have been arguing: “Having said that, as regards the issue in question I understand that, contrary to what has been argued by the appellant, the enforcement of the regulations related to the games of chance is not original, natural and typical of the municipalities but, rather, it is a power reserved to the provinces by the National Constitution”.
The authority to regulate the games of chance is reserved to the provincial jurisdictions, in accordance with the general principle that governs the assignment of jurisdictions emerging from the National Constitution, by virtue of which the powers of the provinces are original and indefinite (section 121 N.C), while those delegated to the nation are definite and express (section 75 N.C) (Rulings 304:186, amongst many others). In this context, it is worth bearing in mind that the prerogatives of the municipalities derive from those corresponding to the provinces to which they belong (according to doctrine in Rulings 321:1052) and therefore, it is among the functions of the provincial constituent power and its legislation to vest such power on the municipalities, either exclusively o concurrently with other territories or state services, or as of their own or delegated by the provincial State.
This case is resolved by the Supreme Court of Justice of the Nation when the Municipality of Junín issued ordinance 2870/1991 which banned all the activities related to a game called “Bingo” in said district.
Firstly, the Supreme Court of the Province of Buenos Aires sustained the claim filed by Cadegua SA against the Municipality of Junín and found the ordinance null and void.
The members of the Supreme Court argued that the enforcement of the gaming legislation relies on the province and expressed that the authorization in said venue, as regards the functioning and exploitation of the Lottery or Bingo, appears ruled in provincial Law 11,018.
To oppose that ruling, the defendant (Municipality of Junín) filed for an extraordinary appeal with the Supreme Court of Justice of the Nation, which was denied. Consequently they filed a complaint, which is ruled admissible on the above mentioned grounds.
However, the political organization of the Argentine State entitled the National Government to own this administrative body, which would become the regulatory authority of the gaming industry.
The setup of the National Lottery, in the early 20th century, saw the rise of parliamentary debates which claimed the existence of parallel manifestations to the exploitation of the official lottery, the most popular one being the game of quiniela which consisted of betting on the ending figures of a lottery draw. This practice was so popular because it allowed the better to gamble without spending high amounts of money and increased their chances of winning.
Charity had been the guiding light of the National Lottery, from its early stages. An evidence of this is the fact that the Law that authorized the functioning of the entity assigned “60% of its net proceeds to the support of Hospitals and Public homes of the Capital City and the remaining 40% to the provincial capitals”.
On the other hand, the popular success reflected on the economy and the first draw was allocated to “the construction of an Isolation facility, buildings claimed for the hygiene and public health, works, improvements and extraordinary expenses in the existing hospitals and health care institutions, as well as to the ordinary expenses arising from their maintenance”.
In spite of the vigor and the goals held by the National Lottery and regardless of how evidently the society benefitted from the proceeds of gambling, some people still believed that its functioning had to be suppressed.
Thus, in 1925, the Chamber of Deputies considered a bill which would be the only official attempt to ban the activities of this national entity. The initiative was pushed forward by congressman Adolfo Dickmann, who called into question the alleged destiny of the gaming resources and even deemed ticket lottery “the most dangerous” of games.
Another grave moment for the institution was the development of WWII, which had broken out in 1939 and imposed serious difficulties to its normal functioning due to the economic crisis that reflectively affected our country. The situation was so harsh that the draws of June, July and August, 1940 had to be suspended.
While the National Lottery pursued its goals and objectives, by the end of 1944 the National government ordered that the entity assumed the administration and exploitation of the casinos, recreation halls and gaming houses of Mar del Plata, Necochea and Miramar. Then it would also get in charge of the remaining casinos in the country (at one stage it was running a total of 18 recreation halls at the same time) and become a guarantee of seriousness and responsibility.
Furthermore, in 1953 it was set out that the exploitation of horse racecourses and horse racing betting agencies would be in charge of the State through the National Lottery. This measure would be in force until 1963, but the situation would reverse in 1974. Finally, in 1992, under the supervision of the Lottery, which would by that time be operating as Lotería Nacional Sociedad del Estado, the concession for managing the renowned Argentine Hippodrome, better known as Palermo Hippodrome, was awarded to private hands.
Ticket lottery was the first game and for many years also the calling card of the National Lottery. But with time other needs emerged and as it became apparent that a better commercialization implied the creation of new products, the exploitation of new games was introduced.
As a result of combining chance and the popular passion emerging from football, in 1971 appeared the Prode pools, a betting game derived from the sports forecasting contests and consisted of predicting the outcome of 13 Argentine Association football matches. This game called the attention of most of the Argentine society for years.
One year later, in 1972, popular pressure forced the appearance of the game of La Quiniela which, due to its originally clandestine nature, in turn forced the State to get in charge of its exploitation and give it a social and community purpose. The traditional game, now within a safer and more transparent framework, would soon become an important, if not the most important, product of the entity.
The Prode (“football pools”) and the Quiniela draft bills, which aimed at placing both legal games in the hands of the State, had already been introduced in the Chamber of Deputies in the year 1961, when it was clearly declared that the proceeds of both exploitations would have to be paid to the Ministry of Education.
In fact it’s not until 90’s that the activity saw a growth process, as in all these provinces province entities had been set up which regulated the games of chance and were increasingly competing with the National Administration of Charitable Lottery and Casinos.
In turn, the venue of the City of Buenos Aires was also involved in the issue, as province lotteries began to set up in its territory, namely, games of chance retail shops that lacked a license from the federal authority, the National Administration of Charitable Lottery, but exhibited, instead, the license from the provincial authorities.
With this developed scheme which prioritized the expansion of gaming throughout the whole country, the Executive, in a clear attempt to modernize the State, issued a decree that ordered the conversion of the abovementioned lottery administration into a State owned enterprise, called Lotería Nacional S.E.
1.3 Lotería Nacional Sociedad Estado. Transformation Decree
In the year 1990 the National Administration of Charitable Lottery is transformed, by virtue of a decree from the Executive, into Lotería Nacional Sociedad del Estado therefore kick-starting the structural modification that lead to the administrative and operative modernization of its operations.
Decrees are issued by the Executive in the exercise its own constitutional faculties in order to guarantee or favor the application or enforcement of the law, arranging all the steps necessary for a better fulfillment of the laws and the objectives in the mind of the lawmaker.
Presidential decrees are part of the substantive law and to be in full force and effect they must be published in the Official Gazette.
This emerges from the harmonious interpretation of subsections 1 and 2 of Section 99 of the National Constitution.
Section 99.- The President of the Nation has the following powers:
1.- They are the supreme head of the Nation, head of the government and they are politically responsible for the general administration of the country.
2.- They issue the instructions and rules necessary for the enforcement of the laws of the nation, without altering their spirit with regulatory exceptions.
For a full understanding of the transformation process of the old National Lottery through a decree, it is necessary to know the distinctive features of autonomous decrees, as it was through a decree of this kind that the conversion was carried out.
Autonomous decrees are general rules issued by the Executive and the Public Administration on matters of their reserved concern. In their issuance, the government and the administration do not enforce or regulate a law, but they just construe and observe the Constitution.
The rise of State owned enterprises is a consequence of a process through which the State starts meddling in the economy of the country as an actor, not just as a mere last guardian of all the rights and guarantees of the inhabitants.
Thus, the Argentine State, both in its national and provincial version and in its condition of holder of fundamental rights, can take part in Argentine business organizations and therefore be subject to the rules of private law concerning business organizations, although with some peculiarities.
The National Court of Appeals, Panel B, in case “Ferreiro, Oscar v. Subterráneos de Buenos Aires on Termination of Contract” argued on the regulations governing State owned corporations that: “In the management of a State owned enterprise, where a business does not fit the concept of administrative contracts, because neither directly nor indirectly is a public service involved, the State (be it national or provincial), in order to perform a determined activity has resorted to the adoption of the legal capacity typical of private law (State owned enterprise) that, in the legal framework that governs it, disregards the procedural law, the outcome being the inapplicability of the substantial and formal requirements of said system with respect to the unilateral or bilateral acts it may carry out. Following this line of thought, it is then incoherent to attempt to transfer the administrative regime and the principles and directives resulting thereof to the businesses that this type of organizations decides to do, so they are relieved from their duty to comply with the obligations they had legally and regularly assumed.”
As it has been conveniently argued by Cassagne, Juan Carlos in “Derecho administrativo” Volume I, Abeledo Perrot, 1998: almost no one can deny today that the principle by virtue of which the State can interfere in the economic field arises from its subsidiary nature, which restrains the State from doing anything the private individuals can do with their own initiative or industry and that consequently, also opposes the State. Reality demonstrates that the State shall not be at loss with this change, but grow stronger instead, as now it is the one in charge not of providing all kinds of services through State owned enterprises, but of making sure the companies do so properly.
Due to the process through which the State has assumed the performance of economic duties traditionally belonging to the private initiative, several business organization categories from Commercial Law have been arising. Although this type of entities are quite frequent in the business world of today it is necessary to untangle the legal status of the institutions being considered not to assign them a public state category when in fact they are business organizations governed by private law.
There is no doctrinal agreement as regards the public or private nature of the business organizations in which the State takes part. Part of the doctrine understands that being the State acting through its entities, it confers them a public entity status and therefore their acts should be deemed administrative, in spite of the fact that they are governed by private law.
However, the position that conveys them a public entity nature has been overcome and there is consensus on the statement that argues that when the State adopts the legal forms of private law it must get rid of the prerogatives of public power that are not correspondent or necessary to the purpose of the business it intends to carry out, as even when the mediate purpose they pursue be of public interest, they could also contribute to the creation of private law entities.
The State can take part in business activities through State owned enterprises, which are governed by Law 20,705, or through the business organizations’ alternatives foreseen in the Business Organizations’ Law 19,550.
State owned enterprises are defined in section 1 of Law 20,705 as:
Section 1.- “Those which, excluding any participation from private capital, are incorporated by the National State, the provincial States, the Municipalities, the duly and legally authorized state entities, or the business organizations that might be incorporated pursuant to the provisions of the foregoing Law, to get involved in industrial or business activities or exploit any public services.”
In accordance with Section six of said Law, these organizations are not subject to accounting laws, public works laws or administrative procedure laws.
With reference to the staff working in these organizations, doctrine points out a difference in the applicable law:
The employment relationship between State owned enterprises and their staff are governed by private law.
Going ahead with the evolution of Lotería Nacional S.E. we should not omit saying that a new product was included amongst the games traditionally administered by Lotería Nacional S.E: The “LOTO”, created by a Decree issued by the Executive in 1990. It is launched onto the market as “LOTO TRADICIONAL” and later its alternatives “LOTO 5 FANTASÍA” and “LOTO 15” were added.
Afterwards, an Institutional Agreement is celebrated with the province of Buenos Aires, organizing a “JOINT QUINIELA”, which consists of the realization of the draws of “THE NATIONAL QUINIELA” and “THE BONARENSE QUINIELA” on the same date and at the same time. Both entities would have clearly regulated the procedure to be followed in the case of the appearance of technical impossibilities that might affect the prearranged practices (Non binding draw).
Decree 598/90 authorizes its transformation and grants it all the powers, rights and duties that used to be under the scope of the former administration of charitable lottery.
The business objective of this Lotería Nacional S.E. is to organize, manage, administrate and exploit the games of chance, the pools and all the activities related thereto within the federal jurisdiction or venue.
To that purpose, this organization is entitled not only to set out the rules for games of chance and pools and arrange the prize schedules and the eligibility requirements, but also to set up casinos and gaming houses, racecourses and concurrent activities and regulate their operation and exploitation. The entity can also enter into the contracts that might best meet the needs of the activity and the gambling participation with the proper national, provincial and municipal organizations.
Like any other business organization, this State owned enterprise shows an organizational structure made up of the Board of directors, which is in charge of the administration and representation of the company and the General Meeting, the deliberative body.
The organization is subject to compulsory inspections which are in charge of three (3) permanent syndics appointed by the General Meeting.
Summing up, the Lotería Nacional Sociedad del Estado commercializes directly its products La Quiniela, La Grande Nacional, Loto, PRODE, La Solidaria, etc. and through agreements, other products from provincial institutions, like the Quini 6. Indirectly, by means of concessions, it also exploits the Puerto Madero Casino and the National Palermo Hippodrome, including the huge arcade attached thereto.
Just after its creation by the Executive, Lotería Nacional Sociedad del Estado starts operating on a gaming industry which was drastically different from the one existing before its incorporation.
In an international context where the gaming industry was rocketing, the privatization and State reformation process reaches a country that was almost bankrupt after two hyperinflationary periods.
Consequently, within this context of economic liberalization and a higher economic volume, the National Lottery, with its conversion into a State owned enterprise, would immediately take over the lead from other provincial gaming authorities, which in turn would soon follow its example.
At the same time, the National Lottery has a comparative advantage: unlike the provincial regulatory authorities (as we shall see in the corresponding chapters), it is not governed by any rules that set forth or prescribe the limitations to its operation, neither within the activity as a whole nor within each particular game.
On the contrary, the National Lottery issues its own regulations that govern its operations. Only in a few cases, mainly forced by political, rather that legal circumstances, or by the different budget appropriation ceilings set by the domestic legislation of the Argentine State, it had to act together with the Executive, who assigned it the execution of international bids (as in the case of Puerto Madero casino) or has endorsed different procedures in which the National Lottery had previously participated authorizing new gaming ventures (as in the case of the hippodrome and the creation of the attached thereto arcade).
This lack of an unambiguous legislation stating where the boundaries to its operations are, far from representing an inconvenience, constitutes a strength, as we shall see when we consider the situation in those districts where there is some legislation restricting the powers of the gaming regulatory authority. It therefore becomes apparent that due to this absence of a ruling legislation, if an investor was to operate jointly with the Lottery to set up a gaming house, the venue of the National Government would represent the best alternative to this purpose.
This is so because on the one hand we would have a private investor, governed only by the laws applicable to private business organizations, with a proposal that is surrendered to an entity, on the other hand, that, though State owned, is entitled to get involved in private law relationships while, lacking any legislation from Congress regulating its operation, must only obey its superiors, in the case the latter, for political o budgetary reasons was forced to intervene.
To say it clearly, there is no “national” bingo law or “State managed casinos” law, neither is there a law creating Lotería Nacional S.E. as, as we have repeatedly said, this institution was created by Decree.
Therefore, it shall only operate based on what the legal engineering proposed by the investor could set out as abiding to the laws, with much more freedom and the well-known results in court, which shall be analyzed in letter later.
All the permits granted by Lotería Nacional SE in the form of licenses, concessions, or authorizations to operate demand no other procedure than the one carried out by this entity.
If the participation of any other State authority was necessary, then that entity would be the AABE, i.e. the State Assets Administration Agency [Agencia de Administración de Bienes del Estado], given the case where there was an intention to invest on assets that today are in the hands of the State and resort to the theory of the property of national interest, already used by the National Lottery itself when legal and business lobbyists brought their proposals for the authorization of different ventures within the scope of their operations.
1.4 Gaming houses exploited by Lotería Nacional S.E
A- Puerto Madero Floating Casino
The floating casino was opened in 1999 pursuant to a resolution from the Carlos Menem administration and a decree that allowed the operating company to keep 80 per cent of the earnings and leave the remaining 20% in the hands of the State.
The set up was made through a public bidding called by the National Government by means of Decree 902/1994, with the authorization of Lotería Nacional S.E.
One of the distinctive features of this Casino is that it is installed on a ship on the waters of the River Plate, which is subject to the venue of the Nation, despite it was precisely during this administration that a privatization process was started of all the harbors in the national territory.
Consequently, the amendment to the Port Law 24,093 decided the free transfer of the ownership and administration of all the harbors located in the territory of the provinces, which originally were subject to the venue of the national government.
As regards the principal ports of the Nation, among which is the port of the city of Buenos Aires, it was decided that they would be transferred to their respective provinces and to the Municipality of the City of Buenos Aires, on condition that new private law business organizations or non state public entities were previously incorporated for their management and that in the managerial positions there would be room for the participation of harbor services operators, producers, users and other entities related to the harbor activity.
In spite of the provincialization process referred hereto, in 1992 the Executive issued decree Nº 769/93 on the passage of law 24,093 with a partial veto to section 11 of the Port Law. This section provided for the transfer of the Port of Buenos Aires to the Municipality of the City of Buenos Aires.
Whenever the Executive partially or totally vetoes a law, it exercises its constitutional right to oppose the transformation of a bill into a law.
Even when the National Constitution contains no specific clause defining it, its legal existence is undeniable, as our constitutional law both explicitly and implicitly refers to this institution. For example, section 78 refers to the sending of the bills approved by the Congress to the Executive for their examination, section 80 mentions the bills partially rejected by the Executive and section 83 states: “If a bill is totally or partially rejected by the Executive Power, it shall return with the objections to the originating House…”
This faculty is granted to the Executive so that the Congress does not invade its scope of action, altering the balance of the branches of government, but also, it is the appropriate instrument to politically control constitutionality as, among other reasons, the President may validly argue that they veto a bill because they understand it contradicts the Constitution.
Therefore, the laws vetoed by the Congress may be totally or partially vetoed by the Executive. If such be the case, the vetoed bill returns together with its objections to be considered by both houses of the Congress, which, with two thirds of their members may insist with their bill and turn it into a law, being in such case the Executive forced to promulgate it and publish it.
The rule is that if a bill is partially vetoed by the Executive, the remaining part cannot be promulgated. However, the 1994 amendment of the Constitution allows the partial promulgation when the law or regulation has a regulatory autonomy and its partial promulgation does not alter the spirit or the unity of the bill passed by the Congress.
The fundamentals for this veto were based on the fact that the City of Buenos Aires constituted a decentralized entity acting within the scope of the National Government.
Among the motives the National Government had was not only its eagerness to withhold the money incoming from the ships, the harbor rights, the cruise port, but it was also motivated by the possibility that the forthcoming setup of Puerto Madero Casino belong to the national venue and due to the legal scheme in force at that time the only way to achieve this objective was to get the veto to the aforementioned section as the bidding procedure to grant such license was already under way.
However, with the 1994 amendment of the Constitution, the creation of the Government of The Autonomous City of Buenos Aires, the defederalization of its territory and the sanction of the Constitutional Statutes of this new jurisdiction have left the veto to the transfer of the harbor to the City without any legal basis whatsoever, as today the Autonomous City is no longer a branch of the National Government. This state of affairs gave raise to insisting but up to now unsuccessful complaints from the Government of the City of Buenos Aires
In spite of the absence of a legal basis for this veto, due to the hereinabove mentioned reasons, today it is the National State who owns and manages this harbor.
The City belatedly objected the setup of a casino ship and the arising conflict became mainly a conflict of jurisdictions as, on the one hand, the problem emerges from the fact that section 50 of the Constitution of the City of Buenos Aires states that “the one in charge of regulating, managing and exploiting the games of chance and skill and the pools is the local government, not being any privatization or concession allowed unless it refers to the distribution or retail agencies” and the city law 538 prohibits the “exploitation of private games of chance” within the territory of the Federal Capital. On the other hand the national government defends its own jurisdiction given the set of competences assigned to Lotería Nacional S.E. by virtue of decree nº 589/90 and the above mentioned veto.
These conflicts gave way to the filing of year lasting legal claims, like, for example, the cases titled “Casino Buenos Aires S.A. v. Lotería Nacional S.E, Ricardo Monner Sanz et al on Cognizance procedure” and “Monner Sanz v. Government of the City of Buenos Aires on Protection of constitutional rights”, which are considered in chapter III, on the City of Buenos Aires and granted Puerto Madero Casino federal jurisdiction.
Another conflict arising from the setup of this gaming house was the modification of the percentages set in law 18,226, which provided for the distribution of the net profits emerging from the exploitation of the casinos, subordinate to the National Lottery.
The modification of these percentages was introduced through decree 660/99, which reduced the amounts assigned to social purposes by 68%, to the benefit of the private agent, as the private company who was awarded the concession of the floating casino would withhold 80% of the earnings of the gaming house and 16% would be assigned to social purposes and sport.
B- Palermo Hippodrome
Palermo Hippodrome was founded in 1876, between Parque 3 de Febrero and Rosas’s alfalfa fields, to become the first equestrian center designed as a horse racing facility.
Within the framework of the privatization process that was being carried out in the 90’s, the National Government issues a decree through which the ownership of the lands of the Argentine hippodrome is granted to the National government,
This is decree 256/90 which states:

Having examined File Nº 9396/88 of the Registry of the Municipality of the City of Buenos Aires and Nº 200.491/89 of the Registry of the Treasury of the Ministry of the Economy and
WHEREAS
Said proceedings analyze the dispute between the NATIONAL STATE and the MUNICIPALITY OF BUENOS AIRES as regards the ownership of the so called “PARQUE TRES DE FEBRERO” of this capital City.
Both parties, based on historical grounds and age old regulations, hold that they are the legitimate owners of the hereinabove mentioned estate.
Said estate is today partially occupied by the NATIONAL STATE, the MUNICIPALITY OF THE CITY OF BUENOS AIRES and several private sports facilities.
The OFFICE OF THE ATTORNEY FOR THE NATIONAL TREASURY has interceded in these proceedings and concluded that the NATIONAL EXECUTIVE POWER is entitled to resolve the above mentioned dispute.
To support its criteria the latter refers to solid jurisprudence from the SUPREME COURT OF JUSTICE OF THE NATION.
Therefore, it quotes that “according to the jurisprudence from this Court the disputes between state entities subordinate to a same authority can be excluded from judicial decision (pursuant to Decisions 180:58, 242:489, 248:189 among others) and if the dispute was not solved following the report from the Special Commission, the formation of which is under way, it shall be resolved by His Excellency the President of the Nation.”
According to decision 114:161 “regardless the ruling Institutional regime in the Municipality of the Capital City, there is no doubt that the latter is subject to the exclusive legislation of the Congress and the immediate authority of the President of the Nation, in accordance with section 64 subsection 87 and section 86 subsection 3 of the National Constitution.”
Said high advisory body ends up stating that “the doctrine of the Supreme Court of Justice of the Nation registered in decisions 259:432 is not contrary to the one argued by THE OFFICE OF THE ATTORNEY FOR THE NATIONAL TREASURY as, when an interadministrative conflict cannot be solved through section 56 of law 16,432 and section 1 of Decree-law Nº 3877/73, it must be resolved by the President of the Nation, in accordance with what is set forth in section 88 subsection I of the National Constitution (pursuant to decisions 242:489 and 248:189).
Based on the aforementioned grounds and fundamentals the NATIONAL EXECUTIVE POWER is entitled to issue the foregoing measure by virtue of the provisions of law Nº 19,983 and subsections 1 and 3 of section 86 of the National Constitution.
Therefore,
THE PRESIDENT
OF THE ARGENTINE NATION,
DECREES:
Section 1- The approval of the agreement resolving the dispute between the ARGENTINE NATIONAL STATE and the MUNICIPALITY OF THE CITY OF BUENOS AIRES as regards the ownership of the estate located in the City of Buenos Aires known as PARQUE TRES DE FEBRERO, granting the ownership of the different premises that make up said estate according to the charted sections and the references in the thereto annexed sketch, which are all part of the foregoing.
Section 2- Let it be made known, published, granted to National Bureau of Official Registry and archived.
Later on, in 2003, Resolution Nº 99/02 from Lotería Nacional Sociedad del Estado authorized the installation of slot machines in the Palermo Hippodrome, subsequently extending the term of the concession through Resolution LNSE 31/07, ratified by Decree from the National Executive Power 1851/07.
In turn, Decree 1851/07reads, it its pertinent sections:
THE PRESIDENT OF THE ARGENTINE NATION
HEREBY DECREES:
Section 1: - I hereby ratify what is set forth in Resolution L.N.S.E. Nº 318/07, a certified copy of which is attached hereto as Exhibit I.
Section 2 – I hereby extend for a term of ten (10) years, which in turn may be extended for another (5) years, in favor of LOTERÍA NACIONAL S.E. the concession of the exploitation of the Argentine Hippodrome of Palermo, International Public Tender Nº 1/92, approved by Decree from the National Executive Power Nº 292/92, to concessionaire “HIPÓDROMO ARGENTINO DE PALERMO S.A.”
Section 3 – The extension of the term shall take effect as from the day following the expiration of the term originally granted by International Public Tender Nº 1/92, approved by Decree from the National Executive Power Nº 292/92
Section 4 – Let it be made known, published, granted to National Bureau of Official Registry and archived. – KIRCHNER – Alberto A. FERNÁNDEZ – Alicia M. KIRCHNER.
1.5 The Agreement between Lotería Nacional Sociedad del Estado and the City Institute of Gambling
Aiming at putting an end to the increasing number of Nation-City disputes (which shall be analyzed in detail in the chapter corresponding to the City, namely Chapter III item 3.3) both gaming regulatory entities reached an agreement that later on would be ratified by the decree from the National Executive Power 1155/2003 in its position as higher authority of the National Lottery. The Legislature of the City of Buenos Aires did the same through law 1182. This legislative organ interceded in accordance with what is set forth in the text of the Constitution of the City with reference to the provision of public funds.
Through said agreement the parties consent to preserve the exclusivity of the National Lottery in the exploitation, the commercialization and the supervision of games of chance, skill and pools said institution is carrying out in the local field.
The purpose of this agreement is to regulate the participation of each venue in the proceeds of the commercialization of games of chance, skill and pools within the sphere of the Autonomous City of Buenos Aires.
This put an end to a conflict that led to the filing of a remarkable number of lawsuits, both with the Federal Courts of Justice and in the Courts of Justice of the Autonomous City of Buenos Aires, brought by national and local public institutions, nongovernmental organizations and also individuals. These lawsuits were granted different judicial orders and precautionary measures (but no final decision from the Supreme Court of Justice of the Nation on the issue) and contradictory criteria.
This conflict is fully explained in the chapter corresponding to the City (see chapter III).
The state of affairs deriving from these judicial conflicts generated great uncertainty and legal insecurity, the immediate consequence of which being the waste of the potential resources that could be obtained from the proper and harmonious exploitation of games of chance, with the resulting effects on fundraising and the virtual blocking of new investments, which in turn hold back the creation of new sources of work and new resources to assist charity and social welfare.
This called for the intervention of the Board of directors and the Assembly of LOTERÍA NACIONAL SOCIEDAD DEL ESTADO and the NATIONAL EXECUTIVE POWER.
The Board of LOTERÍA NACIONAL SOCIEDAD DEL ESTADO, in its Meeting N° 386 dated 31st October, 2003, unanimously approved the agreement, while the Extraordinary General Assembly Nº 31 of said State owned organization, held on 6th November, 2003, expressly stated its accord with the provisions of the Agreement and ratified it.
The National Executive Power issued Decree 1155/2003 signed by President Kirchner approving the Agreement, but at the same time argued that, pursuant to the terms of the Agreement between LOTERÍA NACIONAL SOCIEDAD DEL ESTADO and the INSTITUTE OF GAMBLING OF THE AUTONOMOUS CITY OF BUENOS AIRES [INSTITUO DE JUEGOS Y APUESTAS DE LA CIUDAD AUTÓNOMA DE BUENOS AIRES] and in order to shed light on the games of chance and skill and the pools played by virtue thereof and to avoid situations of uncertainty that would conspire against the smooth implementation of what was agreed between the two jurisdictions, it was necessary to repeal Decree Nº 494 dated 27th April, 2001.
By virtue of said repeal and the inclusion by said Agreement of the exploitation of instant games in their version of electronic and/or electromechanical machines, it became necessary to regulate their operation and arrange for the distribution of their proceeds as the cited rule did.
Finally, the Agreement also established that whatever was not repealed by decree 1155/2003, remained in full force and effect, as did the LNSE Resolution Nº 99/02 and what had been set forth by Decree Nº 600 dated 4th June, 1999.
As regards its particulars, it states that, aiming at the reciprocal purpose of attempting to generate the highest volume of resources to satisfy the common good and social welfare needs, the parties enter into this agreement which shall have a validity of four (4) years as from the date of its approval and shall be extended for similar periods provided the parties do not clearly express an intention to the contrary within one hundred and twenty days before the respective expiration date.
Due to the combination of the different extensions, agreement Nº 1182 is in full force and effect until 1st January, 2016.
On SECTION THREE: The parties agree, during the term of this agreement:
1. To preserve the exclusivity of LOTERÍA in the exploitation, commercialization and supervision of the games of chance and skill and the pools that it has been locally carrying out to date. LOTERÍA undertakes to surrender to the INSTITUTE, upon request, all the information and statistics related to its activity.
2. To acknowledge that the granting of operating licenses to new games or exploitations shall require the concurrent consent of both parties. The proceeds from said new games or exploitations shall be allocated in equal parts between LOTERÍA and the INSTITUTE. The commercialization and exploitation thereof shall be carried out exclusively through the network of agencies of LOTERÍA.
3. To grant LOTERÍA the capacity to authorize the incorporation to its commercial network in the City of Buenos Aires of new retail shops or official agencies, with the previous consent from the INSTITUTE, in accordance with what is set forth in laws 538 and 916 and their regulatory provisions.
4. To grant the INSTITUTE the capacity to verify, with the aid of the competent local authorities, that the agents and dealers authorized by LOTERÍA NACIONAL comply with the local regulations, without prejudice to the competences conferred to the federal authorities.
5. To develop the measures and policies that might be deemed necessary to tackle illegal or clandestine gaming within the Autonomous City of Buenos Aires.
Similarly, on SECTION FOUR and aiming at properly controlling and rationally exploiting games of chance in the local field, the parties agree as follows:
1. LOTERÍA shall not authorize or allow the setup and/or operation of new bingo halls or casinos, or slot machine arcades, different from the ones existing to date, within the Autonomous City of Buenos Aires or in any other location whose geographical position implies a direct access therefrom, apart from the ones authorized before the execution of the foregoing.
The extension of the existing concessions or exploitations is reserved to LOTERÍA and under no circumstance it shall go beyond the present locations or change the object or uses permitted unto them. Likewise, it shall render the licenses for the operation of electronic instant slot machines granted to Bingo Halls and Horserace Betting Agencies ineffective.
2. THE INSTITUTE shall uphold the prohibitions set in section 10 of Law 538. It shall not authorize the setup of new slot machine arcades or new casinos or bingo halls.
On SECTION SEVEN the parties agree to create a LIAISON COMMITTEE made up by the presidents of the subscribing entities, plus a full member and a substitute for each party, which shall be in charge of the follow up of all the actions and proceedings necessary to fully comply with the terms of the foregoing agreement.
And with reference to the Legal disputes the parties agreed that “Within the fifth day following the date of effectiveness of the foregoing the parties shall abandon all their claims in all legal and administrative proceedings that are related to the constitutionality of rules, the validity of administrative actions or conflicts of jurisdiction in relation to the exploitation of the gaming activity in the City of Buenos Aires. To that purpose the parties shall request their respective jurisdictions the concurrence of the bodies that currently are in charge of the prosecution of the lawsuits in the respective proceedings. All the documents shall clearly state that the abandonment of the action does not imply a waiver or recognition of the rights alleged in the referred cases and that each party shall bear its own costs and fees.”

By reason of the operation of the legislation in force, to set up a new casino one should await the expiration of the term and expect that any of the parties withdraws from the agreement, or, that Lotería Nacional S.E. start the process and get the timely consent of its counterparty, i.e, the Institute of Gambling of the City of Buenos Aires.
However, at the moment of entering into this agreement the parties did not set a penalty for the case that any of the parties, through their actions, failed to comply with it.
So, what would happen, for instance, if Lotería Nacional S.E. chose to forward the authorization of a Casino?
It is likely that the City would bring a lawsuit requesting that Lotería Nacional refrain from going ahead, but it is also possible that, as the Agreement contains no definite penalty, an intervening judge be forced to apply the general rule for contracts, namely, to instruct the City to, in any case, breach its part of the contract and claim damages, or, being involved institutional issues, invite the parties to reach a new agreement.
This issue shall be analyzed in detail in future reports, as it is of vital relevance. If the activity from the Institute of Gambling of the City was enough, then it wouldn’t be such a big problem, but if the institute submitted the issue to the City Legislature, a parliamentary alternative offering an uncertain solution could influence the progress of the investment.
CHAPTER II
2. PREMISES OF NATIONAL INTEREST
Below we include a detailed study of the constitutional provisions and court decisions referring to the depiction of a plot of land as “premises of national interest”. We do so because, bearing in mind the projected investment, in this section of our work we are considering the hypothetical setup of a future Hotel Casino and annexed facilities in an area exclusively ruled by the National Government, mainly resorting to the theory of the premises of national interest emerging from the National Constitution, which has been subject to extensive analysis by our case law and we hereinbelow summarize.
2.1 Premises of national interest (Section 75 subsection 30 of the National Constitution)
Attorney Pablo Luis Manili published an interesting work on the premises of national interest: Establecimientos de Utilidad Nacional, Buenos Aires, Ed. Universidad, 2004.
This work made visualizing a possible definition of what premises of national interest are a hard task.
As it happens with many other institutions of law which comprise many different realities, it is easier to make a casuistic enumeration of which they are rather than attempting to offer a comprehensive definition of what they are. We are therefore starting with this. Later on we’ll try to define them.
According to the old section 67 subsection 27 of the National Constitution (hereinafter NC) premises of national interest are forts, arsenals and magazines, but in accordance with the decisions from then Supreme Court, apart from covering these, the provision (today section 75 subsection 30 NC) it also comprehends: barracks [2], ports [3], national penitentiaries [4], immigrants’ homes [5], international airports [6], domestic airdromes [7], national schools [8], internal revenue service agencies [9] (I.R.S.), power stations, water treatment plants and hydroelectric plants [10], hydrocarbon fields [11], national parks [12], home or branch offices of national banks [13], national universities [14], federal courthouses, the National Social Security Administration (A.N.SE.S [Administración Nacional de la Seguridad Social]), Argentine Federal Police, Gendarmerie and Argentine Naval Prefecture and Aeronautic Police stations, Naval Police departments, Customs and Migration Administration offices, etc.
Based on this, Mr Manilli has drawn a rough classification of premises of national interest, according to the function of each and their relation with the constitutional provision behind them:
a) National defense (Preamble: “provide for the common defense”, section 75 subsections 25, 26, 27 and 28, section 99 subsections 14 and 15 and section 126): arsenals, barracks, military camps.
b) Transport and Communications: ports, airports, national airdromes (section 75 subsection 10), Post offices (section 75 subsection 14) to which we should add railway stations, railroads and trucking yards.
c) Environment (preamble “promote the general welfare” and section 14 NC): national parks, protected areas, natural monuments.
d) Energy (Preamble “provide for the common defense and promote the general welfare” and section 75 subsections 18 and 19): hydrocarbon fields, hydroelectric plants.
e) Security: penitentiaries, Argentine Federal Police stations (preamble: “Secure domestic peace”), National Gendarmerie and Argentine Naval Prefecture stations (75 subsection 16), Migration Offices (section 25), Aeronautic Police stations.
f) Justice (preamble “guarantee justice” and section 75subsection 20): federal courthouses.
g) Education (Preamble “promote the general welfare” and section 75 subsection 19): national schools, national universities.
h) Economy: internal revenue service agencies (I.R.S.) (sections 4 and 75 subsection 2), national banks (sections 75 subsection 6 and 126), Customs Administration offices (section 9, section 75 subsection 1 and section 126), Mint (section 75 subsection 11 and section 126).
i) Public Health: national hospitals, old people’s homes (75 subsections 18, 19 and 23).
j) Social Security (Preamble “promote the general welfare”, sections 14 bis, 75 subsections 20 and 23 and section 99 subsection 6): National Administration of Social Security (A.N.SE.S.).
The preceding enumeration is not exhaustive, as any of the motives set in the NC, which are many and very diverse, can set the grounds for the creation of premises of national interest.
Therefore, we believe we should define them as: “those spaces occupied by buildings, offices, facilities or installations destined to the exercise the powers that the National Constitution vests on the head of the federal government.” All those functions or powers that might have been granted to the federal government in the constitutional text and demand the occupation of a specific plot of land, affect premises of national interest, no matter whether they include buildings (as in the case of the courthouses, tax agencies, schools, hospitals, universities, etc.), or any other installations (as in the case of hydrocarbon fields, ports and hydroelectric plants) or the land is simply left as is (military camps or national parks). The term does not necessarily refer to enclosed spaces, as the word “premises” is not being used in the constitution in a physical sense, but in a functional one.
Having in mind these arguments we have focused on those locations which in the light of our work would allow us to argue that, based on case law, administrative proceedings and factual precedents, the areas around the City Port, the military barracks existing in the City and the trucking yards near its railway stations could be considered to be under exclusive federal jurisdiction, while the police power would exclusively rely on the different branches of the intervening National Government. The City of Buenos Aires, where these premises of national interest are physically located, could retain some tax authority regarding local rates and duties, but this has been a controversial legal issue as is shown in the section of the foregoing addressing it from the point of view of the City (see Nation-City conflict).
2.2 Applicable Constitutional Principle
Mr Manili starts by analyzing the Argentine constitutional rule prior to the 1994 amendment, in order to then establish its influence in the regulation of the issue. The rule applicable to the subject matter of his study stated:
Section 67, subsection 27: “The National Congress shall have power... to exercise exclusive legislation in all the territory of the national capital and in all the places acquired by purchase or cession in any province for the construction of forts, arsenals, magazines, or other premises of national interest.”

• IT IS Sunday January 2nd, a national holiday, in a medium-sized Chinese city, just north of the Taiwan Strait. The temperature is well below freezing. There is no heating in the factory, which makes components for electrical tools. This probably reflects frugality rather than a ban, imposed by Mao Zedong, covering every building south of the Yangzi river. A thin haze of winter light comes through the windows. The only other sources of illumination are flickering cathode-ray computer terminals, which make silhouettes of the heavily clad workers sitting at them.
Down the corridor, in a huge office even colder than the main floor, the company’s president sits at the head of a low table surrounded by friends. His hands are too busy to shiver, plucking tiny cups out of boiling water and making tea with a jumble of strainers and clay kettles. The cups are passed around, returned, and passed again, providing little jolts of warmth.
The friend to his left has his own company, also making tools: the two of them are links in China’s vast, fast-expanding production line. Another man, possibly an official, is just leaving, having concluded discussions about a new factory. A fourth, who runs a private investment firm, explains why work goes on even during a holiday by citing the title of an American film: “Money Never Sleeps.”
Each of the three businessmen at the table grew up in families which struggled even to afford food; each now owns at least four luxury cars. The results of similar stories can be seen outside other factories, where work also seems to be going on: in the car parks are BMWs, Jaguars, Land Rovers, Mercedes and Porsches. The prices of nearby flats equal those in the richest Western cities. And Chinese money is buying not only cars and property, but also the tractors and backhoes that are preparing the ground for a new lot of buildings.
The twilight zone
Luxury goods notwithstanding, wealth is created quietly in Zhejiang’s cities and other places that not long ago were wretchedly poor. None of the people interviewed for this story wanted to be named. Their companies tend to be small and privately owned. They make ordinary (but increasingly good) products under their own names, or sophisticated ones under the strictest anonymity for well-known foreign companies which demand silence as a condition of doing business.
Of the foreigners’ many demands, this is likely to be the most welcome. The right of China’s private companies to exist is by no means clear. Private companies with more than eight employees began to emerge only in 1981 and were not officially sanctioned until 1988 (the number was drawn from an essay by Karl Marx on an inflection point for the creation of a rentier class); and China has a brutal history of ideological retreats. Today’s entrepreneur can become tomorrow’s convict. Best, therefore, to avoid too much attention.
Not all China’s private businessmen are as reticent as the quiet men of Zhejiang. A handful of private entrepreneurs, it is true, have won the backing of the state in the form of finance or legal forbearance—and with it a bit of fame. This reinforces the common belief that China’s economic success is an object lesson in state capitalism. The government owns the biggest companies: as the economy grows at double-digit rates year after year, vast state-owned enterprises are climbing the world’s league tables in every industry from oil to banking. Yet alongside the mighty state engine myriad smaller ones are whirring—and probably more efficiently.
China’s state-controlled entities are not particularly profitable. A study by Qiao Liu, a professor at the University of Hong Kong, concludes that the average return on equity for companies wholly or partly owned by the state is barely 4%, despite the benefit of cheap leverage provided by government-controlled banks. According to a recently published paper by Mr Liu and a colleague, Alan Siu, the returns of unlisted private firms are no less than ten percentage points higher.
Another sign of the economic energy of the private sector can be found in its rate of growth. According to China Macro Finance, a research firm in New York, the number of registered private businesses grew by more than 30% a year between 2000 and 2009 (see chart 1). The gross figure (ie, before netting off firms that closed) was at least seven percentage points higher, estimates Ronald Schramm, China Macro Finance’s managing director.
These figures exclude unregistered businesses, among them the country’s ubiquitous tiny offices and manufacturers. Millions of people trade through electronic platforms like Taobao, which is intended as a site for individuals but has listings for transactions involving volumes that could not possibly be for personal consumption. At a conference in November Zheng Yumin, the Communist Party secretary for Zhejiang’s commerce department, said that there were 43m companies in China, 93% of them private, employing 92% of the country’s workers.
No one knows quite how much private companies contribute to China’s fast-growing economy. Chinese firms fall into a bewildering variety of legal categories and their respective contributions to GDP are not reported in official statistics. However, enterprises that are not majority-owned by the state account for two-thirds of industrial output, according to the latest figures from the National Bureau of Statistics. And according to Eva Yi of Keywise Capital Management, a hedge fund, such firms account for about 75-80% of profit in Chinese industry (see chart 2) and 90% in non-financial services. Jun Yeop Lee of Inha University, in South Korea, calculates that enterprises not majority-owned by the state contribute about 70% of GDP, assuming that they account for all agricultural output and two-thirds of services.
The significance of the private sector, though, lies in its vibrancy rather than in precise measures. For a state-directed country, much of China’s success comes from businesses that thrive in large part because they operate outside state control.
From nothing
It is commonly said that Zhejiang’s greatest contribution to its citizens—and ultimately to China’s economic resurgence—was to provide them with nothing and to cut them off from outside help. The province’s topography comprises mostly mountains and rivers. Until fast trains, highways and airports were built over the past 15 years, access was poor from everywhere except Taiwan. That made it, viewed from Beijing, the wrong place for public investment. As a result, what business did exist was largely private, and meagre in the extreme.
Zhejiang’s first successes came in the collection and recycling of four unlikely commodities, says Raymond Ma, who grew up in Wenzhou, the province’s best-known city, and now heads China research for Fidelity, an international fund-management company. These were used packaging, plucked chicken feathers, tattered cotton and spent toothpaste tubes. The cotton, for example, would be picked apart and “refreshed” into new garments. This trade eventually spread beyond the province’s borders and laid the foundations for other, more dynamic businesses. Governors sent from Beijing would invariably begin by attempting to impose state control, but gradually accepted private enterprise as the only way to eke out growth.
As China came out of its Maoist gloom, Zhejiang’s scrappy entrepreneurs had already acquired, in the least auspicious circumstances, a culture of opportunity and a belief that anyone could become successful. These would prove to be extremely useful assets.
The anecdotes are almost endless. A Wenzhou businessman who is now ensconced in an office with an elegant address (but no heating) in Shanghai dropped out of high school in the 1980s. A relative lent him 30 yuan (then less than $10) which he paid to an agent for a job in a shoe factory at less than 300 yuan a month. From shoes he went on to electronics, from electronics to selling building materials, from selling building materials to manufacturing them. Today he employs 1,300 people.
Another native of Wenzhou, also now in Shanghai (but who chose to meet in a heated coffee shop), left school at 16 and borrowed 360 yuan. That bought two noodle-making machines and a ticket for a 30-hour rail journey to a remote area of China, rumoured to be untapped territory. He sold the machines for 480 yuan. More orders followed. The business grew for six months, and then competition entered: it was time to start again. Selling buttons came next; then trading in scrap that could be used to make them; then factories to produce plastics for buttonmaking (and later for watchmaking). Now he is searching the world for machinery to create the high-grade plastics used in LED screens.
The focus on business often came at a high personal cost. A woman who began as a primary-school teacher in Wenzhou on 30 yuan a month moved to a slightly better-paid job in a textile factory. She then became a printer, clothing exporter, property developer and, most recently, wine importer. She is by any measure a tycoon. Along the way she sent her children to Europe when the elder one was ten, to live with a sister who handles overseas sales. The means to support them were in China; their lives would be better in France.
China’s entrepreneurs were quick to shift into exports. State-approved trade fairs, notably one in Guangzhou, used to be rare opportunities to meet foreign customers. Now there are many more chances. In 1982 Yiwu, a city on Zhejiang’s northern border, opened a permanent trade centre that in the past dozen years has become popular with foreign buyers. It is one of the largest indoor markets in the world, claiming 140,000 outlets. They line the sides of narrow corridors, their doorways overflowing with bales of wire, crockery, wrenches, lights, cutlery, pens, toys, tools, ornaments for the world’s holidaymakers and even newly manufactured Middle Eastern “antiques”. Across the street are halal restaurants for the many Arab customers.
A family multinational
The foreigners in Yiwu come to buy; increasingly, the Chinese are going abroad to sell. At the forefront are families like Natasha’s. Natasha lives in southern China with her child and husband, a petroleum engineer. Her sister graduated from a Chinese university and found herself, like many students, jobless but ambitious.
Souvenirs of somewhere else
In 2004 a Yiwu-like market was opening in Dubai. With Natasha’s help the sister found on the internet a local marble producer, with an annual turnover of 1m yuan, who wanted a Dubai representative. Off the sister went; a younger sister followed later. The family outlet in Dubai added a finishing factory and Natasha’s sisters donned headscarves and whatever other conservative garments were required to make sales calls to Iran, Lebanon, Syria and elsewhere. Recently, in response to clients’ requests, marble slabs from Italy have been added to the product line. Another client needed bathrooms and kitchens, 200 units at a time: sourcing those in China became Natasha’s job. Turnover for the Dubai office rose above 100m yuan, fell by half during the financial crisis but then rebounded to a higher level. Within seven years, therefore, a few young Chinese women have created a small, diversified, multinational company.
They would not consider themselves unusual. There are now more than 4,000 Chinese enterprises selling through the Dubai Dragon Mart; many of them have expanded their operations to Africa and Latin America.
The capital mystery
Like any growing venture, China’s private businesses need capital, and in much bigger amounts than 30 yuan for a job agent or 360 yuan for a couple of noodle machines. Its sources are a bit of a mystery: largely unofficial, even secretive. Very little seems to come from the big, state-owned banks, although China’s government has made increasingly loud noises about small firms’ need for finance. Loans to small and medium-sized enterprises comprise 4% or less of the total made by three of the country’s four largest banks, according to company reports.
A few other smaller institutions have begun to emerge. Zhejiang Tailong Commercial Bank, a privately owned lender, has grown at a rate of more than 40% a year making smallish loans (averaging 500,000 yuan, or $76,000). It has imbibed the same entrepreneurial spirit as its clientele, employing workers in two shifts to maintain office hours of 7.30am to 7.30pm, seven days a week. But it is an exception.
That leaves a huge gap, which has been filled by an unofficial system that is discerning, vibrant and (depending on the authorities’ sentiment of the moment) even illegal. According to research by China’s central bank cited by China Daily, a state-run, English language newspaper, 89% of Wenzhou’s population and 57% of its enterprises have borrowed outside the banking system, paying interest rates of 10% for 30 days or 214% for a year. (Established businesses say rates of 1.5-2% a month are common.) Although the scope of this form of finance is not known, a Wenzhou businessman reckons that there are 100,000 people in his city who could each raise up to 1 billion yuan within 48 hours. So liquid is the system that, unlike private-equity groups in the West, Chinese partnerships often do not raise money before seeking prospective investments; investments are found and then partnerships are formed in short order.
A Westerner with family ties in Fujian province, to the south of Zhejiang, says he is constantly presented with opportunities. He rejects many of them, most recently one in importing second-hand women’s handbags (because criminals may have been involved) and another in exporting hair extensions to Japan (too complicated), but he has embraced others, notably in coal (which doubled his money in a year). The system is entirely informal. Records, he says, are minimal and all investments are in cash. A by-product is a proliferation of vast steel safes in homes and offices.
This freedom from financial bureaucracy should not be underestimated. Transactions can unfold at breathtaking speed. Within three months, this Westerner said, his relatives had been involved in the purchase of one steel mill and, in a separate deal, the sale of another. Businesses can be created or liquidated overnight. Rather than pay taxes, he adds, many companies make nominal payments to the local government. This is particularly true of Chinese based abroad, who move quickly from one country to another as opportunities, often tied to Chinese exports, arise.
Nevertheless, this form of business has inherent limits. To the extent that firms operate outside the law, they are vulnerable to shakedowns from local officials and mood-swings in Beijing. Although success brings praise, too much of it can invite envy and scrutiny. Each new list compiled of China’s greatest tycoons is often accompanied by stories about those on earlier lists who later fell foul of the law. In his remarks last year Mr Zheng, the provincial party official, said that the significance of private business was not understood: businessmen were often criticised (perhaps a veiled reference to being jailed) without good reason and if continually squeezed, would emigrate, sapping China’s vitality. The prospect of expropriation undermines the willingness of these entrepreneurs to make the long-term investment needed to develop brands, novel products and capable middle-management.
One method used to bring private companies into the mainstream appears to be the sale of shares in a public offering. In the West, offerings of shares on a stock exchange are used to raise capital, to provide cash to the initial investors, to create a currency to buy other companies and perhaps to provide independent valuations and external discipline. All this may be true in China too. But share offerings play another essential role: they legitimise a company.
Before an offering, it is not uncommon for a company to fail on any number of legal standards. It may not have full title to the land on which its factories sit. It has almost certainly avoided taxes. The process begins with bringing accounts into conventional forms, repaying taxes or paying for the land. The money for this, says an experienced banker, often comes from a “pre-IPO” offering to a small group of investors. These are perceived to be hugely lucrative to financial institutions, but vital to issuers. The resulting company is then deemed clean enough to pass a rigorous government inspection. Share sales usually happen only once: secondary offers, though common in other countries, are rare.
According to Mr Liu and Mr Siu, listed private companies continue to be more profitable than listed state-owned enterprises. However, their returns on equity are nothing like as good as those of unlisted private firms. This not only underscores the importance of China’s upstart businessmen, but also raises questions about how Chinese enterprise will evolve. It is possible that returns dip simply because companies use share issues to load up on capital, and hence overcapitalise themselves and depress returns on equity, at least in the short term. It is also possible that they go public only when their best days are past. Another, more pessimistic, possibility is that as the Chinese private sector grows, comes under scrutiny and adopts commonly accepted structures, its vitality will diminish.
It is often said in China that a new economic era has recently begun, described as guo jin min tui: state advances, private retreats. The government has reasons for such a change: it is tightening laws, building infrastructure and providing strategic guidance it considers necessary for the country’s next steps. Many in the West applaud the expansion of the government’s sway, believing in the wisdom of the state in pushing China’s economy forward. But behind China’s remarkable success has been an odd and often unappreciated experiment in laissez-faire capitalism.

En la fábrica de repuestos para herramientas eléctricas, no hay calefacción. Probablemente se deba más a una razón de frugalidad que al acatamiento de la restricción impuesta por Mao Tse-Tung que afecta a todos los edificios al sur del río Yangtzé. Un débil reflejo invernal ingresa a través de las ventanas. Las únicas otras fuentes de iluminación son los titilantes terminales de rayos catódicos de las computadoras, que resaltan las siluetas de los arrebujados trabajadores que las operan.

Los resultados de historias similares pueden verse fuera de las fábricas, donde también parecen trabajar a pesar del feriado: en las playas de estacionamiento hay BMWs, Jaguars, Land Rovers, Mercedes y Porsches. Los precios de los departamentos en los alrededores no son muy distintos de los de las ciudades más ricas de occidente. Y el dinero chino está comprando no sólo automóviles y viviendas, sino también los tractores y retroexcavadoras que preparan el terreno para un nuevo complejo de edificios.
La zona gris
Si no tenemos en cuenta los artículos de lujo, la riqueza se genera en silencio en las ciudades de la provincia de Zhejiang y en otros lugares que no hace mucho se encontraban sumergidos en la pobreza. Ninguna de las personas entrevistadas para esta historia nos autorizó a que diéramos sus nombres. Sus empresas son más bien pequeñas y se encuentran circunscriptas al ámbito privado. Producen artículos corrientes (aunque cada vez de mayor calidad) con su propio nombre, o artículos sofisticados bajo el más estricto anonimato para reconocidas empresas extranjeras que exigen silencio como condición para hacer negocios.
De las numerosas exigencias de los extranjeros, ésta es probablemente la que recibe mejor acogida. El derecho de las empresas privadas chinas a existir no es de ninguna manera incuestionable. Las empresas privadas con más de ocho empleados comenzaron a emerger recién en 1981 y no fueron oficialmente sancionadas hasta 1988 (la cifra fue extraída de un ensayo de Karl Marx sobre el punto de inflexión para la creación de una clase rentista) y China tiene en su haber un historial lapidario de retractaciones ideológicas. El empresario de hoy puede ser el preso de mañana. Lo mejor, entonces, es tratar de no llamar demasiado la atención.
No todos los empresarios del sector privado de China son tan reticentes como los silenciosos hombres de Zhejiang. Un pequeño grupo de empresarios privados, de hecho, se han granjeado el respaldo del Estado bajo la forma de financiamiento o tolerancia legal. Y así han alcanzado algo de fama. Según China Macro Finance, una empresa consultora de Nueva York, el número de empresas privadas registradas creció más del 30% anual entre los años 2000 y 2009 (ver cuadro 1). La cifra bruta (sin excluir las empresas cerradas) fue al menos siete puntos porcentuales mayor, estima Ronald Schramm, director ejecutivo de China Macro Finance.

La preponderancia del sector privado, sin embargo, radica en su dinamismo más que en mediciones precisas. Pese a tratarse de un país en el que el Estado juega un papel tan fundamental, gran parte del éxito de China proviene de empresas que prosperan fundalmente porque operan por fuera del control estatal.
De cero
Suele decirse que el mayor aporte hecho por Zhejiang a sus ciudadanos y en definitiva al resurgimiento económico de China consistió en no darles nada y aislarlos de cualquier asistencia externa. La topografía de la provincia está conformada esencialmente por montañas y ríos. Hasta la aparición de los trenes de alta velocidad, las autopistas y los aeropuertos en los últimos 15 años, el acceso a la provincia era muy dificultoso, a menos que se ingresara por Taiwán. Esto no la hacía, a los ojos de Pekín, el mejor lugar para la inversión pública. Por ende, las empresas que pudieran existír serían eminentemente privadas y extremadamente escasas.
Los primeros éxitos de Zhejiang provinieron de la reunión y reciclado de cuatro activos insospechados, dice Raymond Ma, oriundo de Wenzhou, la ciudad más conocida de la provincia, quien hoy dirige las investigaciones que realiza en China la administradora de fondos de inversión Fidelity. Estos activos fueron los envases usados, las plumas de pollo, los jirones de algodón y los tubos de dentífrico vacíos. El algodón, por ejemplo, podía clasificarse y “reemplearse” en la confección de nueva indumentaria. Esta actividad comercial finalmente se propagó allende las fronteras de la provincia y sentaron los cimientos para otros negocios más dinámicos. Las autoridades provenientes de Pekín invariablemente intentaban imponer el control estatal, pero acabaron aceptando a la empresa privada como la única manera de aspirar a algún tipo de crecimiento.
Mientras China salía de la bruma maoísta, estos entusiastas empresarios de Zhejian ya habían adquirido, en las circunstancias menos auspiciosas que se pueda imaginar, dos activos que demostraron ser extremadamente útiles, la cultura de la oportunidad y la convicción de que el éxito puede ser para cualquiera.
Las anécdotas son prácticamente infinitas. Un empresario de Wenzhou que hoy ocupa una oficina en una zona elegante (pero sin calefacción) de Shanghái abandonó la escuela secundaria en la década del 80. Un pariente le prestó 30 yuans (menos de US$ 10) que usó para pagarle a un agente por un empleo en una fábrica de zapatos por el que cobraba menos de 300 yuans por mes. De los zapatos pasó a los electrodomésticos, de los electrodomésticos a la venta de materiales para la construcción, de la venta de materiales para la construcción a su fabricación. Hoy emplea a 1.300 personas.
Otra persona oriunda de Wenzhou y que también reside hoy en Shanghái (pero prefirió celebrar sus reuniones en un café con calefacción) abandonó la ecuela a los 16 años y consiguió prestados 360 yuans. Con ellos compró dos máquinas de elaboración de fideos y un boleto para un viaje en tren de 30 horas a una zona remota de China que parecía un territorio sin explotar. Vendió las máquinas a 480 yuanes. Luego llegaron más pedidos. El negocio prosperó durante seis meses, hasta que ingresó la competencia: era hora de volver a empezar. Se dedicó entonces a vender botones, luego a comercializar los retazos que podían emplearse en su fabricación, más tarde a las fábricas que producían plásticos para la elaboración de botones (y luego de relojes). Hoy viaja por el mundo en busca de maquinaria para producir los plásticos de alta calidad que se emplean en las pantallas LED.
La dedicación exclusiva a los negocios a menudo traía aparejado un alto costo personal. Una mujer que empezó como maestra de enseñanza primaria en Wenzhou por 30 yuans mensuales se pasó a un trabajo levemente mejor pago en una planta textil. Luego se dedicó a la impresión, a la exportación de ropa, al desarrollo de inmuebles y más recientemente a la importación de vinos. Puede decirse que se trata de una magnate, sin embargo tuvo que enviar a sus hijos a Europa, cuando el mayor tenía 10 años, a vivir con una hermana que le maneja las ventas en el exterior. Los medios para su manutención provenían de China, pero sus vidas serían mejores en Francia.
Los empresarios chinos no tardaron en dedicarse a las exportaciones. Las ferias comerciales aprobadas por el Estado, especial mención hecha de una ubicada en Guangzhou, rara vez representaban una oportunidad para conocer clientes extranjeros. Hoy hay muchas más oportunidades. En 1982 Yiwu, una ciudad en la frontera norte de Zhejiang, inauguró un centro comerial permanente que en la última docena de años ha sido muy popular entre los compradores extranjeros. Es uno de los mercados cubiertos más grandes del mundo, con 140.000 tiendas que se ubican a los costados de estrechos pasillos, con sus accesos inundados de fardos de alambre, llaves de tuercas, lámparas, cubiertos, lapiceras, juguetes, herramientas, accesorios para turistas de todo el mundo e incluso “antigüedades” de reciente manufactura en Oriente Medio. Al otro lado de la calle se ubica un sinnúmero de restaurantes halal que dan de comer a la numerosa clientela árabe .
Una multinacional familiar
Los extranjeros venían a Yiwu a comprar, los chinos salían del país para vender. A la vanguardia de esta realidad tenemos familias como la de Natasha, quien vive en el sudeste de China con su hijo y su marido, ingeniero en petróleo. Su hermana se recibió en una universidad china y en un momento se encontró, al igual que mucho otros estudiantes, desempleada pero con ambiciones.
Souvenirs de distintos lugares
En 2004 abría en Dubai un mercado similar al de Yiwu. Con la ayuda de Natasha, su hermana encontró en internet un productor local de mármol que facturaba 1 millón de yuans anuales y que estaba buscando a alquien que lo representase en Dubai. Ahí fue la muchacha, una hermana menor la siguió luego. La tienda familiar de Dubai más tarde incorporaría una fábrica de acabados. Las hermanas de Natasha se ponían pañoletas en la cabeza y cualquier prenda conservadora que atrajera a los potenciales clientes de Irán, el Líbano o Siria. No hace mucho, en respuesta a las demandas de los clientes, incorporaron a las líneas de producción losas de mármol de Italia. Otro cliente necesitaba baños y cocinas, 200 unidades por vez: conseguirlos en China pasó a ser el trabajo de Natasha. La facturación de la sucursal en Dubai superó los 100 millones de yuans, se redujo a la mitad durante la crisis financiera pero luego rebotó hasta alcanzar un nivel superior. En siete años, entonces, un puñado de mujeres chinas crearon una pequeña multinacional diversificada.
No consideran el suyo un caso atípico. Hoy más de 4.000 empresas chinas cuentan con sus puestos de venta en el Mercado de Dubai Dragon, muchas de ellas han expandido sus operaciones a África y América Latina.
El misterio del capital
Como ocurre con todo emprendimiento en desarrollo, las empresas privadas chinas necesitan capital, mucho más de los 30 yuans que cobra un agente de empleo o de los 360 yuans que cuestan un par de máquinas de elaboración de fideos. El origen de este capital es incierto: esencialmente extraoficial, incluso secreto. Rara vez proviene de los grandes bancos estatales, a pesar de que el gobierno chino ha hecho hincapié ostensiblemente en la necesidad de financiamiento para la pequeña empresa. Los créditos a la pequeña y mediana empresa no llegan al 4% del total otorgado por tres de los cuatro bancos más grandes del país, según los informes de las empresas.
También han empezado a aparecer instituciones más pequeñas. El Zhejiang Tailong Commercial Bank, una empresa prestamista privada, creció a una tasa de más del 40% anual otorgando préstamos chicos (en promedio unos 500.000 yuans o US$76.000). Imbuída del mismo espíritu empresarial que su clientela, empleaba trabajadores en dos turnos para permanecer abierta de 07:30 a 19:30, los siete días de la semana. Pero se trata de una excepción.
Esto abre una gran brecha, que ha sido llenada con un sistema extraoficial que es lúcido, dinámico y (dependiendo del humor de las autoridades en su momento) hasta ilegal. Según estudios realizados por el banco central chino a los que se hace alusión en China Daily, un periódico estatal publicado en inglés, 89% de la población de Wenzhou y 57% de sus empresas han tomado préstamos por fuera del sistema bancario, pagando intereses del 10% a 30 días o 214% al año. (Las empresas más consolidadas dicen que tasas del 1,5 a 2% mensual son moneda corriente). A pesar de que el alcance de esta forma de financiamiento se desconoce, un empresario de Wenzhou admite que hay 10.000 personas en su ciudad que podrían hacerse de 1000 millones de yuans en 48 horas. El sistema es tan líquido que, a diferencia de lo que ocurre en los grupos conformados por activos privados en occidente, las sociedades comerciales chinas muchas veces no reúnen dinero antes de buscar inversiones, primero se encuentran las inversiones e inmediatamente después se conforman las sociedades.
Un ciudadano occidental con familiares en la provincia de Fujian, al sur de Zhejian, dice que se le presentan oportunidades todo el tiempo. Muchas las rechaza. Por ejemplo, hace poco rechazó un ofrecimiento relacionado con la importación de carteras usadas (debido a que temía que estuvieran involucradas organizaciones delictivas) y otro relacionado con la exportación de extensiones de cabello a Japón (demasiado complicado), pero ha abrazado otros, en especial uno relacionado con el carbón (que le hizo duplicar su dinero en un año). El sistema es absolutamente informal. Los registros, dice, son mínimos y todas las inversiones se hacen en efectivo. Un producto que emerge de esta situación es la proliferación de enormes cajas de seguridad de acero en hogares y oficinas.
No debe subestimarse la importancia que tiene sentirse libre de la burocracia financiera. Las transacciones pueden desencadenarse a un ritmo inusitado. En tres meses, dijo este ciudadano occidental, sus parientes participaron de la compra de una planta de fundición de acero y, en un acuerdo aparte, de la venta de otra. Aparecen y se liquidan empresas de la noche a la mañana. En lugar de pagar impuestos, agrega, lo que muchas empresas hacen es realizar pagos nominales al gobierno local. Esto es particularmente cierto en el caso de los chinos que residen en el exterior, ya que se mudan rápidamente de un pais a otro según van apareciendo las oportunidades, las cuales muchas veces están ligadas a las exportaciones chinas.
Sin embargo, esta manera de hacer negocios tiene limitaciones intrínsecas. Al punto que las empresas operan fuera de la ley, son vulnerables a los pedidos de soborno de los funcionarios locales y a los cambios de humor de Pekín. Si bien el éxito es un valor positivo, cuando es excesivo invita a la envidia y a la investigación. Cada nueva compilación de los mayores magnates chinos suele venir acompañada de historias sobre quienes aparecían en los listados anteriores hasta que tuvieron problemas con la ley. En sus observaciones del año pasado, el Sr. Zheng, funcionario del partido provincial, dijo que la relevancia de la actividad privada no se comprendía: los empresarios muchas veces fueron criticados (tal vez una forma velada de hacer referencia a su encarcelamiento) sin razón alguna y cuando se los presionaba de manera continua, emigraban, privando a China de su aporte. Ante la posibilidad de una expropiación, estos empresarios suelen ser renuentes a hacer las inversiones a largo plazo necesarias para desarrollar marcas, productos nuevos y mandos intermedios idóneos.
Uno de los métodos empleados para incorporar a las empresas privadas al sistema es la venta de acciones mediante oferta pública. En occidente, las ofertas de acciones en bolsa sirven para reunir capital, proporcionar efectivo a los inversores originales, generar circulante para comprar otras empresas y tal vez imponer tasaciones independientes y disciplinas externas. Tal vez esto ocurra también en China, pero la oferta accionaria juega otro papel esencial: legitima a las empresas.
Antes de concretarse una oferta, no es de extrañar que una empresa se encuentre en algún tipo de infracción. Puede que no tenga un título válido sobre la propiedad en la que se asientan sus fábricas o muy probablemente habrá evadido impuestos. El proceso comienza con rendiciones de cuentas en formularios convencionales, la cancelación de las deudas de impuestos o el pago de la propiedad. El dinero para esto, dice un banquero experimentado, muchas veces proviene de una oferta previa a la oferta pública inicial ante un pequeño grupo de inversores. Estas ofertas suelen ser extremadamente lucrativas para las instituciones financieras, pero vitales para los emisores. La empresa resultante se considera lo suficientemente limpia como para pasar cualquier inspección del gobierno por rigurosa que sea. Las ventas de acciones normalmente ocurren de una sola vez: las ofertas secundarias, si bien son comunes en otros países, son muy infrecuentes.
Según los señores Liu y Siu, las empresas privadas que cotizan en bolsa siguen siendo más rentables que las empresas cotizantes estatales. Sin embargo, estos rendimientos sobre el capital invertido no son ni remotamente tan buenos como los de las empresas privadas que no cotizan en bolsa. Esto no solo resalta el rol preponderante que desempeñan los empresarios advenedizos en China, sino que también saca a la luz interrogantes sobre cómo evolucionarán las empresas chinas. Puede que los rendimientos caigan simplemente porque las empresas empleen las emisiones de acciones para adquirir grandes sumas de capital, sobrecapitalizarse y deprimirlos, al menos por un tiempo. También es posible que se hagan públicos únicamente cuando hayan pasado sus mejores días. Otra posibilidad, más pesimista, es que a medida que el sector privado chino crezca, sea sometido a investigaciones y adopte estructuras más comúnmente aceptadas, su vitalidad disminuya.
Suele decirse en China que una nueva era económica acaba de empezar, la era que se describe como guo jin min tui: el Estado avanza, el sector privado retrocede. El gobierno tiene sus razones para alentar este cambio: promueve leyes más severas, invierte en infraestructura y brinda el asesoramiento estratégico que considera necesario para los próximos pasos del país. Muchos en occidente aplauden esta fuerte intervención del Estado, confiando en la sabiduría del Estado chino para llevar su economía hacia delante. Pero detrás el fenomenal éxito de China hay un original experimento, muchas veces ignorado, que remite al capitalismo laissez-faire.
