Source text - Dutch Johannes Brahms’ kamermuziek neemt binnen de 19de-eeuwse geschiedenis van de Duitse instrumentale compositie een cruciale plaats in. In een tijdperk waar de meeste componisten werken voor orkest componeerden, zette Brahms de traditie verder van Ludwig von Beethoven, Robert Schumann en Franz Schubert en zorgde hij voor een heropleving van de kamermuziek. De tweede helft van de 19de eeuw wordt gekenmerkt door twee stromingen binnen de Duitse muziek: de absolute muziek met de symfonie als geliefd genre en de programmatische muziek met de symfonische gedichten van Franz Liszt als voorbeeld. Deze laatste behoorde tot de zogenaamde ‘Neudeutsche Schule’, waartegen Brahms in 1860, samen met enkele andere componisten en muzikanten, een manifest ondertekende. Voor Brahms diende muziek enkel en alleen naar zichzelf te verwijzen en niet naar iets buiten muzikaals, zoals een literaire, dramatische of picturale voorstelling. Het gevolg was onder andere een grote genegenheid voor de meer traditionele genres van de kamermuziek.
Een verschil tussen Brahms en zijn belangrijkste voorbeelden is dat het strijkkwartet geen centrale positie binnen zijn oeuvre voor kamermuziek inneemt. Na een twintigtal mislukte pogingen publiceerde hij in 1873 zijn eerste twee strijkkwartetten op. 51, maar Brahms’ meesterschap komt het best tot uiting in de werken met meer gedifferentieerde instrumenten, waarbinnen het klarinetkwintet op. 115 als één van Brahms mooiste en beste werken voor kamermuziek beschouwd wordt.
Op het moment dat Brahms van plan was te stoppen met componeren, ontmoette hij Richard Mühlfeld, eerste klarinettist van het Meiningen orkest, wiens virtuositeit en expressiviteit hem aanzette tot het componeren van vier composities voor klarinet: het trio op. 114 (1891), het kwintet op. 115 (1891) en twee sonates op. 120 (1894). Brahms prefereerde het trio, maar het verloop van de geschiedenis zou bepalen dat het klarinetkwintet het populairst werd.
Als één van de laatste componisten van het romantische tijdperk componeerde Brahms relatief weinig composities voor houtblazers. De hobo vertolkt een belangrijke rol in Brahms’ orkestraal geluid, maar bezit niet hetzelfde bereik als dat van de klarinet, die met haar drie registers in staat wordt gesteld enorme variaties in klankkleur te vertonen. Het waren vooral de expressieve mogelijkheden die Brahms aanspraken om voor dit instrument te componeren.
Translation - English The chamber music of Johannes Brahms takes a crucial position in the 19th-century history of German instrumental composition. In an era where most composers applied themselves to composing orchestral works, Brahms continued in the tradition of Ludwig von Beethoven, Robert Schumann and Franz Schubert and was responsible for the revival of chamber music. The second half of the 19th century was characterised by two different currents within German music: absolute (or abstract) music, whose favoured genre was the symphony, and programme music, a prime example of which comprises the symphonic poems of Franz Liszt. The latter adhered to the so-called ‘Neudeutsche Schule’, against whom Brahms, together with a number of other musicians and composers, signed a manifesto in 1860. Brahms believed that music not refer to anything other than music itself, rather than to a work of literature, drama or imagery. The result was, among others, a strong partiality to the more traditional genres in chamber music.
One of the differences between Brahms and his most important models was that the string quartet does not take a central position within his works for chamber music. After some twenty failed attempts, he published his first two string quartets Op. 51 in 1873, but Brahms’ genius is best expressed in the works for differentiated instruments, among which the Clarinet Quintet Op. 115 is considered one of Brahms’ most beautiful and best works for chamber music.
At the time that Brahms was planning to stop composing, he met Richard Mühlfeld, principal clarinettist of the Meiningen Orchestra, whose virtuosity and musical expression inspired him to compose four works for clarinet: the Trio Op. 114 (1891), the Quintet Op. 115 (1891) and the two Sonatas, Op. 120 (1894). Brahms preferred the Trio, but history would later determine that the Clarinet Quintet would become the most popular of the four.
As one of the last composers of the Romantic era, Brahms composed relatively few works for woodwinds. The oboe played an important part in Brahms’ orchestral sound, but does not have the same wide range as the clarinet, which, encompassing three registers, can produce an enormous variety of different timbres. Its expressive qualities were what inspired Brahms most to compose for this instrument.

Inkoopvoorwaarden X Holding BV
Artikel 1 Definities
In de overeenkomst en in deze Inkoopvoorwaarden worden de volgende begrippen en uitdrukkingen gedefinieerd als daarachter vermeld:
1.1 Opdrachtgever: X Holding BV
1.2 Opdrachtnemer: de wederpartij van Opdrachtgever.
1.3 Overeenkomst: de schriftelijke afspraken tussen Opdrachtgever en Opdrachtnemer.
betreffende de levering van zaken.
1.4 Leverantie: de te leveren zaken en installatie/montage daarvan indien en
voor zover overeengekomen.
1.5 Aflevering: bezitsverschaffing van de te leveren zaken.
1.6 Keuring: het al dan niet tussentijds onderzoeken en beoordelen van de
leverantie op deugdelijkheid en bruikbaarheid zoals in de
overeenkomst omschreven.
Artikel 2 Algemeen
2.1 Deze inkoopvoorwaarden, nader aan te duiden als X Inkoopvoorwaarden, maken een integraal deel uit van de overeenkomst, voor zover deze van toepassing zijn.
2.2 De bepalingen van de overeenkomst prevaleren boven die van deze X Inkoopvoor-waarden.
2.3 Tegenstrijdigheden in de overeenkomst en de bij de overeenkomst behorende documenten zoals tekeningen, modellen en specificaties, zullen door de Opdrachtnemer zo spoedig mogelijk na opdrachtverstrekking ter kennis worden gebracht van Opdrachtgever. Indien Opdrachtnemer dit nalaat zullen eventuele tegenstrijdigheden worden geïnterpreteerd in het voordeel van de Opdrachtgever.
Artikel 3 Prijs en prijsherziening
3.1 De prijzen omvatten alle kosten van de leverantie, daarbij inbegrepen de kosten van af-en/of oplevering DDP overeenkomstig de geldende Incoterms 2000 (tenzij schriftelijk anders is overeengekomen) In de prijs is de omzetbelasting niet inbegrepen.
3.2 Tenzij anders overeengekomen zijn de prijzen niet aan herziening onderhevig. Indien een mogelijkheid tot prijsherziening in de overeenkomst is voorzien, zullen op straffe van nietigheid de omstandigheden moeten zijn vermeld, waaronder prijsherziening plaatsvindt alsmede de indeX ering van de prijs per tijdseenheid.
Artikel 4 Facturering en betaling
4.1 Facturering zal plaatsvinden na aflevering conform artikel 6 van deze X Inkoopvoorwaarden of overeenkomstig het schriftelijk overeengekomen betalingsschema. Alle facturen dienen te zijn voorzien van het door Opdrachtgever op de overeenkomst vermelde nummer.
4.2 Betaling, inclusief de omzetbelasting, zal plaatsvinden binnen 30 dagen (tenzij anders overeengekomen) na goedgekeurde uitvoering van de gehele overeenkomst, ontvangst van de factuur en volledige akkoordbevinding. Betaling vindt plaats in de valuta, zoals vastgesteld in de overeenkomst.
4.3 Betaling door Opdrachtgever kan worden opgeschort in geval zijnerzijds tekortkomingen in de leverantie en/of de factuur zijn geconstateerd.
4.4 Opdrachtgever heeft het recht het bedrag van de factuur te verminderen met bedragen die Opdrachtnemer is verschuldigd aan Opdrachtgever zonder nadere voorafgaande verklaring
van verrekening. Indien Opdrachtnemer bij een eindafrekening van een overeenkomst een bedrag aan Opdrachtgever verschuldigd blijkt te zijn, is Opdrachtnemer binnen 30 dagen na het opmaken van de eindafrekening tot betaling gehouden.
4.5 Betaling houdt geen erkenning van algehele nakoming van verplichtingen van Opdrachtnemer in.
Artikel 5 Levertijd
5.1 Levertijden zijn onherroepelijk aan te houden. Bij niet nakoming daarvan is Opdrachtnemer
van rechtswege in verzuim.
5.2 Onverlet latend de eventuele gevolgen ingevolge de overeenkomst of enige wettelijke bepaling dient Opdrachtnemer dreigende levertijdoverschrijding onverwijld schriftelijk te melden aan Opdrachtgever.
Artikel 6 Aflevering
6.1 Aflevering vindt plaats op het in de overeenkomst gestelde adres, volgens de geldende Incoterms DDP tenzij schriftelijk anders is overeengekomen.
6.2 Opdrachtgever heeft het recht de aflevering uit te stellen. Indien Opdrachtgever Opdrachtnemer verzoekt de aflevering uit te stellen, zal Opdrachtnemer de goederen voor eigen risico en rekening deugdelijk verpakt, afgescheiden en herkenbaar bestemd voor Opdrachtgever opslaan, beveiligen en verzekeren.
6.3 De aflevering geschiedt onder afgifte van een pakbon. Deze vermeldt: omschrijving van het artikel, aantal, bestel- en ordernummer van Opdrachtgever, alsmede andere referenties en de nog te verrichten leveranties.
Artikel 7 Tekortkoming
7.1 Zonder nadere ingebrekestelling is Opdrachtnemer in verzuim bij een tekortkoming van zijn zijde.
7.2 Tenzij de Opdrachtnemer binnen 10 dagen aantoont dat er geen sprake is van een
toerekenbare tekortkoming, is het verzuim vastgesteld. Het besluit dat er wel of niet sprake
is van een toerekenbare tekortkoming is voorbehouden aan de Opdrachtgever.
7.3 Een door Opdrachtgever aangemerkt gebrek in de kwaliteit of hoedanigheid van de leverantie of in het algemeen een constatering door Opdrachtgever dat de leverantie niet of
niet behoorlijk aan de overeenkomst beantwoordt wordt als een toerekenbare tekortkoming
beschouwd behoudens tegenbewijs door Opdrachtnemer.
7.4 Onverminderd het recht op schadevergoeding en de overige wettelijke rechten voortvloeiend uit een tekortkoming, is Opdrachtgever, indien Opdrachtnemer niet op tijd voldoet aan zijn verplichtingen, gerechtigd tot het innen van een boete ten bedrage van 1% van de koopprijs per dag voor de periode dat het verzuim voortduurt, met een maX imum van 10%.
7.5 Indien Opdrachtgever vooruitbetalingen heeft gedaan, is hij gerechtigd tot inning van de wettelijke rente over de vooruitbetaalde bedragen over de periode van verzuim.
Artikel 8 Garantie
8.1 Opdrachtnemer is verplicht te zorgen dat de leverantie aan de overeenkomst beantwoordt
en aldus aan de eigenschappen voldoet die Opdrachtgever op grond van de overeenkomst
of naar verkeersopvattingen mocht verwachten.
8.2 Opdrachtnemer garandeert dat de leverantie zal voldoen aan alle relevante wettelijke
bepalingen betreffende kwaliteit, milieu, veiligheid en gezondheid.
8.3 Een garantietermijn is slechts van toepassing, indien Opdrachtgever schriftelijk daarmee
heeft ingestemd, tenzij het gaat om systeem- of ontwerpfouten, waarvoor geen termijn geldt. Indien garantietermijnen worden overeengekomen met betrekking tot in te bouwen zaken, gaan deze in op het moment van inbouw door of in opdracht van Opdrachtgever.
Artikel 9 Keuring
9.1 Opdrachtgever is te allen tijde gerechtigd de leverantie zowel voor, tijdens als na de (af)levering te (doen) keuren.
9.2 Op eerste vordering zal Opdrachtnemer Opdrachtgever of diens vertegenwoordiger toegang verschaffen tot de plaats van productie, bewerking of opslag. Opdrachtnemer zal kosteloos zijn medewerking verschaffen aan de keuring.
9.3 Indien een keuring als bedoeld in artikel 1.6 van deze X Inkoopvoorwaarden niet op het voorgenomen tijdstip kan plaatsvinden dan wel indien een keuring moet worden herhaald, komen de daaruit voor Opdrachtgever voortvloeiende kosten voor rekening van Opdrachtnemer.
9.4 In geval van afkeuring van de leverantie zal Opdrachtnemer binnen, door de Opdrachtgever gestelde termijn, zorg dragen voor herstel of vervanging van de leverantie, tenzij Opdrachtgever de voorkeur geeft aan ontbinding van de overeenkomst conform artikel 14 van deze X Inkoopvoorwaarden.
9.5 Indien Opdrachtnemer niet aan de in lid 4 van dit artikel gestelde verplichting tot herstel of
vervanging van de leverantie voldoet, is Opdrachtgever gerechtigd de benodigde zaken van een derde af te nemen, dan wel zelf maatregelen te nemen of maatregelen door een derde te laten verrichten voor rekening en risico van Opdrachtnemer.
9.6 Bij afkeur na aflevering zal Opdrachtgever de afgekeurde zaken gedurende 10 dagen na
kennisgeving aan Opdrachtnemer in bewaring houden. Na afloop van deze termijn van opslag heeft Opdrachtgever het recht de afgekeurde zaken voor rekening en risico van de
Opdrachtnemer te retourneren dan wel deze na overleg met Opdrachtnemer te vernietigen.
9.7 Goedkeuring laat de overige verplichtingen van Opdrachtnemer onverlet.
Artikel 10 Risico- en eigendomsovergang
10.1 De eigendom van zaken gaat op Opdrachtgever over op het moment van de aflevering daarvan, zonder enig voorbehoud en zonder het recht van reclame voor Opdrachtnemer.
10.2 Indien zaken door of in opdracht van Opdrachtgever worden aangeleverd aan Opdrachtnemer ten behoeve van de leverantie, blijven deze zaken eigendom van Opdrachtgever. Deze zaken zullen door Opdrachtnemer duidelijk gemerkt als eigendom van Opdrachtgever afgescheiden worden gehouden van zaken die Opdrachtnemer of derden toebehoren en voor rekening van Opdrachtnemer worden verzekerd.
10.3 De eigendom van zaken of delen daarvan, waarin zaken die eigendom zijn van Opdrachtgever zijn verwerkt, gaat op hem over op het moment van inbouw dan wel assemblage daarvan.
10.4 Het risico met betrekking tot de leverantie gaat over op Opdrachtgever op het moment dat
Opdrachtgever deze na aflevering heeft goedgekeurd overeenkomstig artikel 9 van deze X Inkoopvoorwaarden.
10.5 Bij constatering van een tekortkoming in de leverantie, die een algehele afkeur inhoudt, zal de eigendom voor de zaken teruggaan naar Opdrachtnemer vanaf het moment van ontvangst van de mededeling daarvan.
Artikel 11 Intellectuele en industriële eigendom
11.1 Opdrachtnemer staat in voor het vrije en rustige gebruik door Opdrachtgever van de leverantie. Hij zal Opdrachtgever vrijwaren tegen de financiële gevolgen van aanspraken van derden wegens inbreuk op hun intellectuele- en industriële eigendomsrechten.
11.2 Opdrachtnemer is gerechtigd de door Opdrachtgever verstrekte informatie te gebruiken, echter uitsluitend in verband met gunning en uitvoering van de overeenkomst. Deze informatie blijft het eigendom van Opdrachtgever.
Artikel 12 Geheimhouding en verbod tot openbaarmaking
12.1 Op straffe van betaling van € 3.000,- per gebeurtenis zal Opdrachtnemer het bestaan, de aard en de inhoud van de overeenkomst en de opdracht, alsmede iedere bedrijfsinformatie van Opdrachtgever, zoals bedrijfsvoering, geheimhouden. Toepassing van het bovenstaande boetebeding laat het recht van Opdrachtgever op schadevergoeding onverlet. Opdrachtnemer zal dit artikel opnemen in de overeenkomsten, die hij zal aangaan in enig verband staande met zijn verplichtingen uit de overeenkomst.
Artikel 13 Aansprakelijkheid
13.1 Opdrachtnemer is aansprakelijk voor alle schade die kan ontstaan in enig verband met de uitvoering van zijn verplichtingen voortvloeiend uit de overeenkomst. Opdrachtnemer heeft op eerste verzoek van Opdrachtgever de plicht inzage in de daartoe strekkende polis te geven.
13.2 Opdrachtnemer vrijwaart Opdrachtgever tegen alle financiële gevolgen van aanspraken van derden in enig verband staande met de uitvoering van zijn verplichtingen die voortvloeien uit de overeenkomst.
13.3 Het bepaalde in de leden 1 en 2 van dit artikel is eveneens van toepassing indien de te leveren zaken worden doorverkocht aan derden.
Artikel 14 Ontbinding
14.1 Opdrachtgever heeft het recht de overeenkomst zonder rechterlijke tussenkomst en zonder ingebrekestelling te ontbinden bij niet nakoming van enige verplichting door Opdrachtnemer of indien uitvoering van de overeenkomst in gevaar wordt gebracht door omstandigheden aan de zijde van Opdrachtnemer, zoals een aanvraag voor surséance van betaling of faillissement.
14.2 In geval van ontbinding, als bedoeld in lid 1 van dit artikel, heeft Opdrachtgever het recht op vergoeding van alle materiële en immateriële schaden en interest. De immateriële schade wordt gesteld op tenminste 6% van het bedrag van de leverantie inclusief omzetbelasting.
Artikel 15 Opeisbaarheid van vorderingen
15.1 Vorderingen die Opdrachtgever toekomen uit hoofde van vergoeding van schaden en interest, zijn onmiddellijk en ten volle opeisbaar.
Artikel 16 Orde, veiligheid en milieu
16.1 Opdrachtnemer en zijn werknemers, evenals door hem ingeschakelde derden, zijn gehouden de Nederlandse wettelijke veiligheids-, gezondheids- en milieu- voorschriften in acht te nemen. Tevens dienen eventuele bedrijfsreglementen en reglementen op het gebied van veiligheid, gezondheid en milieu van Opdrachtgever te worden opgevolgd.
16.2 Opdrachtnemer staat er voor in dat de leverantie voldoet aan alle wettelijke vereisten.
Artikel 17 Geschillen
17.1 Bij geschillen tussen partijen zullen deze in eerste instantie goed en gemeen overleg voeren teneinde te komen tot een buitengerechtelijke oplossing daarvan.
17.2 Indien partijen niet tot een buitengerechtelijke oplossing kunnen komen, zal het geschil worden voorgelegd aan de bevoegde rechter in het arrondissement te Utrecht.
17.3 Een geschil bestaat als een van de partijen zulks stelt.
Artikel 18 Toepasselijk recht
18.1 Op de overeenkomst, waarvan deze X Inkoopvoorwaarden deel uitmaken, is uitsluitend Nederlands recht van toepassing. In geval, waarin Opdrachtnemer in het buitenland is gevestigd zijn eventueel van kracht zijnde internationale verdragen niet van toepassing.

Terms and Conditions of Purchase X . Holding BV
Article 1 Definitions
In the Agreement and in these Terms and Conditions of Purchase the following terms and expressions shall be defined as follows:
1.1 Client: the private limited company of X . Holding BV
1.2 Supplier: the other party of Client.
1.3 Agreement: the agreement laid down in writing between the Client and the Supplier concerning the delivery of goods.
1.4 Consignment: the goods to be delivered and the installation/assembly of these and as previously agreed.
1.5 Delivery: placing into possession of the goods to be delivered.
1.6 Inspection: the inspection and assessment in the mean time, where necessary, of the consignment as to soundness of condition and usability as
described in the Agreement.
Article 2 General information
2.1 These Terms and Conditions of Purchase, hereafter to be referred to as the X . Terms and Conditions of Purchase, are an integral part of the Agreement, to the extent in which these can be considered applicable.
2.2 The restrictions as stated in the Agreement prevail above those in these X . Terms and Conditions of Purchase.
2.3 Contradictions in the Agreement and in the documentation associated with this Agreement such as drawings, models and specifications shall be brought to the attention of the Client by the Supplier as soon as possible after the order has been placed. If the Supplier neglects to do this, any possible contradictions shall be interpreted to the benefit of the Client.
Article 3 Price and Price Review
3.1 Prices include all costs for the consignment and shall also include costs for the delivery DDP (Delivery Duty Paid) in accordance with the current Incoterms 2000 (unless agreed otherwise and in writing). Turnover tax is not included in the price.
3.2 Unless agreed otherwise, prices are not subject to review. If a price review option has been included in the agreement, notification must be made, under penalty of being null and void, of the circumstances in which the price review is to take place as well as the indexing of the price per time unit.
Article 4 Invoicing and Payment
4.1 Invoicing shall be made after delivery in conformity with Article 6 of these X . Terms and Conditions for Purchase as agreed in the written payment scheme. All invoices must include the order number provided by Client as stated in the in the agreement.
4.2 Payment, including turnover tax, shall be made within 30 days (unless agreed otherwise) after the approved execution of the entire agreement, receipt of the invoice and complete approval. Payment will be made in the currency as recorded in the agreement.
4.3 Payment by the Client can only be suspended after the discovery of shortcomings on the part of the Client in the consignment and/or invoicing.
4.4 The Client reserves the right to deduct the amount owed by the Supplier to the Client from the invoice amount without previous further declaration of settlement. Should the Supplier, at the final settlement of an agreement, owe an amount to the Client, the Supplier will be held liable to payment within 30 days after delivery of the final invoice.
4.5 Payment shall not imply the full performance of the obligations on the part of the Supplier.
Article 5 Delivery Time
5.1 The time of delivery is to be complied with irrevocably. If the Supplier fails to meet the delivery time the Supplier will be legally in default.
5.2 Without prejudice to the possible consequences pertaining to the agreement of or statutory provisions, the Supplier shall notify the Client immediately in writing if the Supplier risks failure to meet delivery on time.
Article 6 Delivery
6.1 Delivery shall take place at the agreed place, in accordance with the current Incoterms DDP unless agreed otherwise and in writing.
6.2 The Client shall have the right to postpone delivery. If the Client requests that the Supplier postpones the delivery, the Supplier shall, at the expense and risk of the Supplier, store the goods in sound packaging, separately and in a recognizable manner, and preserve and insure them.
6.3 Delivery shall take place under receipt of a packing list. This shall include a description of the article, the number of articles, the Client's order number as well as other references and consignments yet to take place.
Article 7 Failure to Perform
7.1 Without further notice of default, the Supplier shall be in default in the event of a failure to perform the agreement on the part of the Supplier.
7.2 Unless the Supplier can show within 10 days that there is no question of an accountable failure in the performance of the agreement, the default shall be established as such. The decision of whether or not this is a question of an accountable failure shall be at the discretion of the Client.
7.3 If the Client discovers a deficiency in the quality or amount of the consignment or if the Client discovers a general deficiency in the consignment whereby the expectations as established in the agreement have not been met this shall be considered an accountable failure to perform the agreement barring evidence to the contrary provided by the Supplier.
7.4 Without prejudice to the right to claim damages and the other statutory rights arising from the failure to perform, and if the Supplier does not fulfil its obligations on time, the Client will be entitled to collect a penalty to the amount of 1% of the purchase price per day for the period of the default, with a maximum of 10%.
7.5 If the Client has made advance payments, the Client will be entitled to collect the statutory interest over the amount paid in advance over the period of default.
Article 8 Guarantee
8.1 The Supplier guarantees that the consignment shall be in accordance with the terms as stated in the agreement and in accordance with the qualities that the Client can expect from what has been stated in the agreement and in accordance with the accountability of transaction.
8.2 The Supplier guarantees that the consignment shall be in compliance with all statutory provisions, including those pertaining to quality, environment, safety and health.
8.3 A term of guarantee shall only be applied if the Client has agreed to this in writing, unless t his concerns system or design errors, for which no terms of guarantee shall apply. If terms of guarantee have been agreed concerning Goods to be installed, these shall be applied from the moment of installation by or at the order of the Client.
Article 9 Inspection
9.1 The Client shall be entitled at any time to inspect the consignment, or have it inspected before, during and after delivery.
9.2 Immediately upon request, the Supplier shall provide the Client or a representative of the Client access to the site of production, processing or storage. The Supplier shall render its cooperation in the inspection free of charge
9.3 If an inspection as stated in Article 1.6 of these M.A,.D. Terms and Conditions for Purchase cannot take place at the intended time, or if an inspection must be repeated, the relevant costs incurred by the Client shall be payable by the Supplier
9.4 In the event of rejection of the consignment, the Supplier shall, within the terms as determined by the Client, ensure that these goods are repaired or replaced, unless the Client has indicated a preference for the termination of the Contract in conformity with Article 14 of these X . Terms and Conditions for Purchase.
9.5 If the Supplier fails to fulfil this obligation as stipulated in section 4 of this article as regards the reparation or replacement of the consignment, the Client shall be entitled to purchase the required goods from a third party, or to take measures (or have them taken) at the Supplier’s expense and risk.
9.6 In the event of rejection, the Client shall be entitled, within 10 days after notification of the Supplier, to keep these goods in deposit. After this term of deposit, the Client reserves the right to return the rejected goods at the expense and risk of the Supplier and/or to destroy them after consultation with the Supplier.
9.7 Approval shall not affect the remaining obligations of the Supplier.
Article 10 Transfer of Risk and Ownership
10.1 The ownership of the goods shall pass to the Client at the moment of delivery, without any reservations and without the right of advertisement for the Supplier.
10.2 Any materials delivered to the Supplier by the Client on behalf of the consignment shall remain the property of the Client. These items shall be clearly marked by the Supplier as the property of the Client and be kept separate from objects belonging to the Supplier or to third parties and shall be insured at the expense of the Supplier.
10.3 The ownership of goods, or parts thereof, in which any property of the Client has been processed, shall be passed on to the Client at the moment they are assembled or installed.
10.4 The risk, as regards the consignment, shall be passed on to the Client at the moment of delivery and subsequent approval by the Client in accordance with Article 9 of these X . Terms and Conditions.
10.5 At the establishment of a failure in the consignment to the extent of a complete rejection, the ownership of the goods shall revert to the Supplier from the moment of receipt of the notification thereof.
Article 11 Intellectual and Industrial Property Rights
11.1 The supplier warrants the free and quiet enjoyment of the consignment by the Client. The Supplier shall indemnify the Client against any claims by third parties due to infringement of their intellectual and/or industrial property rights.
11.2 The Supplier shall be entitled to use information provided by the Client, but only in connection with the allocation and execution of the agreement. This information shall remain the sole property of the Client.
Article 12 Secrecy and Prohibition on Disclosure
12.1 Under penalty of payment of € 3,000 per event, the Supplier shall keep secret and refrain from disclosing the existence, the nature and the contents of the agreement, as well as other business information supplied by the Client, such as information pertaining to daily operations. Application of the penalty clause shall not affect the Client’s right to claim damages. The Supplier shall include this article in any and all agreements entered into by the Supplier that apply in any way to the Supplier’s obligations as regards this agreement.
Article 13 Liability
13.1 The Supplier shall be liable for any damage that might occur in connection with the performance of the obligations under the agreement. Immediately upon request, the Supplier shall be obligated allow the Client to examine the relevant policy.
13.2 The Supplier indemnifies, defends and holds harmless the Client against any financial consequences of claims by third parties in connection with the performance of its obligations under the agreement.
13.3 The provisions as stated in sections 1 and 2 of this article shall also be applied if the goods to be delivered are sold on to third parties.
Article 14 Cancellation
14.1 The Client reserves the right to cancel the agreement without judicial intervention and without notice of default in the event of failure to meet the obligations on the part of the Supplier or if the performance of the agreement is impeded in any way by circumstances on the part of the Supplier such as an application for suspension of payment or bankruptcy.
14.2 In the event of cancellation, as described in section 1 of this article, the Client is entitled to full compensation for all material and intangible damages plus interest. The compensation for intangible damages shall amount to at least 6% of the amount of the consignment including turnover tax.
Article 15 Payment of Claims
15.1 Claims that are to be paid to the Client as regards the reimbursement of damages and interest shall be paid immediately and in full.
Article 16 Order, Safety and Environment
16.1 The Supplier and its employees, as well as third parties engaged by it shall obey Dutch statutory safety, health and environmental regulations. Furthermore any company rules and regulations shall be complied with in the area of safety, health and environment of the Client.
16.2 The Supplier warrants that the consignment shall be in compliance with all statutory requirements.
Article 17 Disputes
17.1 Disputes between the Parties, including those only considered to be such by one Party shall in the first place be resolved amicably and without judicial intervention.
17.2 If the Parties are unable to reach a solution without judicial intervention, the dispute shall be settled by the competent district court in Utrecht.
17.3 A dispute shall be defined as such if one of the Parties considers this to be as such.
Article 18 Applicable Law
18.1 The agreement, of which these X . Terms and Conditions of Purchase are an integral part, shall be governed exclusively in accordance with Netherlands law. In the event of the Supplier’s establishment abroad, any effective international agreements shall not be applicable.

Experience: I have been working as a translator for almost 20 years, mostly freelance but also as a senior translator at a renowned agency in the Netherlands.
