15.1 Termination of the agreement due to the supplier’s default:
BUYER shall have the right to terminate this agreement by prior written notice to SERVICE PROVIDER in the following cases:
a) SERVICE PROVIDER acts with malice or willful misconduct or persistent gross negligence in the fulfillment of their contractual obligations.
b) SERVICE PROVIDER delays the initiation of the Work Program during more than fifteen (15) days.
c) The SERVICE PROVIDER incurs in a material breach of their obligations under this Agreement and the breach is not cured by SERVICE PROVIDER within 15 days after being notified in writing by BUYER, provided, however, such gross and material breach causes substantial damage to BUYER, to BUYER´s exclusive criterion.
d) SERVICE PROVIDER assigns this Agreement — totally or partially — without a previous expressed authorization by BUYER.
e) SERVICE PROVIDER breaches any labor, professional or social security legislation in relation to the staff appointed for the completion of the Works.
f) When the amount of the fines pursuant to Clause 12, reaches the maximum cap of 5% of Contractual Price.
g) When SERVICE PROVIDER abandons or interrupts the Work Program without reasonable justification for a period of more than 8 (eight) days in more than 3 (three) occasions or for a single period of more than 30 (thirty) days.
h) SERVICE PROVIDER files for insolvency, is declared bankrupt, or makes a general assignment of its assets to creditors, and/or is in process of liquidation or dissolution.
15.2 Costs of the Agreement termination by the BUYER and for reasons due to SERVICE PROVIDER: The BUYER shall pay the SERVICE PROVIDER only the works effectively executed by the SERVICE PROVIDER in condition to be used by EPSE within the Project. The BUYER shall not be compelled to pay for works that were not executed or are not in condition to be used by EPSE or for loss of earnings of the SERVICE PROVIDER. The SERVICE PROVIDER shall be responsible to compensate to BUYER all extra cost incurring for completing the Works by BUYER or by a third party (means the difference between the remaining Contract Price and the final amount needed for the completion), which cost shall not exceed the market prices.
15.3 BUYER’s rights for termination for reasons due to SERVICES PROVIDER: In case BUYER has terminated this Contact or a part thereof pursuant to the provisions of Clause 15.1, it shall have the right in its sole discretion to take the following steps:
- Take possession of the Works (by EPSE) as it is and of the parts that agree with the conditions of the Agreement, previous measurement made in mutual agreement, for which SERVICE PROVIDER shall be notified. In case of unjustified absence of SERVICE PROVIDER, the measurement made by BUYER's Works Inspection shall be valid.
- Automatically succeed SERVICE PROVIDER in the Agreements, subcontracts and/or purchase orders made by SERVICE PROVIDER, in relation to the Works, having to pay the Subcontractors and suppliers only for those payments due and that may be enforced pursuant to the Agreements or subcontracts timely entered into with SERVICE PROVIDER, as from the date BUYER chooses to succeed SERVICE PROVIDER in the mentioned Agreements, subcontracts and/or purchase orders if and to the extent the Subcontractors consents thereto;
The provisions of this Clause shall apply notwithstanding the deductions that may be applicable by fines for events previous to the one originating the termination.
15.4 Consequences of the termination for reasons due to SERVICE PROVIDER:
Upon SERVICE PROVIDERS´ reception of notice of the termination by BUYER, SERVICE PROVIDER shall:
a) Stop the execution of the Works immediately, and make all the Subcontractors and suppliers stop the execution of the Works and leave all areas where there is no need to perform any other work;
b) Refrain from issuing any other purchase order and entering into any subcontract for delivery of service render for the Works; and
15.5 Termination for reasons due to BUYER:
SERVICE PROVIDER shall have the right to terminate this agreement in the following cases:
a) EPSE on behalf of the BUYER does not make the payment corresponding to any invoice after 30 (thirty) days of such invoice due date.
b) EPSE is dissolved by the Executive Branch or Authorities of the Province of San Juan declare its liquidation.
c) BUYER or EPSE files for insolvency or is declared bankrupt, or they make a general assignment of assets in the benefit of its creditors.
In the case of subsection a) SCHMID shall previously demand BUYER and EPSE in any irrefutable way, under announcement of the termination in case of non-fulfillment so that in not longer than 30 (thirty) days EPSE proceeds to regularize the situation, otherwise the Agreement may be terminated by SERVICE PROVIDER for this cause.
In every case the termination shall be notified to BUYER in an irrefutable way at the contractual domicile.
15.6 SERVICE PROVIDERS´ Rights for termination for reasons due to EPSE or the BUYER:
In case SERVICE PROVIDER terminates this Agreement pursuant to Clause 15.5 it shall have the right to receive payment equivalent to:
a) The price corresponding to the executed Works until the date of the reception of the termination notice, plus
b) The amount of the costs of termination, including demobilization, the costs of termination of subcontracts and/or corresponding purchase orders, in agreement with the terms arising therefrom.
Translation - Spanish EXTINCIÓN:
15.1 Extinción del Contrato debido a incumplimiento por parte del PROVEEDOR DEL SERVICIO:
El CLIENTE tendrá el derecho de rescindir el presente contrato previa notificación escrita al PROVEEDOR DE SERVICIOS en los siguientes casos:
a) Si el PROVEEDOR DE SERVICIOS actúa con malicia o conducta dolosa o constante negligencia grave en el cumplimiento de sus obligaciones contractuales.
b) Si el PROVEEDOR DE SERVICIOS demora el comienzo del Programa de Trabajo por más de quince (15) días.
c) Si el PROVEEDOR DE SERVICIOS incurre en una infracción grave de sus obligaciones en virtud del presente Contrato y la falta no es solucionada por el PROVEEDOR DE SERVICIOS dentro de los 15 días posteriores a la notificación por escrito del CLIENTE, siempre que, no obstante, tal infracción grave cause un daño considerable al CLIENTE, según el criterio exclusivo del CLIENTE.
d) Si el PROVEEDOR DE SERVICIOS asigna este Contrato, en forma total o parcial, sin la autorización previa y expresa del CLIENTE.
e) Si el PROVEEDOR DE SERVICIOS viola cualquier legislación de seguridad social, profesional o laboral con respecto al personal designado para completar los Trabajos.
f) Cuando el importe de las multas, de acuerdo con la Cláusula 12, alcance el límite máximo del 5% del Precio Contractual.
g) Cuando el PROVEEDOR DE SERVICIOS abandone o interrumpa el Programa de Trabajo sin justificación razonable durante más de 8 (ocho) días en más de 3 (tres) oportunidades o durante un único período de más de 30 (treinta) días.
h) Si el PROVEEDOR DE SERVICIOS solicita la declaración de insolvencia, se declara en bancarrota o realiza una cesión general de sus bienes a sus acreedores y/o se encuentra en proceso de liquidación o disolución.
15.2 Costos de la extinción del Contrato por parte del CLIENTE y por causa del PROVEEDOR DE SERVICIOS: El CLIENTE deberá pagarle al PROVEEDOR DE SERVICIOS solo los trabajos realizados de manera efectiva por el PROVEEDOR DE SERVICIOS en condiciones de ser utilizados por EPSE dentro del Proyecto. El CLIENTE no estará obligado a pagar por trabajos que no fueron realizados o que no estén en condiciones de ser utilizados por EPSE o por la pérdida de ganancias del PROVEEDOR DE SERVICIOS. El PROVEEDOR DE SERVICIOS será responsable de compensar al CLIENTE por todo gasto extra que provoque la terminación de los Trabajos por parte del CLIENTE o por terceros (es decir, la diferencia entre el resto del Precio Contractual y el monto final necesario para su terminación),cuyo costo no superará los precios de mercado.
15.3 Derechos de extinción del CLIENTE por razones debidas al PROVEEDOR DE SERVICIOS: En caso de que el CLIENTE haya rescindido este Contrato o una parte del mismo conforme a las disposiciones de la Cláusula 15.1, tendrá derecho a seguir los siguientes pasos, según su exclusivo criterio:
- Apoderarse de los Trabajos (por EPSE) como están y de las partes que están de acuerdo con las condiciones del Contrato, previas mediciones realizadas de mutuo acuerdo, por las cuales se notificará al PROVEEDOR DE SERVICIOS. En caso de ausencia injustificada del PROVEEDOR DE SERVICIOS, serán válidas las mediciones realizadas por la Inspección de Trabajos del CLIENTE.
- Suceder automáticamente al PROVEEDOR DE SERVICIOS en los Contratos, subcontratos y/u órdenes de compra realizadas por el PROVEEDOR DE SERVICIOS en relación con los Trabajos, teniendo que pagar a los subcontratistas y proveedores solo por aquellos pagos adeudados y que puedan ejecutarse en virtud de los Contratos o subcontratos celebrados oportunamente con el PROVEEDOR DE SERVICIOS, a partir de la fecha que el CLIENTE elija para suceder al PROVEEDOR DE SERVICIOS en los Contratos, subcontratos y/u órdenes de compra mencionados, en el caso y en la medida en que los Subcontratistas accedan a ello;
Las disposiciones de esta Cláusula se aplicarán sin perjuicio de las deducciones que pudieran aplicarse por multas debidas a hechos previos al que originó la extinción.
15.4 Consecuencias de la extinción por razones debidas al PROVEEDOR DE SERVICIOS:
Luego de recibir la notificación de extinción por el CLIENTE, el PROVEEDOR DE SERVICIOS deberá:
a) Detener la ejecución de los Trabajos en forma inmediata, y hacer que todos los Subcontratistas y proveedores detengan la ejecución de los Trabajos y dejen todas las áreas donde no se necesita realizar ningún otro trabajo.
b) Abstenerse de emitir cualquier otra orden de compra y de celebrar cualquier subcontrato para la prestación de servicios para los Trabajos; y
15.5 Extinción por razones debidas al CLIENTE:
El PROVEEDOR DE SRVICIOS tendrá el derecho de rescindir el presente contrato en los siguientes casos:
a) Si EPSE en nombre del CLIENTE no realiza los pagos que correspondan a cualquier factura después de 30 (treinta) días del vencimiento de dicha factura.
b) Si el Poder Ejecutivo disuelve EPSE o si las autoridades de la provincia de San Juan declaran su cierre.
c) Si el CLIENTE o EPSE solicitan la declaración de insolvencia o se declaran en bancarrota o realizan una cesión general de sus bienes en beneficio de sus acreedores.
En el caso de la subsección a) SCHMID deberá demandar previamente al CLIENTE y a EPSE de cualquier manera irrefutable, con aviso de la extinción en caso de incumplimiento para que en un plazo no superior a 30 (treinta) días EPSE regularice la situación, de lo contrario el Contrato será rescindido por el PROVEEDOR DE SERVICIOS por esta causa.
En todos los casos, la extinción será notificada al CLIENTE de manera irrefutable en el domicilio contractual.
15.6 Derechos de extinción del PROVEEDOR DE SERVICIOS por razones debidas a EPSE o al CLIENTE:
En caso de que el PROVEEDOR DE SERVICIOS rescinda este Contrato de acuerdo con la Cláusula 15.5, tendrá el derecho de recibir un pago equivalente a:
a) El precio que corresponda a los Trabajos realizados hasta la fecha de la recepción del aviso de extinción, más
b) Los importes de los costos de extinción, incluyendo la desmovilización, los gastos de extinción de subcontratos y/o de las órdenes de compra correspondientes, de acuerdo con los términos derivados de los mismos.
