Source text - Russian 1. Стороны пришли к соглашению о продлении срока поставки Продукции до «31» июля 2010 г.
2. В случае если компания AAA в сроки, установленные настоящим Дополнительным соглашением, не поставит или не допоставит Продукцию, компания «БББ» имеет право по своему выбору:
2.1. расторгнуть Договор б/н от «21» октября 2008г. в одностороннем порядке и потребовать от компании AAA возврата денежных средств, уплаченных за непоставленную или недопоставленную Продукцию, при этом компания AAA обязуется вернуть компании «БББ» данные денежные средства в срок до «31» июля 2010 г.
2.2. расторгнуть Договор б/н от «21» октября 2008г. в одностороннем порядке и потребовать от компании AAA заключения договора на проведение работ по внедрению новых технологий в сфере цифрового телевидения.
2.2.1. компания AAA обязуется заключить указанный договор не позднее «31» июля 2010 г. на условиях, предложенных со стороны компании «БББ».
2.2.2. компания AAA выражает свое согласие на то, что уплаченные компанией «БББ» денежные средства за непоставленную или недопоставленную Продукцию по Договору б/н от «21» октября 2008г., будут зачтены компанией AAA в качестве оплаты продукции по договору, заключенному в соответствии с пунктом 2.2. настоящего Дополнительного соглашения.
3. Все условия Договора б/н от «21» октября 2008 г., не затронутые настоящим Дополнительным соглашением, остаются в силе.
4. Настоящее Дополнительное соглашение вступает в силу с даты его подписания Сторонами.
5. Настоящее Дополнительное соглашение составлено в двух экземплярах, имеющих равную юридическую силу, по одному для каждой из Сторон.
Translation - English 1. The Parties hereby agree to prolong the terms of the Product delivery till July 31, 2010.
2. If AAA shall fail to deliver the Product or its part in terms provided by this Additional Agreement, BBB shall be entitled in its sole discretion to:
2.1. terminate the Agreement W/O No. as of October 21, 2008 unilaterally and withdraw the funds paid to AAA for undelivered Product or its part provided that AAA shall return the funds till July 31, 2010.
2.2. terminate the Agreement W/O No. as of October 21, 2008 unilaterally and lay AAA under obligation to enter into the agreement for implementation of innovative digital TV technologies.
2.2.1. AAA shall be obliged to enter into the mentioned agreement not later than on July 31, 2010 under terms and conditions proposed by BBB.
2.2.2. AAA hereby agrees to set off the funds paid by BBB for undelivered Product or its part under the Agreement W/O No. as of October 21, 2008 towards payment for the product under the agreement entered into according to item 2.2 of this Additional Agreement.
3. Any and all terms of the Agreement W/O No. as of October 21, 2008 not affected by this Additional Agreement shall be deemed valid.
4. This Additional Agreement shall be effective on the date it is signed by the Parties.
5. This Agreement is made in two counterparts of equal legal force, one for each Party.
