This Agreement shall be governed by and construed in accordance with the laws of Switzerland, excluding the Swiss Private International Law and the United Nations Convention on International Sales of Goods (Vienna Convention).
All disputes arising out of or in connection with this Agreement which cannot be settled amicably between the Parties shall be resolved by arbitration in accordance with the rules of arbitration of the I nited Nations Commission for International Trade and Law (UNCITRAL).

Настоящее Соглашение регулируется и истолковывается в соответствии с законодательством Швейцарии, за исключением норм коллизионного права Швейцарии и Конвенции ООН о договорах международной купли-продажи товаров (Венской конвенции).
Все споры, возникающие вследствие настоящего Соглашения или в связи с ним, которые не могут быть разрешены Сторонами мирным путем, подлежат разрешению в арбитражном порядке в соответствии с арбитражным регламентом Комиссии ООН по праву международной торговли (ЮНСИТРАЛ).

Source text - English No variation or amendment of this Agreement or of any of the documents referred to in it shall be valid unless it is in writing and duly signed by authorized representatives of or on behalf of each of the Parties.
This Agreement and the documents referred to in it, constitute the entire agreement and understanding of the Parties, and replace any previous agreements between the Parties and/or their predecessors and/ or their Affiliates relating to the subject matter of this Agreement.
Translation - Russian Изменения или поправки к настоящему Соглашению или любой сопутствующей документации будут считаться действительными, только если они оформлены в письменном виде и должным образом подписаны уполномоченными представителями каждой из Сторон.
Настоящее Соглашение и сопутствующие документы составляют полное соглашение и договоренность Сторон и заменяют собой любые предыдущие соглашения между Сторонами и (или) их предшественниками и (или) Аффилированными лицами в отношении предмета настоящего Соглашения.

XXX shall further develop, maintain, and manage a service infrastructure for the need of the YYY’s local operations. Services provided by XXX as set forth in Clause 2 of the Agreement and this Annex to the Agreement are continuously rendered.
Local YYY Group Companies may receive these services on a constant, on-call, and/or ad-hoc basis.

XXX обязуется обеспечивать развитие, поддержку и управление сервисной инфраструктурой для потребностей местной деятельности YYY. Услуги компании XXX предоставляются на постоянной основе в соответствии с п. 2 Соглашения и настоящего Приложения к Соглашению.
Местные представительства Группы YYY могут получать такие услуги на постоянной основе, по требованию и (или) для конкретного случая.
