In the case of a guarantee from a member of the Group which is an Obligor or a Material Subsidiary as at the Closing Date, such guarantee shall be provided (subject to the Agreed Security Principles) as soon as reasonably practicable after the Closing Date and in any event not later than the Backstop Date.
