(c) Each such Offsetting Transaction shall be entered into with XX and CLIENT and for its account and risk, as principal. Each Offsetting Transaction shall be governed by the Master Agreement and shall be confirmed by XX and CLIENT to each other in accordance with standard practice. For the avoidance of doubt, each Offsetting Transaction that is a Non Deliverable FX Transaction shall also be subject to any applicable Master Confirmation Agreement for Non-Deliverable Forward FX Transactions between XX and CLIENT, as may be amended from time to time.
