"The following expressions beginning with capital letters have the definitions hereinafter indicated whenever used in this agreement. Capitalised terms not herein defined shall refer to terms defined in any other Transaction Document comprising notably the Head of Terms..."

Quelqu'un aurait-il une idée sur cette notion de head of terms ?

Peut-être cela renvoie-il à "titres"...

Linguee Linguee is far less useful than it was in the days when one could grade their entries - i.e. when they were exploiting our freebee corrections with a view to later claiming to be a dictionary. It is still useful when you know what something means, but want some alternative ideas on how to translate it. It is absolutely not a reference that should be quoted to support a KudoZ answer. That's on a par with quoting a Google search as a reference rather than a citation found and selected as a result of that search.

De là, "head of terms" pourrait conduire à "Conditions principales".

il semble qu'il s'agit des "Conditions générales" ou des "Conditions essentielles" du contrat. Mais sans voir, on peut présumer n'importe quoi. Je n'hésiterais pas à vérifier auprès du client.
