Cooperation on Tax Matters.

Buyer and Seller shall cooperate fully, to the extent reasonably requested by another party hereto in writing, in connection with the filing of Tax Returns pursuant to this Section ХХХ or otherwise, and any audit, examination, litigation, action or other proceeding with respect to Taxes of the Company or any of its Subsidiaries with respect to any period or portion of any period that ends on or prior to the Closing Date (each, a “Contest”). Such cooperation shall include the retention and (upon another party’s request) the provision of records and information which are reasonably relevant to any such Tax Return filing or Contest and making employees available on a mutually convenient basis to provide additional information and explanation of any material provided hereunder.
