subject to a pre-condition for a contract breach to be triggered (cond. precedent) Explanation: - in a rights assignment (receivables factoring?) agreement. Anglo-Am. law -> condition precedent vs. condition subsequent (Scots law: suspensive condition vs. resolutive condition). I'm unsure this is a true condition precedent - or Scots law: suspensive condition - of (rather than *to*) breach of contract, so 'needed' to break the agreement, rather than an obligation first needing to be performed as a pre-condition for contract compliance.
