If any of the following apply, our company Governance and decision-making remains in place and NewCo employees must refer to a our company or our company2 counterpart for final sign-off: a) Decisions with potential Quality, Compliance, Legal, Contractual, Governmental, Policy, or Regulatory implications b) Decisions with potential impact to our company or our company2 reputation c) Decisions with impact to all tax matters, tax free NewCo launch conditions, deal financials, NewCo launch-related legal agreement terms d) Decisions with negative financial implications for our company or NewCo (business performance; treasury impact) e) Decisions with impact to Day 1 operating model, and/or post launch *TSAs*, and/or CiC or Launch readiness f) Investment decisions that are not yet accounted for in FY 2021 budget g) Decisions with potential impact to our companyor NewCo risk profile (including investor relations) h) Decisions with people impact
