Spanish term

socios proveedores de derechos

Spanish to English Bus/Financial Business/Commerce (general) Shareholder meeting minutes
I'm translating the minutes of a shareholder meeting where the shareholders are declaring their position in response to a proposal to purchase the company and I'm not sure what the following is trying to say exactly:

"Las compañias XXX y XXX han manifestado que han dado respuesta a la oferta de compra manifestando su aceptación y, por tanto, su voluntad de vender, sin perjuicio, **por parte de aquellos socios proveedores de derechos** de hacer valer su derecho a mantener una posición minoritaria en la compañía."

I understand generally what it's trying to say but I'm not clear on what "socios proveedores de derechos" is referring to exactly. Is it just a fancy way of referring to those shareholders who have the right to maintain a minority position within the company?

It seemed really odd to me too, and "socios poseedores de derechos" seems to make more sense given the context. I translated it on that basis and left a comment for the client. I haven't heard anything back so I assume it's correct. Thanks!

I hope you are all doing well. It seems indeed just a fancy way of referring and acknowledging the minority shareholders. There is also the distinct possibility that this could also be simply a typo mistake of sorts when drafting the minutes. Overall, the excerpt lacks proper technique from a legal drafting perspective, making repeated use of the verb "manifestar" in the same line and also using twice the word “derecho” almost next to each other. Maybe they wanted to say “socios poseedores de derechos” and typed instead “proveedores”. Wild guess her, of course.

This doesn't get any hits in the singular or plural. Could it mean voting members, do you think?

members offering up their rights

Let's guess the context: 1. the country is Spain (or one in Lat. Am.) 2. it's a company but not a partnership, so has shareholders or members rather than partners and 3. the derechos are societarios and not *de exploración*, namely shareholders who have granted the company oil exploration rights.

The board of commitee partners with discretionary power

In the sense members of the committee who can nominate and admit new parties to the organisation/venture/corporation, etc.
Peer comment(s):

disagree philgoddard : This bears absolutely no resemblance to the Spanish, and I don't know what a "board of committee partners" is.

"The companies have shown that they have respected the sales offer showing their acceptance, and therefore, their wish to sell, without damage 'on behalf of those member suppliers of rights' to value their right to maintain a minority position in the company."
