...to take a decision to amend the memorandum of association and cancel Article VIII(1) of the memorandum and increase the registered capital of*** by assumption of the contribution obligation to subscribe for a new cash contribution equal to *** to be assumed by the company ***.
The principal authorizes the attorney to attend the general meeting on its behalf, waive the right to such general meeting being convened properly and in due time and vote thereat to the effect that the principal:
1. agrees that Article VIII(1) of the memorandum be cancelled reading as follows:
“Any further cash contribution to the Company shall be paid up as follows:
a) 30 % (i.e. thirty per cent) of the contribution shall be paid up within 30 (i.e. thirty) days the date of assumption of the contribution obligation to increase the contribution or subscribe for a new contribution, however, on or before the date of making an application for registration of such registered capital increase in the Commercial Register,
b) the balance, i.e. 70 % (i.e. seventy per cent) shall be paid up within 5 (i.e. five) years after the date of assumption of the contribution obligation to increase the contribution or subscribe for a new contribution”;

by assumption of the contribution obligation to subscribe for a new cash contribution - шляхом взяття на себе обов’язків з оформлення/підписання зобов’язань про здійснення нового внеску грошовими коштами.
Я б так перевела. Тут "assumption" у значенні "брати (на себе) зобов’язання/обов’язки". Наскільки зрозуміло з наведеного тексту, довіреній особі доручають від імені компанії підписати зобов’язання, що ця компанія зробить певний внесок.
"шляхом взяття на себе обов’язків" можна замінити на "взявши на себе обов’язки".

Ще раз перечитала наведений уривок... Для повноти картини добре було б побачити хоча б перше речення не у перерваному вигляді, а повністю. А ще краще - додатково одне-два речення перед ним.

Звісно, не "перевела", а переклала - запрацювалася :)
А по суті запитання - якщо "by assumption of the contribution obligation to subscribe" стосується компанії, а не довіреної особи, то перекласти слід інакше. Тому добре було б побачити початок фрази.

Той випадок, коли легше не стало :).
Щось забагать слова "зобов’язання" - і "assumption", і "obligation", та ще й "subscribe" тут, як виглядає, буде "зобов’язуватися"...
Робити нічого - пропоную їх повідкидати:
by assumption of the contribution obligation to subscribe for a new cash contribution -
шляхом взяття (на себе)/оформлення зобов’язання щодо здійснення нового внеску грошовими коштами
Я б так перевела. Тут "assumption" у значенні "брати (на себе) зобов’язання/обов’язки". Наскільки зрозуміло з наведеного тексту, довіреній особі доручають від імені компанії підписати зобов’язання, що ця компанія зробить певний внесок.

Щось забагать слова "зобов’язання" - і "assumption", і "obligation", та ще й "subscribe" тут, як виглядає, буде "зобов’язуватися"...
Робити нічого - пропоную їх повідкидати:

| Дякую за допомогу, Надіє. Складно було навести початок фрази у зв'язку з конфіденційністю інформації, а я дуже :) поспішала. Початок був на півсторінки тексту, але, якщо скоротити всі імена, адреси і т.і., то виходить приблизно так: The *Company#1* authorizes the *person* to represent the principal and exercise the member's rights at the general meeting of the company#2 ***, that is to take a decision to amend the memorandum of association and cancel Article VIII(1) of the memorandum and increase the registered capital of Company#2*** by assumption of the contribution obligation to subscribe for a new cash contribution equal to *** to be assumed by the Сompany#3***.
