English to French Bus/Financial Law: Contract(s) Credit Agreement

“Eligible Assignee” means (a) a Lender Party; (b) an Affiliate of a Lender Party; (c) an Approved Fund; and (d) any other Person (other than an individual) approved by (i) the Term Administrative Agent or the Revolving Administrative Agent, as applicable, (ii) in the case of an assignment of a Revolving Credit Commitment, the Issuing Banks and (iii) unless an Event of Default or a payment Default has occurred and is continuing, the Borrower (each such approval not to be unreasonably withheld or delayed); provided, however, that (A) neither any Loan Party nor any Affiliate of a Loan Party shall qualify as an Eligible Assignee under this definition and (B) in the case of the Revolving Credit Facility, the Swing Line Facility and the Letter of Credit Facility, a Person must also be a Canadian Qualified Lender in order to qualify as an Eligible Assignee under this definition and so long as no Event of Default or Default under Section 6.01(a) shall have occurred and be continuing
