Context:
Indien de cliënt een rechtspersoon is maar geen handelsvennootschap of vennootschap met handelsvorm als bedoeld in artikel 16, dient onder ‘economisch rechthebbenden’ de personen te worden verstaan die, zonder bevoegd te zijn om de cliënt te vertegenwoordigen in zijn relaties met de onderneming, ** een mandaat waarnemen ** in zijn bestuursorgaan.

So far, I have found 'holds office in its governing body', but I have a niggling feeling that this is not quite right. Could it be 'discretionary power(s)'.

represent the interest of a certain group on the board of directors of the....

I am thinking here of a board member appointed by a government to the board of a non-commercial organization or by an institutional shareholder in the case of a commercial organization. In other words, someone with a mandate to represent the interests of another organization or group on the board of this organization.
