English to Polish Other Law: Contract(s)

Po zastrzeżeniu własności praw własności intelektualnej:

Buyer may use any residual rights created from all information, such as ideas, concepts, techniques and know-how and any improvements thereon disclosed by Service Provider and its Personnel and which may be rightfully learned in the performance of their duties hereunder without restriction and free of any royalty, charge or other remuneration (“Residuals”).

Residuals shall not include intellectual property rights that have come into being prior to this Agreement.

Service Provider understands that Buyer may currently or in the future be developing information internally, or receiving information from third parties that may be similar to the Residuals.

Accordingly, nothing in this Agreement will be construed as a representation or inference that Buyer will not develop products or systems, or have products or systems developed for it, or enter into joint ventures, alliances, or licensing arrangements that, without violation of this Agreement, compete with the products or systems embodying the Residuals.

Further, Buyer shall be free to use for any purpose the Residuals resulting from access to or work with such information, provided the information is not within the information of non-disclosure protected by this Agreement.
