Articles of association
Hello all,
I'm proof reading a translation of some Articles of Association for a SAS. "La collectivité des associés" has been translated as the general meeting of shareholders throughout, however I can't help feeling that they could have been consulted in a different way, especially in the current situation. I'm interested in finding out how others would translate this, I wondered about the shareholders as a whole. Thanks for any suggestions.
La collectivité des associés ou l’associé unique peut décider la répartition de toute somme prélevée sur les réserves dont elle/il a la disposition.

the shareholders
This is how I always translate it
The distinction between "collectivité des associés" and "associé unique" is clear
I don't agree with "general meeting of shareholders" as the translation as I invariably find (and I translate Arts. of Assn. practically once every 10 days) that this would be Assemblée Génerale
I don't think you have to concern yourself with the current situation, you can only translate the document in front of you

French term (edited):
La collectivité des associés > d'une SAS
The members acting collectively > of an SAS corporate partnership
Let us work backwards, rather than backwardly, from a tentative and *usable* translation of an SAS - not the Special Air Service 'of' the British Army or rather operating outside the confines of such, but that's another story - and that is IMO a loose partnership of corporate entities, rather than the mysterious species of a 'simplified joint-stock company'.
Example sentence:
The EEIG must have at least two organs: the members acting collectively and the manager or managers.
The "rating agency" section) is edited by diversum SAS, a simplified joint-stock company with a capital of 45 000 Euros, listed in the Versailles [...]

the body of shareholders
all the shareholders of the "société par actions simplifiée" considered as a group - that exits at all times (as long as the SAS exists).
As opposed to the Annual General Meeting [of the body of shareholders] which is a punctual event (usually once a year).

The powers of individual directors should be set out in their service contract. This should be precise about the job description and the limits to which decisions need to be referred to the board of directors, or to the body of shareholders.

: This is correct too of course (but depending on the sentence I would use AT's simplified version)

Discussion
Shareholder would be more in line with actionnaire.
