Should the Purchaser deliver the Notice of Objection within (and not later than) the term set forth under Section… above, Sellers and Purchaser shall negotiate in good faith to resolve any disagreement referred to in the Notice of Objection. If Sellers and Purchaser are unable to reach any amicable settlement of their disagreement within 15 (fifteen) Business Days from the receipt by the Sellers of the Notice of Objection, any such disagreement between the Parties will be submitted by either Party, as exclusive remedy, to the Expert.

The Expert shall (i) calculate and determine (only) the items of the Sellers’ Statement that have been disputed by the Parties, excluding any recalculation of the items that have been already agreed by the Parties, and consequently redetermine the Sellers’ Statement of the Company as at the Reference Date; (ii) determine the Purchase Price Adjustments and the Base Purchase Price on the basis thereof;

In making his determination, the Expert shall:

(i) decide on the procedure and timetable to be followed in the determination, save that such procedure shall allow the Parties and their respective professional advisers to make written and oral representations to the Expert;

(ii) be required to determine only those matters that this Agreement provides are capable of being referred to the Expert for determination, but shall be entitled to make any determination as to the interpretation of this Agreement as is necessary to enable a determination of the matters so referred to be made; and

(iii) be entitled to take legal advice on any matter relevant to the determination.
