This is part of a letter addressed to a Bank in response to a request for further information

Thank you for your recent email and request for further information regarding the Company's operations and financial performance.

The COMPANY understands the BANK's need for the information requested and acknowledges your reference to the various clauses in the Facilities Agreement extract (hereinafter referred to as “The Agreement”).

However, in terms of a response, we would respectively like to provide the following to clarify several matters with respect to your request and to the structure of the Facility Agreement itself and the defined roles of the Parties, as follows:

1. The designation of THE BANK as the “Agent” on the cover of the Agreement and in the Preamble.
2. The designation of THE COMPANY as the “Borrower”;
3. Neither THE COMPANY, nor its predecessor have any participation in, nor role in, the Facilities Agreement. Their obligations as Parent Company Guarantor is as defined in the Parent Guarantee Agreement with THE BANK.
