English to Russian Law/Patents Law: Contract(s)

In case Equipment was leased by Supplier, Supplier shall act as directed by the Company that may be in one of the following ways:

(i) Supplier pay a lease termination payment approved by the Company and the Company will refund such payment to Supplier. Upon the payment of such lease termination payment, Supplier shall have to obligation to ensure that the Equipment lessor(s) shall be obligated to transfer to the entity as directed by the Company the unencumbered ownership and title to the Equipment; or

(ii) assign the leasing arrangement with the existing third party lessor of the Equipment to the entity directed by the Company. Supplier shall be obligated to ensure and will procure that the economic and commercial terms of each such direct lease with the assignee shall be no less favourable than those current terms within the underlying existing lease arrangement terms with third party lessor of the Equipment.
