"Encumbrance" means a mortgage, charge, pledge, lien, right of set-off, right of retention, attachment or tax attachment, or other security interest securing any obligation of any person or any other agreement or arrangement having a similar effect.

a right to deduct from an asset, in the second case specifically for payment of taxes due.
