This adds nothing to the meaning of the phrase. You can stop at 'em razão da iminente alteração de controle' without losing any sense.

He/She might have been a lawyer paid by the word or just loved the sound of his/her own verbal diatribe. "Found herein" would be an appropriate RIRO translation if your customer is a stickler, otherwise take my advise and dump it

That's what I thought, but I would love to know what the author was thinking here. Also, this is the end of the paragraph, so it's not connected to the next idea.

It is important these two words because they state the opinion of the speaker on how important it was to avoid the change of shareholder control.
