Translation - English In an effort to combat tax evasion, the American authorities declared a campaign targeting American companies which evade tax liabilities through merge or acquisition transactions, allowing them to move their headquarters to lower tax countries. US Secretary of Treasury, Jacob Lew, stated that such approach, known as “changing the state of companies”, constitutes “unfair gap” putting huge tax burdens on other tax payers including small enterprises. Lew added that new regulations, including the prohibition of the use of foreign currencies by companies without paying US taxes, will be applied to transactions made as of last Monday. Also, there will be an action to bridge the gap: the Congress is to reconvene after the mid-term renewal elections in November to investigate more procedures aiming at bridging the gap in the US tax system. He said that such step will considerably curb the capacity of companies to evade tax liabilities in the US. This step will also render tax evading transactions economically inviable. However, the US Secretary explained that these procedures do not target merging and acquisition transactions made for economic considerations.

Source text - Arabic تعلن وزارة المالية عن فتح باب الاكتتاب في ما قيمته الاسمية 500 مليون جنيه مصري من سندات الخزانة المصرية. • يتم الاكتتاب عن طريق البنك المركزي المصري بالقاهرة والإسكندرية وبورسعيد وبنوك القطاع العام التجارية وفروعها (البنك الأهلي المصري- بنك مصر- بنك الإسكندرية). • يفتح باب الاكتتاب في هذه السندات للأشخاص الطبيعيين وصناديق الاستثمار وصناديق التأمين والمعاشات وغيرها من الأشخاص المعنويين وبدون حد أقصى. • تصدر السندات اسمية. • مدة السندات 7 سنوات. • يستحق على السندات عائد ثابت بمعدل 10% سنويا. • يتم استهلاك السندات بالكامل في تاريخ استحقاقها بقيمتها الاسمية. • يجوز استهلاك السندات كليا أو جزئيا قبل تاريخ استحقاقها (وفي هذه الحالة يتم الاستهلاك بطريقة الاقتراع السري في جلسة علنية وذلك دون استحقاق أي عائد أو مقابل لتعجيل السداد). • تعفى السندات وعوائدها وقيمتها الاستردادية من كافة الضرائب والرسوم المفروضة حاليا أو التي تفرض مستقبلا. • يتم قيد هذه السندات بالجداول الرسمية بسوق الأوراق المالية بالقاهرة والإسكندرية بعد مضي ثلاثة أشهر من إقفال باب الاكتتاب على أن يتم تسليم صكوك السندات قبل تداولها.	Translation - English Ministry of Finance declares the opening of subscription for Egypt’s treasury bonds 2005 at nominal value of LE 500 mn in nominal value. • Subscription shall be effected via Central Bank of Egypt (CBE) in Cairo, Alexandria and Port Said and via public sector commercial banks and branches thereof (National Bank of Egypt (NBE), Banque Misr, Bannque du Caire and Bank of Alexandria). • Subscription without ceiling for such bonds shall be open to natural persons, mutual funds, insurance and pension funds and to other legal persons. • Bonds shall be issued at nominal value. • The duration of the bonds shall be 7-year term. • Bonds shall bear a fixed yield of 10% annually. • Bonds shall be wholly amortized at nominal value on maturity dates thereof. • Bonds may, wholly or partially, be amortized prior to maturity date thereof (in such case amortization shall be carried out via secret balloting in a public session without any yields or fees against acceleration). • Bonds, yields and redemption value thereof shall be exempt from all currently and prospectively imposed taxed and dues. • Bonds shall be listed on the official lists of Cairo and Alexandria Stock Exchange (CASE) after the elapse of a 3-month term from the date of closing subscription provided that debenture bonds are delivered prior to trading.
