Chapitre 1 : Principes généraux.
Article 1er : L'Organisme de Protection Sociale, ci-après désigné par O.P.S., est un établissement public à caractère administratif, doté de la personnalité morale et de l'autonomie financière. Il est soumis aux dispositions régissant les établissements publics et ses comptes relèvent du contrôle de la Chambre des Comptes et des Disciplines Budgétaires.
Article 2 : L’O.P.S. est chargé de la gestion de certains régimes de protection sociale existants en République de Djibouti, ainsi que des prestations de soins aux travailleurs affiliés à l’O.P.S. et aux membres de leurs familles.
Article 3 : L’assujettissement à l’O.P.S. est obligatoire pour tous les employeurs publics et privés indépendants ou utilisateurs de main-d’oeuvre. La couverture pourra être étendue à d’autres catégories sociales par décret pris en Conseil des Ministres.
Article 4 : Les bénéficiaires des prestations et services de l’O.P.S. sont les travailleurs qui, dans le cadre de leur emploi, cotisent ou ont cotisé selon les modalités définies par les textes, auprès de cet établissement.
Chapitre 2 : Organisation administrative
Article 5 : Sous réserve des dispositions plus restrictives concernant le Conseil National de Sécurité Sociale, l’O.P.S. est administré par un conseil d’administration composé de 12 membres.
Un décret pris en Conseil des Ministres fixera la composition des membres.
Les modalités de fonctionnement du Conseil d’Administration sont telles que prévues par le décret n°99-0078/PR/MFEN du 08 juin 1999. En particulier, le Conseil d’Administration élit en son sein un Président et un Vice-Président dans les conditions prévues par ce décret.
Article 6 : Les membres du Conseil d’Administration sont désignés par décret pris en Conseil des Ministres.
Toutefois, les membres indiqués ci-dessous sont proposés :
- par la Chambre Internationale de Commerce et de l’Industrie de Djibouti (CICID) pour les représentants des employeurs du secteur privé ;
- par les instances syndicales pour les représentants des travailleurs.
Leur mandat est de 3 ans renouvelable.
Article 7 : En cas d’absence du Président titulaire, toute Présidence de séance est confiée au Vice-Président.
Article 8 : Les fonctions d’administrateur de l’O.P.S. ne donnent lieu à aucune rémunération et seuls les frais de déplacement sont remboursés sur justification.
Article 9 : Lorsqu’une vacance se produit parmi les membres du Conseil d’Administration, il est pourvu au remplacement de l’administrateur défaillant dans un délai maximal de 2 mois. Le mandat du nouvel administrateur ainsi désigné prend fin à la date d’expiration du mandat du titulaire qu’il remplace.
Article 10 : Les administrateurs de l’O.P.S. - ainsi que leurs conjoints - ne peuvent occuper, sous peine de perte de leur mandat, aucun emploi rémunéré par l’Organisme. Ils ne peuvent prendre ou conserver un intérêt direct ou indirect dans un marché, convention ou contrat passé par l’O.P.S. ou pour le compte de l’organisme sauf autorisation expresse délivrée par arrêté portant dérogation à l’article ci-dessus.
Article 11 : Le Conseil d’Administration de l’O.P.S. se réunit en séance ordinaire, une fois par trimestre au moins, et en séance extraordinaire, soit à l’initiative de son Président, soit à la demande du quart des administrateurs.
Article 12 : L’ordre du jour des séances du Conseil d’Administration est arrêté par le Président du Conseil d’Administration sur proposition du Directeur de l’Organisme, et comprend obligatoirement toute question dont l’inscription est demandée par le quart au moins des administrateurs.
Article 13 : Les séances du Conseil d’Administration ne peuvent se tenir que si la moitié au moins des administrateurs assistent en personne à la séance.
Un administrateur peut se faire représenter à une séance par un de ses collègues, mais il ne peut être donné plus d’un pouvoir à un même administrateur.
Les décisions du Conseil d’Administration sont prises à la majorité des membres présents ou représentés, et transmises à l’autorité de tutelle pour approbation. En cas de refus, le Président de la République rejette la délibération par décret motivé.

Chapter 1: General Principles
Article 1: The Social Protection Agency, herein designated as the SPA, is a public institution with an administrative nature and endowed with legal capacity and financial autonomy. It is subject to provisions governing public institutions, and its accounts fall under control of the Chamber of Accounts and Budgetary Disciplines.
Article 2: The SPA is responsible for certain existing social protection plans in the Republic of Djibouti, as well as worker healthcare benefits affiliated with the SPA and members of their family.
Article 3: Tax liability with the SPA is mandatory for all public and private independent employers or those using manual laborers. Coverage can be extended to other social groups by decree of the Council of Minsters.
Article 4: Beneficiaries of SPA benefits and services are workers who, in the framework of their jobs, are contributing or who have contributed according to provisions set out in the texts of this establishment.
Chapter 2: Administrative Structure
Article 5: Also subject to the stricter dispositions on the National Council of Social Security, the SPA is governed by a board of 12 members.
A decree from the Council of Ministers sets the composition of the Board's members.
Terms regarding the operation of the board are provided by Decree No. 99-0078/PR/MFEN of June 08 1999. In particular, the Board of Directors themselves elect a president and vice-president under the condition of this decree.
Article 6: The member of the Board of Director are designated by decree from the Council of Ministers.
However, its members are proposed:
-by the International Chamber of Commerce and Djibouti Industry (CICD) for the representatives of private sector employers;
-by labor union bodies for worker representatives
Their mandate can be renewed in 3 years.
Article 7: If the designated President is absent, all chairmanships are conferred to the Vice President.
Article 8: The functions of an SPA Director are not remunerated, and only travel expenses are reimbursed upon approval.
Article 9: When a seat on the Board of Directors become vacant, it shall be replaced within a maximum of 2 months. The term of this newly appointed board member ends in accordance with the term of the member being replaced.
Article 10: SPA board members – along with their spouses – cannot occupy, under penalty of losing their seat, any job compensated by the Agency. They cannot take or conserve any direct or indirect interest in a deal, agreement or contract passed by the SPA, or on behalf of the agency without express authorization by decree derogating from the article above.
Article 11: The SPA Board of Directors meets in regular session at least once every three months, and in extraordinary sessions at the initiative of its President or at the request of one quarter of its directors.
Article 12: The session agenda for the Board of Directors is decided by the Chairman of the Board after first being proposed by the Agency Director and must include any issue requested by at least one quarter of the directors.
Article 13: Board sessions may be held if at least one half of the directors are present in person at the meeting.
A director may be represented at a session by a colleague but still holds the power of one single director.
The decisions of the Board are made by a majority vote from the members present or represented, and then sent to the supervisory authority for approval. If turned down, the President of the Republic can overturn that ruling by decree.

Contexte socio-politique guinéen à la veille des élections présidentielles du 11 octobre 2015
Le 11 octobre 2015, la Guinée doit tenir la deuxième élection présidentielle de son histoire. Les mois précédents ces élections ont été marqués par des manifestations, souvent accompagnées de violences, notamment lorsque le dialogue entre l’opposition et la mouvance présidentielle ne portait pas ses fruits vers un accord sur les conditions de la tenue de ces élections présidentielles. L’opposition contestait principalement la fiabilité du fichier électoral, comprenant selon elle de nombreuses imperfections comme des enrôlements multiples ou de personnes mineures, ce qui faisait pencher la balance électorale la faveur du parti au pouvoir. Le calendrier électoral a également été au cœur de controverses. Ce dernier prévoyait en effet la tenue des élections présidentielles avant les élections locales, lesquelles ont été repoussées à diverses reprises depuis 2010. Ceci représente, selon l’opposition, une situation favorable au Rassemblement du peuple de Guinée Arc-en-ciel (RPG), le parti du président Alpha Condé, lors des élections présidentielles.
Le 20 août 2015, à moins de deux mois de la tenue du scrutin, un accord a finalement été trouvé entre l’opposition et le pouvoir, avec l’intervention de la communauté internationale. Cet accord comprenait trois clauses : la recomposition des communes rurales et urbaines, la réforme de la Commission Nationale Electorale Indépendante (CENI) et l’assainissement du fichier électoral . L’application effective de cet accord a été la condition émise par le chef de file de l’opposition, Cellou Dalein Diallo, président du parti de l’Union des forces démocratique de Guinée (UFDG) pour l’arrêt des appels à manifester.
A la suite des accords dits « du 20 août », le nombre de manifestations et de violences qui y étaient associées ont diminué. Cependant, plusieurs évènements ultérieurs démontrent que le contexte sociopolitique n’a été que superficiellement et momentanément apaisé par cet accord. Fin septembre - début octobre 2015, les meetings politiques des différents partis en liste dans les grandes villes se faisaient dans un contexte de plus en plus tendu, comme le soulignent les médias et les missions d’observation des élections de l’Union Africaine et l’Union Européenne . Des affrontements violents ont ainsi été enregistrés entre le 19 septembre et le 3 octobre 2015 à Koundara, Mamou (Moyenne Guinée) et N’Zérékoré (Guinée Forestière), entre des militants rivaux, faisant de au moins 80 blessés et un mort . A quelques jours du 11 octobre, les discours de certains opposants politiques entraient dans un registre de plus en plus haineux et menaçants, avec parfois des références à l’ethnisme . L’insatisfaction de l’opposition est liée à l’insuffisance de l’application des accords du 20 aout, surtout en termes d’assainissement du fichier électoral où de nombreuses anomalies auraient toujours été constatées à 10 jours des élections. L’opposition réclame ainsi un report des élections, menaçant de se retirer du processus le cas échéant, tandis et que le pouvoir réfute toutes ces observations de l’opposition .
Ce contexte actuel particulièrement tendu rappelle directement le passé électoral violent de la Guinée. Les élections libres et concurrentielles sont un phénomène récent en Guinée et ne sont pas sans apporter des turbulences et controverses, comme le montrent la présidentielle de 2010 et les législatives de 2013. L’International Crisis Group (ICG) note ainsi « à chaque fois la préparation, la tenue et les résultats des élections ont suscité des tensions, des protestations qui se sont accompagnées de violences » . Plusieurs facteurs en sont la cause : une scène politique divisée, des fragilités institutionnelles persistantes, et des risques de violence toujours présents, notamment suite à l’ethnicisation du politique et une défiance des autorités par les populations en particulier en Guinée forestière .
L’ethnicisation intrinsèque et revendiquée de la classe politique, représente un haut risque non seulement pour le déroulement des élections mais plus généralement pour la paix sur le moyen terme en Guinée. Cette ethnicisation du débat, que l’on constate autour des élections de 2015, avait déjà été observée en 2010, lorsqu’au deuxième tour, le RPG avait appelé à une coalition pour « Tout sauf un Peul ». Notons que l’ethnicisation de la politique guinéenne dépasse largement le cadre des élections, et « l’identité ethno-régionale est plus que jamais l’une des grandes forces qui organise les affiliations politiques en Guinée, en particulier au sein des deux communautés les plus importantes, malinké et peul » . Une perception largement répandue au sein de la population est que l’affiliation politique, et donc ethnique, avec le pouvoir en place, est indispensable pour une amélioration du statut, des opportunités et conditions de vie socioéconomiques. Par exemple, bien que des efforts aient été faits par le RPG Arc-en ciel afin d’ouvrir l’accès aux postes clés à des Forestiers et des Côtiers, beaucoup de Guinéens considèrent que la communauté malinké est privilégiée dans l’accès à l’Etat .
Translation - English 2. Study Background
Sociopolitical context in Guinea on October 11, the eve of the 2015 Presidential Elections
On October 11, 2015 Guinea held the second presidential election in its history. The months leading up to these elections were marked by demonstrations, often violent, especially after dialogue between the opposition and the presidential camp failed to render an agreement on the terms under which these elections were to be held. The opposition mainly contested the reliability of the electoral register, including, according to them, several imperfections such as multiple enrollments or minors voting, which tilts the electoral balance in favor of the ruling party. The electoral calendar was also at the center of controversy due to its provision on the presidential elections being held before the local elections, which had been delayed multiple times since 2010. According to the opposition, this represents an advantage in the elections for the Rally of the Guinean People- Rainbow Party (RPG), the party of then President Alpha Condé.
On August 20, 2015, a couple months after polling, an agreement was finally reached between the opposition and the ruling party, with the intervention of the international community. This agreement included three clauses: the reformation of rural and urban communities, the reform of the National Independent Electoral Commission (CENI) and the remediation of the electoral register . The effective application of this agreement was issued by the opposition leader Cellou Dalein Diallo, president of the Union of Democratic Forces of Guinea (UFDG) – an end to their calls to protest.
Following the agreements titled “the 20th of August“, the number of demonstrations and violence it had set out to end diminished. However, several ulterior events demonstrate that the sociopolitical context has only been superficially and momentarily appeased by this accord. At the end of September—early October, 2015, political meetings of the listed parties in large cities occurred under a context growing more and more tense, exemplified by the media and electoral missions from the African Union and the European Union . Violent clashes were also record between September 19 and October 3, 2015 in Koundara, Mamou (Middle Guinea) and N’Zérékoré (Guinea Forestiere) between rival militant groups, leaving at least 80 injured and one dead . A few days before October 11, dialogue between certain political opponents became increasingly hateful and threating, often with references to ethnicity . The opposition’s dissatisfaction came from an insufficiency in the application of the August 20th agreements, especially in terms of rectifying the electoral register, in which numerous anomalies were still noticed in the 10 days up to the elections. The opposition also demanded that the election be postponed, threatening to withdraw from the process if necessary, while the ruling party refuted any findings from the opposition.
The particularly tense current context is directly reminiscent of the past election violence in Guinea. Free and fair elections are a recent phenomenon in Guinea and weren’t without violence and controversy, as demonstrated by the 2010 Presidential election and the legislative elections of 2013. The International Crisis Group (ICG) noted: “whenever the preparation, the holding and the results of the election raise tension, we see protests that are accompanied by violence” . Many factors lie at the cause of this: a divisive political scene, persistent institutional weaknesses and the constant risk of violence, especially following the political ethnicization and public defiance of authorities, especially in Guinea Forestiere .
The claimed, intrinsic ethnicization of the political class represents a high risk not only for the course of these elections but more generally for peace in the medium term. This ethnicization of the debate, which was observed around the 2015 elections, had already been seen in 2010, when the RPG appealed to a coalition for “Anything but a Fulani” in the first round. Let us note that the political ethnicization in Guinea went largely beyond the context of the elections, and “the ethno-regional identity is now one the largest forces that organize political afflictions in Guinea, in particular within the most important communities – Malinke and Fulani”. A widespread perception among the population is that, with the current power in place, political affiliation is ethnic and is crucial regarding social mobility and socioeconomic conditions and opportunities. For example, while efforts have been made by the RPG Rainbow Party to open access to key positions to people from the forest and coastal regions, many Guineans consider the Malinke community to be privileged in their access to the state.

Personal Administrativo (Local)
• Se prohíbe el ingreso al área de Manufactura con equipos de telefonía móvil que no sean los asignados por XYZ.
• El uso de los equipos de telefonía móvil asignados por XYZ, será estrictamente para atender o resolver situaciones relacionadas a su trabajo o deberá permanecer guardado.
• Está prohibido tomar fotos, videos y realizar grabaciones de audio en cualquier área de nuestras instalaciones sin haber cumplido con el procedimiento de solicitud de autorización respectivo y que dicha autorización le haya sido otorgada.
Operarios (Local)
• Se prohíbe ingresar al área de Manufactura con equipos de telefonía móvil, tablets, cámaras fotográficas, filmadoras, grabadoras de audio, etc. El personal tendrá la opción de dejar los equipos, en una caja fuerte bajo la custodia del Oficial de Seguridad o en su locker.
• El equipo de telefonía móvil será ubicado dentro de una caja fuerte, y se le hará entrega de un número que corresponderá a la ubicación del teléfono móvil dentro de la caja fuerte. El número otorgado quedará anotado en el libro de registro como medida de control.
• En caso de que se le haya extraviado el número, se procederá a validar en el libro de registro y las cámaras ubicadas en la cafetería, a fin de identificar la propiedad del mismo.
• Si algún Operario es sorprendido utilizando algún equipo de los anteriores descrito, dentro del área de Manufactura, será escoltado para salir del área. Los Oficiales de Seguridad procederán a quitarle el equipo y notificarán al área de seguridad de manera que se procederá a realizar una inspección del mismo para garantizar que no tenga alguna fotografía o información que atente contra los intereses de XYZ Panamá Pacífico y sus derechos de propiedad intelectual.

• El ingreso de contratistas / subcontratistas será únicamente por la entrada de la cafetería.
• Al momento de ingresar al área de Manufactura deberá registrarse, de manera obligatoria, en el libro de registro de ingresos.
• No se permitirá el ingreso de ningún contratista / subcontratista al área de Manufactura sin la presencia física de un empleado o responsable del proyecto o actividad de parte de XYZ.
• En caso de que la visita sea para ejecutar un proyecto o actividad dentro del área de Manufactura, se deberá contar con los permisos correspondientes de EHS.
• Al momento de ingresar al área de Manufactura, el visitante deberá contar con sus implementos de seguridad adecuados, (zapatos cerrados o botas, lentes de seguridad).
• Una vez validado lo indicado anteriormente y que esté presente el responsable de la actividad o proyecto, el Oficial de Seguridad, le entregará un carnet de visitante el cual debe portar de manera visible en todo momento. Este carnet debe ser devuelto diariamente.
• El contratista / subcontratista no podrá ingresar con equipos de telefonía móvil y tendrá la opción de dejar el equipo móvil bajo la custodia del oficinal de seguridad.
• El equipo será ubicado dentro de una caja fuerte, y se procederá a entregarle un número que corresponderá a la ubicación del teléfono móvil dentro de la caja fuerte. El número otorgado quedara anotado en el libro de registro como medida de control.
• En caso de que el proveedor haya extraviado el número, se procederá a validar el libro de registro y las cámaras ubicadas en la cafetería.
• En caso de que un contratista/subcontratista sea sorprendido dentro del área de Manufactura utilizando un teléfono móvil será escoltado para salir del área. Los Oficiales de Seguridad procederán a quitarle el equipo móvil y notificaran al área de seguridad y se procederá a realizar una inspección al equipo para verificar que no cuente con alguna fotografía o información que comprometa los intereses de XYZ Panamá Pacífico.
• En caso de encontrarse alguna fotografía o información, se procederá a eliminarla y quedará documentado en el registro del contratista / subcontratista. En caso de que el individuo incurra 2 veces en la misma falta, se le restringirá su acceso a nuestras instalaciones.
Visitante de XYZ
• Al ingresar a nuestras oficinas deberá registrarse, de manera obligatoria, en el libro de registro de ingresos al Site y entregar una identificación personal.
• Al momento de anotarse, la Recepcionista, le entregará una tarjeta de acceso, para que pueda desplazarse en nuestro edificio sin inconveniente.
• Esta tarjeta de acceso deberá ser devuelta al momento en que se retire la visita del área administrativa para que se le entregue su identificación personal.
• Al momento de ingresar al área de manufactura, el visitante deberá contar con sus implementos de seguridad adecuados, (zapatos cerrados o botas, lentes de seguridad).
• En caso de que la visita sea para ejecutar un proyecto o actividad dentro del área de Manufactura, se deberá contar con los permisos correspondientes a la actividad a realizar otorgados por EHS.
• El personal administrativo que ingrese con un equipo de telefonía móvil al área de Manufactura y que esta sea una herramienta dada por la empresa (XYZ) para el desempeño de sus funciones, podrá utilizarlo siempre que sea para resolver alguna situación directamente relacionada al trabajo. De no ser así el equipo de telefonía móvil debe permanecer en su bolsillo.
• Está prohibido tomar fotos, videos y realizar grabaciones de audio en cualquier área de nuestras instalaciones.
Translation - English Access to the Manufacturing Area
Administrative Staff (Local)
• It is prohibited to enter the Manufacturing Area with mobile telephone devices that have not been assigned by XYZ.

Operators (Local)
• It is prohibited to enter the Manufacturing Area with mobile telephone equipment, tablets, cameras, camcorders and equipment used for audio and video recording, etc. Staff members have the option of leaving their equipment in a strongbox under custody of the Security Officer or in their locker.
• The equipment will be placed inside a safe, and the staff member will be given a number corresponding to the location of the mobile phone inside of the safe. As a control measure, the number given will be recorded in the Records Book.
• If the staff member loses their number, we can validate his/her entry in the record book and use the cameras in the cafeteria to identify the owner of the property.
• If an operator is found using any of the equipment described above within the Manufacturing Area, said operator will be escorted out of the area. Security Officers will then confiscate the equipment and notify the security area so they can proceed with an inspection to ensure that no photographs or information were taken that may harm the interests of XYZ Panama Pacific and its intellectual property rights.
• If a photograph or piece of information is found, it will be deleted and/or destroyed.
• Security shall notify the Manufacturing Manager, Site Manager and/or Human Resources Manager who will then take disciplinary measures for noncompliance with the procedures established herein.
• Phones and mobile phone equipment may only be used by Operators who have been given such equipment by XYZ Panama Pacifico as a tool for carrying out the worker's duties and for resolving a situation with a direct relation to the workplace; otherwise, mobile telephone equipment must be kept stored.
• Taking photographs and/or audio or video recordings is strictly prohibited in any area of our facilities.
Providers/Subcontractor
• Contractors/subcontractors will be only be allowed to enter the cafeteria.
• Upon entering the Manufacturing Area, all visitors are required to sign themselves in in the record book.
• It is prohibited for any contractor/subcontractor to enter the Manufacturing Area without the physical presence of an employee or manager of an XYZ project or operation.
• If the visit is to carry out a project or activity in the Manufacturing Area, it must have the applicable EHS permissions.
• When entering the Manufacturing Area, the visitor must wear the appropriate security gear (closed shoes or boots, safety glasses).
• Once validated, as expressed above, and the employee responsible for the activity or project is present, the Security Officer will hand out a visitors card which must remain visible at all times. This card must be returned daily.
• It is prohibited to enter the building with mobile telephone equipment. Visitors have the option of leaving their equipment under the custody of the Security Officer.

XYZ Visitor
• Upon entering our offices, all visitors are required to sign themselves in in the On-Site Records Book and furnish personal identification.
• Upon signing in, the receptionist will give the visitor an Access Card, so he/she can move about our building conveniently.
• This Access Card must be returned once the visitor leaves the Administrative Area, upon which the visitors will be given back his/her personal identification,
• When entering the Manufacturing Area, the visitor must wear the appropriate security gear (closed shoes or boots, safety glasses).
• If the visit is to carry out a project or activity in the Manufacturing Area, it must have the applicable EHS permissions.
• An administrative staff member who enters the Manufacturing Area with mobile telephone equipment, and such equipment is a tool given by the company (XYZ) for the fulfillment of the the staff member's duties and that this is an order issued by the company (XYZ), the equipment may be used whenever needed in order to resolve an issue directly related to the workplace; otherwise the equipment must remain in the staff member's pocket.

ARTICLE 10 – COMPORTEMENT LOYAL ET DE BONNE FOI
10.1 Les parties déclarent et reconnaissent qu'elles sont et demeureront, pendant toute la durée du présent contrat, des partenaires commerciaux et professionnels indépendants, assurant chacune les risques de sa propre activité.
10.2 Les Parties s'engagent à toujours se comporter l'une envers l'autre comme des partenaires loyaux et de bonne foi et notamment à s'informer mutuellement de toute difficulté qu'elles pourraient rencontrer dans le cadre de l'exécution du présent contrat.
10.3 En cas de conflits d'intérêt révélé, les Parties s'engagent à ce que chacune d'elle informe toutes les contreparties et prenne les dispositions nécessaires pour s'assurer que cette situation n'impactera aucun des services offerts.
ARTICLE 11 - PREVENTION CONTRE LE BLANCHIMENT DE CAPITAUX
L'Apporteur et la Banque déclarent être informés des dispositions légales et réglementaires applicables en matière de lutte contre le blanchiment de capitaux et le financement du terrorisme et s'engagent à les mettre en application avec autant de diligence que possible.
ARTICLE 12 - RESPONSABILITÉ
12.1 La responsabilité de l'Apporteur et de ses associés, consultants et employés qui seraient intervenus sur un sujet se limitera au maximum au montant des honoraires professionnels payés par ladite banque relatifs aux prestations réalisées durant les douze mois immédiatement précédant la réclamation, sauf dans un cas avéré de fraude. De manière générale, la Banque accepte de circonscrire la demande de responsabilité exclusivement aux présumées fraudes et négligences professionnelles aggravées.
12.2 La Banque renonce à invoquer la responsabilité directe des associés, consultants ou employés de l'Apporteur, et limitera sa réclamation à l'Apporteur,
12.3 L'Apporteur ne pourra être tenu responsable au titre d'informations erronées ou incomplètes communiquées par la Banque à l'Apporteur et ses entités affiliées. L'Apporteur n'assumera aucune obligation en relation avec la vérification de la pertinence et de l'authenticité de l'information fournie par la Banque.
12.4 Toute réclamation de responsabilité à l'Apporteur ou à ses associés, consultants et employés, de quelque nature que ce soit, devra être présentée dans un délai maximum d'un an à partir du moment où se seront produits les faits motivant ladite réclamation, ceci étant convenu que la Banque renonce à l'action de responsabilité si cette démarche n'est pas effectuée.
12.5 Ne pourra être réclamée à l'Apporteur, ni à ses associés, consultants et employés, la responsabilité d'actes ou omissions de tiers même s'il s'agit de collaborateurs externes à l'Apporteur (autres bureaux ou autres professionnels indépendants, entre autres) où s'ils sont intervenus à la demande de l'Apporteur, mais avec notification au Client, dans le cadre de toutes actions directes qui seraient exercées contre ces tiers.

ARTICLE 10 – LOYAL BEHAVIOR AND GOOD FAITH
10.1 The Parties state and recognize that, throughout the duration of this Contract, they are and will remain independent commercial and professional partners, safeguarding the other from risks involved in the activities of the other Party.
10.2 The Parties commit to always treating the other Party as a loyal business partner and in good faith, and, especially, to mutually inform each other of any difficulty or issue that they may encounter within the framework of executing this Contract.
10.3 In the event that conflicts of interest occur between the Parties, they both agree to inform all counterparties and to take necessary measures to ensure that this situation does not affect any services offered.
ARTICLE 11 - PREVENTION AGAINST MONEY AND CAPITAL LAUNDERING
The Introducer and the Bank attest to being informed of the legal and regulatory dispositions applicable to the fight against capital laundering and the financing of terrorism, and they commit to applying these provisions with as much diligence as possible.
ARTICLE 12 - RESPONSIBILITY
12.1 The responsibility of the Introducer and its associates, consultants and employees who will intervene on a matter will be limited to the amount of professional fees paid by said bank relating to the services given during the twelve months immediately before the claim, except in confirmed cases of fraud. Generally, the Bank agrees to narrow the liability request exclusively to presumed fraud or aggravated professional negligence.
12.2 The bank waives the direct responsibility of the Introducer’s associates, consultants or employees, and will restrict its claim to only the Introducer.
12.3 The Introducer will not be held responsible for erroneous or incomplete information communicated by the Bank to the Introducer and its affiliated entities. The Introducer will assume no obligation in relation to the verification of the relevance and authenticity of information supplied by the Bank.
12.4 Any liability claim against the Introducer or its associates, consultants or employees, of any nature whatsoever, must be presented within a maximum of one year from the time the facts motivating said claim were produced, it being agreed that the Bank waives this liability if this process did not occur.
12.5 The Introducer, its associates, consultants and employees cannot be held liable for the actions or omissions of a third party even if such third party is a collaborator external to the Introducer (other offices or other independent professionals, amongst others) or if they acted upon the request of the Introducer, but with notifying the Client, within the context of all direct actions that may be taken against those third parties.

También este año la Asociación Española de Franquiciadores (AEF), ha elaborado el Informe de “La Franquicia en España 2015” con el fin último de establecer la situación y el estado de este sistema de negocio en España.
Se confirma un buen momento para la franquicia, que en 2014 ha alcanzado en cuanto a volumen de facturación un total de 25.879,5 millones de euros, un 0,5% más respecto al año anterior, gracias también a los sectores de Retail, Alimentación y Servicios que han impulsado este resultado positivo.
Tal y como explica Xavier Vallhonrat, Presidente de la AEF, "el número de redes que integran el sistema de franquicias no ha dejado de crecer desde el año 2005, ni siquiera en época de crisis, lo que significa que existe confianza empresarial en este modelo de comercialización, por todas las ventajas y valores añadidos que conlleva, entre ellas la de permitir una expansión más rápida, que es fundamental hoy en día para hacer crecer los negocios".
El sector cuenta con 1.199 redes que actualmente utilizan la franquicia para su proceso de expansión, con un aumento de 112 nuevas empresas incorporadas, que totalizan 63.869 establecimientos y 248.914 empleados del conjunto del sistema. Números que demuestran la importancia de la franquicia en la economía española.
Con 4.738 nuevas aperturas realizadas, con un crecimiento del 8% respecto al año pasado, se han generado 6.774 nuevos empleos, con los análisis que prevén para el 2015 que estas cifras aumentarán.
En opinión de Eduardo Abadía, Director Gerente de la AEF, "el alto ritmo de aperturas producidas durante el año 2014 puede que tenga su base en dos hechos clave: primero, en la mejora de la economía que empezó a notarse en el último trimestre de 2013 y que se mantuvo durante todo el año siguiente, y segundo, en el regreso, lento aún, pero sostenido, de las entidades bancarias a la que debe ser su actividad principal, la concesión de crédito, fundamental para un sistema como es el de franquicias, que se basa en el crecimiento y la expansión".
Se destaca también una fuerte presencia internacional con 211 empresas de franquicia extranjeras procedentes sobre todo de Francia, Italia y E.E.U.U.
Dentro del sistema de franquicias español se destacan algunos sectores, que registran un mayor crecimiento como la alimentación, enseñanza, la panadería, los servicios a empresa o la telefonía e informática. Y como siempre las novedades del momento como los gimnasios especializados en electroestimulación.
El informe demuestra como la franquicia continúa, como en años anteriores, siendo un propulsor económico importante para el país, manteniéndose vivo y dinámico.
No obstante, la coyuntura de mercado adversa al modelo de la franquicia ha demostrado una mayor profesionalización y competitividad adquirida por las empresas franquiciadoras, que han optimizado el modelo de negocio y el soporte a los franquiciados, teniendo en cuenta también la adaptación a las nuevas tendencias y demandas del consumidor.
Para Xavier Vallhonrat, "el sistema de franquicias es una fórmula generadora de puestos de trabajo en una coyuntura tan desfavorable para el empleo. En los últimos años venimos observando que cada vez hay más emprendedores, inversores y personas que se acercan a la franquicia para montar negocios, porque es una modalidad comercial que ofrece confianza y minimiza los riesgos que tiene trabajar por cuenta propia"
En definitiva, abrir una franquicia en 2015 resulta ser una opción ideal para la búsqueda de autoempleo o la inversión.

This year, the Spanish Association of Franchisers (AEF in Spanish) published their “Report on Franchising in Spain”, having the end goal of ascertaining the situation and state of this business model in Spain.
It confirmed great momentum in franchising: In 2014, it reached a total sales volume of 25,879.5 million euros, a 0.5% increase from the previous year, thanks to both the retail and food and services sectors, which have driven this positive result.

What this means is there exists a certain commercial confidence in this business model and all the advantages and merit it brings with it, including quicker expansion – which is fundamental for creating business in today’s world.”
The sector is made up of 1,199 networks which currently utilize the franchising system for their expansion processes, leading to an increase of 112 new incorporated businesses, which equate to 63,869 establishments and 248,914 jobs in whole – numbers which go to show the importance of franchising in the Spanish economy.

In the opinion of Eduardo Abadía, Managing Director of the AEF, “the quick pace we saw in openings during 2014 may have its answer in two key facts: First, the improvement in the economy, which one began to notice in Q4 2013 and remained during the entire following year; and secondly, in turn, this economic growth – still slow but sustained – spurred banking institutions to, which should be their main activity, loosen their credit requirements – fundamental in a system such as franchising which is based on growth and expansion.”
We also noticed a strong international presence: 211 foreign franchises, mainly from French, Italian and American corporations.
Certain sectors of the Spanish franchising market stand out for recording higher growth, such as food, education, bakeries, and business and computer-telephony service providers – and, as always, exercise establishments specializing in the cutting-edge field of electro-stimulation.
This report demonstrates how, as in previous years, franchising continues to be an important economic stimulator for the country, remaining optimistic and dynamic.
Nevertheless, the reality of the franchising model in an adverse market has shown greater professionalization and competiveness on behalf of franchised businesses, which have optimized this business model along with the support they give to their franchises. All this while adapting to new consumer tendencies and demands.
For Xavier Vallhonrat, “the franchising system is a formula that nonetheless creates jobs in a situation so unfavorable for employment. In recent years, we have come to see that more are more entrepreneurs, investors and people are approaching franchising as a method of expansion, because it’s a commercial process that offers confidence and minimal risks for self-employed workers.
In short, opening a franchise in 2015 turns out to be a great option for those searching for self-employment or investment opportunities.
