Commercial Agent Contract for Purchase of Condensate NIGC
This contract is between the company ...................., as the Employer and the .............. ltd. license ............, Mr. ..............., (managing director), Passport No..................., as a Commercial agent, to conduct negotiations to purchase Gas Condensate and Crude Oil or any kind of other petroleum products, based on the Employer's request.
Duration of Contract:
The present contract is binding between the parties only for the Commercial agent activities exclusively on the territory of I.R.Iran and is valid for one year period, starting from 12th August 2016.
Commercial agent duties:
The Commercial agent bounds to conduct negotiations to purchase Condensate and Crude oil or any kind of petroleum products from NIOC (National Iran Oil Company) or NIGC (National Iran Gas Company) in the strict accordance with the Employer's request like packing, analysis, term of the deliveries, and all other things like packing (in the order the employer), transport, export affairs, the insurance, shipping and etc.
The Commercial agent should prepare the best conditions for the Employer and the lowest freight rates, insurance and all expenses related to commodity exports.
The Commercial agent bounds to supply the original invoices of costs: purchase of goods, packing, transportation, export, insurance, shipping, etc. to the Employer and issue the reports and receipts for the receiving Funds. The Commercial agent shall help the Employer to arrange the best way of money transaction regarding to the I.R.Iran rules.
Duties of the employer:
The Employer bounds to consider item in writing and respond to the Commercial agent and also when receive the product analysis from Commercial agent, approve or disapprove in writing.
The Employer should be agree on the terms of purchase desired products and pay all the fees regarding to the product delivery from NIOC or NIGC, refinery in Tehran to Bandar abbas port only if it will be stated in the signed appropriate product supply contract.
The Employer is bound to give the information as to type of packing and shipping destination to issue Bill of lading and other documents.
The Employer bounds to give to the Commercial agent the information as to quantity, delivery time, shipping and transportation details.
Wage:
The employer bounds to pay ..... $ U.S dollars per one barrel to the Commercial agent, when product will be supplied according to the contractual terms to the sea port of Ukraine and product quantity and quality confirmed.

Договор торгового агента на закупку Конденсата у компании NIGC
Настоящий Договор заключен между компанией ............ , которая выступает в качестве Работодателя, и компанией «.................... ltd.», лицензия № ........... в лице господина ............... (Управляющий директор), паспорт № ..........., который выступает в качестве Торгового агента. Целью настоящего Договора является закупка газового конденсата и сырой нефти или любого иного вида нефтепродуктов, по заявке Работодателя.
Срок действия Договора:
Настоящий Договор является обязательным для сторон только в части деятельности Торгово агента исключительно на территории Исламской Республики Иран и действует на протяжении одного года, начиная с 12.08.2016 года.
Обязанности Торгового агента:
- Торговый агент обязан провести переговоры с целью покупки конденсата и нефти, или любого другого вида нефтепродуктов у Иранской Национальной Нефтяной Компании (NIOC) или Иранской Национальной Газовой Компании (NIGC), в строгом соблюдении требований Работодателя касательно упаковки, анализа и сроков поставки, и всех других вопросов как то упаковка (как указано в заявке работодателя), транспорт, вопросы экспорта, страховка, доставки и т.д.
- Торговый агент должен подготовить для Работодателя наилучшие условия, наиболее низкие ставки фрахта, страхования и всех затрат, связанных с экспортом товаров.
- Торговый агент обязан предоставить оригиналы инвойсов на следующие расходы: приобретение товаров, упаковку, транспортировку, экспорт, страхование, доставку и т.д. Работодателю, а также предоставить отчеты и выписки для подтверждения получения денежных средств. Торговый агент должен помогать для Работодателю организовать наилучший способ перечисления денежных средств, с соблюдением требований Исламской Республики Иран.
Обязанности Работодателя:
- Работодатель обязан излагать всю информацию в письменной форме и направлять ответы Торговому агенту, а также после получения от Торгового агента результатов анализа продукта, в письменной форме согласовать или не согласовать ее.
- Работодатель должен согласиться с условиями покупки нужных товаров и оплатить все сборы, связанные с доставкой товара от Иранской Национальной Нефтяной Компании (NIOC) или Иранской Национальной Газовой Компании (NIGC), нефтеперерабатывающего завода в Тегеране до порта Бандар аббас, если это будет указано в подписанном соответствующем контракте на поставку.
- Работодатель обязан предоставить информацию касательно типа упаковки и адрес доставки для отправки коносамента и других документов.
- Работодатель обязан предоставить Торговому агенту информацию касательно количества, время доставки, особенности перевозки и траснпортировки.
Оплата:
Работодатель обязан оплатить Торговому агенту ..... Долларов США за один баррель, после того, как будет осуществлена поставка продукта в соответствии с условиями контракта в морской порт Украины и будет подтверждено количество и качество продукта.
