Source text - English 1. Technical Warranty
1.1. Subject to the additional provisions set forth in Clause (___) below (Servicing and Recall Campaign), the Supplier warrants that it shall, without charge to the Customer, repair, replace or credit, as it may elect, any Product which is proved to be defective as a result of a failure in Supplier’s design, materials and/or workmanship or not compliant with the Specifications, provided that (i) the Customer has notified the Supplier in writing of the defect within sixty (60) days after discovery of the defect; and (ii) such defective Product has been returned to the Supplier’s designated repair location within ___ months after the Delivery Date of such Product to the Customer (the Warranty Period).
1.2. The Supplier shall bear all costs of returning Products to the Supplier’s designated repair facilities and of delivering repaired or replacement Products to the Customer, if the returned Products were found by Supplier to be covered by the warranty set forth in this Clause 1. For any Products which are found by the Supplier not to contain any defect or not to be covered by the warranty in this Clause 1 after being analyzed and tested using the Supplier’s standard testing and repair procedures, the Supplier shall document to the Customer its service charges for each Product analyzed and, with such documentation, include an invoice to Customer for such service charges at the rates set forth in Enclosure ___.
1.3. Upon the occurrence of any actual disagreement between the Parties about the existence of a defectiveness or non compliance of a given Product or batch of Products, the Parties shall refer the matter to a third party independent expert as per clause ___ below.
1.4. The warranty provided in this Clause 1 shall not apply to:
a) Products which have been misused, modified, damaged, placed in an unsuitable physical or operating environment or maintained improperly or caused to fail by any product or service not supplied by Supplier;
b) Products which have been subjected to any repair not authorized in writing in advance by Supplier;
c) any defect caused by Customer or a third party or by an error or omission or design or other fault in any Customer Technical Information delivered by the Customer to the Supplier for the purposes of this Supply Agreement;
1.5. To the extent permissible, the Supplier shall extend to the Customer the benefit of any warranties provided to the Supplier by the vendors or manufacturers of material, parts and components used in the manufacture, or incorporated into, the Products, and upon request by the Customer, the Supplier shall use all commercially reasonable efforts to cause such vendors or manufacturers to extend any such warranties to the Customer for periods comparable to the periods of the warranties offered by Customer to its customers.
Translation - Italian 1. Garanzia Tecnica
1.1. Secondo quanto previsto dalle disposizioni supplementari di cui alla Clausola (___) di seguito (Campagna di Assistenza e Ritiro), il Fornitore s’impegna e garantisce che, senza alcun addebito per il Cliente, riparerà, sostituirà o accrediterà, a sua scelta, qualsiasi Prodotto rivelatosi difettoso come risultato di un errore nella progettazione, nei materiali e/o nella lavorazione da parte del Fornitore, oppure non conforme alle Specifiche, a patto che:
(i)il Cliente abbia notificato il difetto al Fornitore per iscritto entro sessanta (60) giorni dalla sua scoperta;
(ii) tale Prodotto difettoso sia stato restituito presso il luogo di riparazione designato dal Fornitore entro ___ mesi dopo la data di consegna del suddetto prodotto al Cliente (Periodo di Garanzia).
1.2. Il Fornitore dovrà sostenere tutti i costi di restituzione dei Prodotti alle strutture di riparazione designate, e i costi di consegna dei Prodotti riparati o sostitutivi al Cliente, se i Prodotti restituiti siano stati ritenuti dal Fornitore coperti dalla garanzia di cui alla presente Clausola 1. Per qualsiasi Prodotto ritenuto dal Fornitore privo di difetti o non coperto dalla garanzia indicata alla Clausola 1, dopo che questo sia stato analizzato e testato tramite le procedure di verifica e riparazione standard del Fornitore, quest’ultimo dovrà documentare al Cliente i costi di servizio per ogni Prodotto analizzato e includere, in tale documentazione, una fattura al Cliente per i suddetti costi alle tariffe indicate nell’Allegato ___.
1.3. Al verificarsi di qualsiasi effettivo disaccordo tra le Parti riguardo l’esistenza di una difettosità o non conformità di un dato Prodotto o di un lotto di Prodotti, le Parti dovranno deferire la questione a un terzo esperto indipendente come da clausola ___ di seguito.
1.4. La garanzia fornita dalla Clausola 1 non si applica a:
a) Prodotti che siano stati utilizzati in modo improprio, modificati, danneggiati o collocati in un ambiente fisico o operativo non idoneo o mantenuti in modo improprio o danneggiati da qualsiasi prodotto o servizio non fornito dallo stesso Fornitore;
b) Prodotti che sono stati sottoposti a qualsiasi riparazione senza previa autorizzazione scritta del Fornitore;
c) qualsiasi difetto causato dal Cliente o da un terzo o da un errore, un’omissione o un difetto di progettazione o qualsiasi altro difetto nelle Informazioni Tecniche fornite dal Cliente al Fornitore ai fini del presente Contratto di Fornitura;
1.5. Nella misura consentita, il Fornitore dovrà estendere al Cliente il vantaggio di eventuali garanzie offerte al Fornitore stesso da venditori o produttori di materiale, parti e componenti utilizzati, o incorporati, nella fabbricazione del prodotto, e su richiesta del Cliente, il Fornitore dovrà compiere ogni ragionevole sforzo economico per consentire a tali venditori o produttori di estendere le suddette garanzie al Cliente per periodi paragonabili ai periodi di garanzia offerti dal Cliente stesso ai propri clienti.
