(b) Performance Fees. In partial consideration of the services rendered by the Adviser pursuant to this Agreement, the Fund will pay the Adviser, as of December 31 of each year, in addition to the base fee described above, an ***incremental performance fee*** equal to 0.75% of the Fund's average weekly managed assets during the calendar year ending on such December 31 if the total return attributable to the common shares of the Fund for such calendar year (the "Common Share Return") equals the total return of an index of three month Treasury Bill prices and interest payable thereon calculated as described below (the "T-Bill Index") for such calendar year plus 3.0% (300 basis points) (the "Fulcrum Point Return"), with such 0.75% performance fee increasing by an additional 0.01% (one basis point) for each 0.04% (four basis points) by which the Common Share Return exceeds the Fulcrum Point Return up to a maximum performance fee of 1.50% of the Fund's average weekly managed assets if the Common Share Return exceeds the T-Bill Index total return for such calendar year by 6.0% (600 basis points) or more and with such 0.75% performance fee decreasing by 0.01% (one basis points) for each 0.04% (four basis points) by which the Common Share Return is less than the Fulcrum Point Return down to a minimum performance fee of 0.00% if the Common Share Return is less than or equal to the T-Bill Index total return for such calendar year.
