The wording of the sentence in spanish is convoluted, but my interpretation would be, just changing the position of the "se" to make it clearer: Si XXXXX o alguno de sus fiadores cayera en estado de insolvencia, concursese o transfierase el fondo de comercio, o parte sustancial de sus bienes, en beneficio de sus acreedores Or, in english If xxx or any of its sureties fall into insolvency, its goodwill or a substantial part of all its assets will be auctioned or transfered, in benefit of its creditors. The verbs tenses might not be the most appropriate and "to auction" could not be the correct legal translation for "transferir", but I think the meaning is, more or less, along these lines

1) Al igual que con la bancarota, es la propia empresa la que 'se concursa' no un tercero. (porque vi en un par de respuestas que esto estaba en dudas)
2) goodwill me suena más al significado de 'fondo de comercio' como un conjunto de items vendibles más allá del inmueble, pero si es lo opuesto, agradezco aprenderlo!!!

I had previously put "bankrupt", but this is only applied to indivuals. In the case of companies, the term is "insolvent".
