(iv) Exhibits are incorporated into this Agreement, and shall be deemed an integral part hereof, as if written herein. References such as "this Agreement" and words such as "herein" or "hereof" or words to the same effect refer to this Agreement, including its exhibits, as a whole.
(v) References to legal provisions should be interpreted as references to those provisions as amended, extended, consolidated or re-enacted, or as their application is amended from time to time by other rules.
(vi) Except as otherwise provided for herein, references to clauses and exhibits refer to the clauses and exhibits of this Agreement.
(vii) The headings of clauses contained herein are merely for reference purposes, and thus irrelevant to the interpretation or analysis of the contents of this Agreement.
(viii) Except as otherwise provided for in this Agreement, references to any terms or periods of time shall be deemed to be references to the number of calendar days,

Para os fins deste Contrato, um “Evento de Liquidez” significa a ocorrência de qualquer um dos eventos a seguir descritos com relação à Companhia e qualquer de suas Afiliadas (conforme definido abaixo),
a partir da Data de Emissão até o término do Prazo do Exercício:
(i) (a) protocolo junto à comissão de valores mobiliários (CVM), à Securities Exchange Commission (SEC) ou perante qualquer bolsa de valores do pedido de registro de uma Oferta Pública ou de Follow-on, no caso de uma oferta registrada (ou com rito de registro ordinário),
ou a publicação de fato relevante de lançamento ou a comunicação de início de uma Oferta Pública, no caso de uma oferta dispensada de registro (ou com rito de registro automático);
e/ou (b) o equivalente ao inciso “a” acima (incluindo, sem limitação, no caso de uma Oferta Pública ou Follow-on dispensado de registro),
de qualquer forma, de qualquer oferta pública, de qualquer modalidade (incluindo, sem limitação, em caso de oferta pública com esforços restritos de distribuição), de Direitos de Participação no Brasil ou no exterior;
(ii) qualquer Mudança de Controle, incluindo, mas não se limitando a, situações resultantes de operações de venda, fusão, cisão, incorporação (inclusive de ações e decorrentes de um de-SPAC) ou qualquer tipo de reorganização societária cujos efeitos impliquem Mudança de Controle;

For purposes of this Agreement, an "Event of Liquidity" means the occurrence of any of the following events with respect to the Company and any of its Affiliates (as defined below)
from the Issuance Date until expiration of the Exercise Term:

(iii) direct or indirect Transfer and/or issuance in favor of any Person, in a single or a series of transactions, of Equity Interest Rights in Brazil or abroad including,

Estes materiais são propriedade do Empregador, e não dos profissionais que trabalham ou trabalharam pelo Empregador em determinados assuntos ou que redigiram os materiais.
Eles estão disponíveis internamente apenas e tão somente para utilização dos profissionais no exercício de suas funções.
Profissionais que deixarem o Empregador devem devolver ou destruir todos as cópias de materiais de KnowHow que estejam em seu poder antes da data final do seu vínculo,
e não devem guardar cópias em meio eletrônico a não ser se expressamente autorizados.
O direito de propriedade de tais materiais pertence ao Empregador e pode ser exercido contra qualquer reprodução não autorizada de suas partes ou do todo.
Você não deve enviar quaisquer materiais do KnowHow gerados pelo Empregador para pessoas externas,
incluindo para suas próprias contas de e-mail pessoais, sem autorização prévia e por escrito de um Sócio.

2 Proteção à informação confidencial

1.1 You must not disclose confidential information about Employer or its professionals or service providers, except in situations permitted by this Policy or by the Law.
Examples of confidential information include, but are not limited to, financial data,
strategic plans, IT structure, marketing and operational documents,
internal policies, fee proposals, client or supplier contracts,
and Know How and training materials that were developed by or on behalf of Employer.
Confidential information of such nature may not be used, copied, recorded on electronic media,
sent by e-mail or otherwise disclosed, inside or outside Employer, for any purposes other than those of full exercise of your duties.
1.2 Know How
Models of precedents, training materials, templates and models of memos and contracts,
and any other reference materials produced by Employer should be handled according to the procedures of the Know How area.
Those materials are the property of Employer and not of the professionals who work or have worked for Employer on particular matters or who prepared the materials.
They are available only internally and solely for the use of professionals in the performance of their duties.
Employer’s staff members who depart from the company must return or destroy all copies of Know How materials in their possession before the end of their employment,
and should not keep copies on electronic media unless expressly authorized.
The right of ownership of such materials belongs to Employer and may be exercised against any unauthorized reproduction of portions or the entirety of such materials.
You must not send any Know How materials generated by Employer to persons outside the firm,
including to your own personal email accounts, without prior written authorization from a Partner.
You must observe and comply with the obligations of confidentiality and intellectual property law applicable to information and materials obtained from other sources.

MISCELLANEOUS
6.1 Notices.
Any notices, summons and subpoenas to be sent to the Parties, relating to the obligations hereby agreed upon in this Agreement shall be made in accordance with Section [11.1] of the QPA.
6.2 Entire agreement.
This Agreement contains the entire agreement between the Parties with respect to its subject matter,
and shall prevail over all prior agreements or negotiations, oral or written, between the Parties.
6.3 Changes.
This Agreement may not be modified, except by a written instrument signed by all of the Parties.
6.4 Severability of Sections.
The invalidity or unenforceability, in whole or in part, of any provision of this Agreement shall not affect the others,
which shall remain valid and effective, insofar as this Agreement is not substantially impaired.
6.5 Absence of Waiver.
No waiver of any right arising under this Agreement shall be presumed,
either for failure to exercise it or for the possible acceptance of non-compliance with sections or conditions of this Agreement,
and the Parties may at any time exercise their rights or require full compliance with the obligations set forth herein.
6.6 Contract Assignment.
The Parties may not assign their contractual position or any of their rights or obligations under this Agreement without the prior written consent of the other Party.
6.7 Relative Effect.
Nothing express or implied in this Agreement is intended, or shall be construed,
to confer any right or claim upon any person other than the Parties and their respective successors and authorized assignees.
6.8 Enforceable Title.
This Agreement constitutes an extrajudicial enforceable title
and the obligations established herein are subject to specific enforcement, according to Articles 784 and 815 of Law No. 13,105/2015 (Brazilian Code of Civil Procedure).
6.9 Costs and Expenses.
Except if otherwise set forth herein,
all costs and expenses incurred in connection with this Agreement and the consummation of the transactions contemplated herein
(including but not limited to, fees paid to advisors, lawyers, brokers as well as out-of-pocket travel expenses)
shall be paid by the Party incurring such costs and expenses.

6.1 Notificações.
Quaisquer notificações, citações e intimações a serem enviadas às Partes, relativamente às obrigações pactuadas neste Contrato deverão ser feitas de acordo com o Artigo [11.1] do QPA.
6.2 Totalidade do Acordo.
Este Contrato contém a totalidade do acordo entre as Partes com relação a seu objeto,
e prevalecerá sobre todos os acordos ou negociações anteriores, orais ou escritas, entre as Partes.
6.3 Alterações.
Este Contrato não pode ser modificado, exceto por instrumento escrito assinado por todas as Partes.
6.4 Autonomia das Disposições.
A invalidade ou inexigibilidade, no todo ou em parte, de qualquer disposição deste Contrato não afetará as demais,
que permanecerão válidas e eficazes, na medida em que este Contrato não seja substancialmente prejudicado.
6.5 Inexistência de Renúncia.
Nenhuma renúncia a qualquer direito decorrente deste Contrato será presumida,
seja pelo não exercício ou pela possível tolerância ao não cumprimento de cláusulas ou condições deste Contrato,
e as Partes poderão, a qualquer momento, exercer seus direitos ou exigir o pleno cumprimento das obrigações ora estabelecidas.
6.6 Cessão do Contrato.
As Partes não poderão ceder sua posição contratual ou qualquer de seus direitos ou obrigações previstos neste Contrato sem o consentimento prévio por escrito da outra Parte.
6.7 Efeito Relativo.
Nada expresso ou implícito neste Contrato tem a intenção de, ou deverá ser interpretado de forma a,
conferir qualquer direito ou reivindicação a qualquer pessoa que não sejam as Partes e seus respectivos sucessores e cessionários autorizados.
6.8 Título Executivo.
Este Contrato constitui um título executivo extrajudicial
e as obrigações ora estabelecidas estão sujeitas ao cumprimento específico, de acordo com os artigos 784 e 815 da Lei nº 13.105/2015 (Código de Processo Civil Brasileiro).
6.9 Custos e Despesas.
Salvo se diversamente estipulado no presente,
todos os custos e despesas incorridos em relação a este Contrato e à consumação das operações ora contempladas
(incluindo, mas não limitado a, honorários pagos a consultores, advogados, corretores, bem como despesas extraordinárias de viagem)
deverão ser pagos pela Parte que incorrer em tais custos e despesas.
