Source text - English 1 – DEFINITIONS
When used in this Agreement, the following terms shall have the meanings ascribed thereto below:
“Affiliate(s)” shall mean any one or more legal entities (i) directly or indirectly owned or controlled by Philips or Licensee, (ii) directly or indirectly owning or controlling Licensee, or (iii) directly or indirectly owned or controlled by the legal entity owning or controlling Licensee, but any such legal entity shall only be considered an Affiliate of Licensee for as long as such direct or indirect ownership or control exists. For the purposes of this definition a legal entity shall be deemed to own and/or to control another legal entity if more than 50% (fifty percent) of the voting stock of the latter legal entity, ordinarily entitled to vote in the meetings of shareholders of that entity, (or, if there is no such stock, more than 50% (fifty percent) of the ownership of or control in the latter legal entity) is held directly or indirectly by the owning and/or controlling legal entity.

Dans le cadre du présent Accord, les termes suivants ont la signification qui leur est attribuée ci-dessous :
« Affilié(s) » désigne une ou plusieurs entités juridiques (i) détenues ou contrôlées directement ou indirectement par Philips ou par le preneur de licence, (ii) détenant ou contrôlant directement ou indirectement le preneur de licence, ou (iii) détenues ou contrôlées directement ou indirectement par l’entité juridique détenant ou contrôlant le preneur de licence, mais une telle entité juridique ne sera considérée comme Affiliée du preneur de licence que tant que cette propriété ou ce contrôle direct ou indirect existe. Aux termes de la présente définition, une entité juridique est réputée posséder et/ou contrôler une autre entité juridique si plus de 50 % (cinquante pour cent) des actions avec droit de vote de cette dernière, bénéficiant habituellement du droit de vote dans les assemblées d’actionnaires de cette entité (ou, en l’absence de telles actions, plus de 50 % [cinquante pour cent] de la propriété ou du contrôle de cette entité juridique) sont détenus directement ou indirectement par l’entité juridique propriétaire et/ou exerçant le contrôlant.

Greetings.
I am Barbara Ndongmo Tonlio, professional English/Spanish to French freelance Translator and Subtitler for 5 years now. I aim at working hand in hand with translation agencies, VMs and/or direct clients. Having client's satisfaction as priority, I make myself always available for them when need be. As far as tools are concerned, I use Subtitle edit, Trados 2021, Wordfast Pro and MemoQ, as well as some cloud-based tools, so I can easily adapt to your preferred platform or environment.
