the Shareholders will procure that two of the non-executive directors will retire each year, one of whom will be Algerian and one of whom will be Libyan, and for the avoidance of doubt any retired director may be re-elected with immediate effect

I can't find a translation anywhere. I understand what it means and the concept, but since it's a legal expression, I am pretty sure that such legal expression exists in French.
